abbreviated: OTC market - this is my best guess as the question was not very clear to me either. OTC trading means that the transactions are made not on the bourse (like LIFFE in the UK), but the considerations of the parties are very much the same.

I understand "plain vanilla" to mean "with standard conditions" - which could be the case either for exchange traded or OTC derivatives. I have never come across the term "Börsennahe Derivative", so without more context it is hard to tell what you mean.

Explanation:
This usually refers to OTC derivatives which have the same (or very similar) specifications as exchange-traded contracts, but are traded off-exchange. Some derivative exchanges (e.g. Eurex) have certain functions to enter those 'look-alikes' into the respective clearing system.

The point here is to use the flexibility of the OTC market whilst benefiting from the fungibility of standardised contract specifications.
