German term or phrase: sentence
Die neuen Aktien unterliegen nach dem Erwerb der Übertragungsbeschränkung vom Art 5.

Context: Genehmigtes Kapital

English translation:sentence
Explanation:
Once purchased, the new shares will be subject to transfer restrictions as defined in Article 5.

You may want to use an alternative wording for "nach dem Erwerb"; for instance, you could see this from the issuing company's perspective: "Once they have been placed,....".

I suspect this refers to a situation where the company has control over the registration of new shareholders. Under German securities law, this type of share is referred to as "vinkulierte Namensaktie" (typically translated as "registered shares with limited transferability"). Examples of this structure are Allianz and Lufthansa.

Thanks fantastic. For American English would it be safe to replace 'shares' by 'stocks' at all times?

agree  Anna Ivey: "Shares" and "stock" are usually interchangeable, but note that "stock" is in the singular, not the plural. Example: "My shares are no longer restricted" vs. "My stock is no longer restricted" (References: experience as former U.S. corporate lawyer)
