"Wir (Firma B) erklären uns mit den vorstehenden Erklärungen einverstanden und versichern ausdrücklich daß wir ohne vorherige Zustimmung der Banken die in Rede stehenden Forderungen nicht aus dem Firmenvermögen sicherstellen, keinerlei Verfügungen zulassen und keinerlei Kapitalrückzahlungen auf die Forderungen leisten werden.
We are talking about Forderungen from Firma A, that are being subordinated to the claims of the banks.
I probably just need to take a break from this text for a while, but am having trouble getting my mind around "nicht aus dem Firmenvermögen sicherstellen." What are they promising not to do here?

I think the debtor (company B, if I am still following you), is trying to say they will not pledge/assign/convey/transfer ownership/pass the title to any of their assets to provide security for company A. This means that all the assets would be free of rightful claim by A and therefore available to the banks.

It is always the same with banks, they always make sure they get theirs first.
