Bad Will (Negative Goodwill) Example
Negative goodwill, often called badwill, arises when the fair market value of the net assets acquired is higher than the purchase price of the asset. When negative goodwill exists, APB Opinion No. 16, “Business Combinations,” requires that it be applied to a reduction of the values assigned to noncurrent assets (except long-term investments in MES). Deferred Credit is recorded for any excess once noncurrent assets are reduced to zero.
