Explanation:
I think the tip-off is "Nachgründung". They are talking about a company that has been founded, but not activated. What "Nachgründung" implies in a legal sense escapes me.

Creifelds, Rechtswoerterbuch, 16. Aufl. 2000: "Nachgruendung nennt man den Erwerb von Vermoegensgegenstaenden, inbes.
