I'm translating the Gesellschaftsvertrag of a GmbH (US English). The following point is from a list of activities that require the approval of the shareholders' meeting:

I've found both assignment as security and chattel mortgage on proz already and I have a feeling that the first option is more appropriate here than the second, but with Vornahme? A second opinion would be greatly appreciated.
