Zumindest solange dieser Vorgang nicht als Schenkung von V an S zu beurteilen ist, erhöhen sich durch die verdeckte Einlage nur die Anschaffungskosten des V von 500.000 EUR auf 1,5 Mio. EUR. Da sich die Anschaffungskosten des S nicht erhöht haben, werden durch die verdeckte Einlage stille Reserven i. H. v. 500.000 EUR von den sperrfristverstrickten Anteilen des V auf die (anderen) Anteile des S verlagert.

Nach dem Wortlaut des § 22 Abs. 7 UmwStG gelten die Anteile des S nicht als mitverstrickt, da die Verlagerung der stillen Reserven weder aufgrund einer Gesellschaftsgründung noch aufgrund einer Kapitalerhöhung erfolgt.
