German term or phrase: Vergleichabschluss & other insurance terms
From the same legal insurance case:
"Sie haetten keinen Vergleich abgeschlossen, indem sie sich zur Bezahlung verpflichteten." I know that Vergleich is settlement, but not sure what a V.abschluss is. Is this also 'settlement'?
Another term I'm not sure about is 'Verantwortlichkeitsanspruch/V.prozess' - is accountability the right English term?

And this whole sentence has confused me - a translation please:
'Die Beklagte scheint sich nun aufgrund des Umstandes, dass X [company name] im Aussenverhaeltniss die Vergleichsleistung erfuellt hat, darauf berufen zu wollen, die eingeklagten Organpersonen haetten gar keine Schaden erlitten.'
Within this, can 'Organen' of a company be translated as 'directors + officers', or is it more vague, i.e. 'agents' of a company?

the settlement arrangements were made
out of court by company X. Thus, it
was never proven through court proceedings that there were actual
damages.

Translation: The Defendant now, due to the circumstance, that X performed the settlement disbursement out of Court, seems to
plead the fact that the prosecuted Parties didn't suffer any damages.
