Shelf Company Explanation: A „shelf company“ is an existing and with the Commercial Register fully registered company but which has never entered into any busisness activity, in other terms is totally „clean“. This distiguishes such company from a so-called „shell company“ or „dormant company“ or "shell corporation" which, in turn, did pursue with commercial activities in a previous period and now is dormant. Eine Vorratsgesellschaft ist eine auf Vorrat gegründete und im Handelsregister eingetragene Gesellschaft, die wirtschaftlich noch nicht tätig gewesen ist (sog. offene Vorratsgründung). Das unterscheidet sie von der sog. „Mantelgesellschaft“, die früher einmal wirtschaftliche Aktivitäten entfaltet hat und jetzt ruht. Manchmal wird "Mantelgesellschaft" auch für solche Gesellschaften verwendet, die lediglich nur eine "Hülle" darstellen. Die Abgrenzung zur Vorratsgesellschaft / Shelf Company ist jedenfalls die wirtschaftliche Aktivität.
