"le Parti **hanno subordinato l’obbligo** a contrarre all’avverarsi delle condizioni ed all’adempimento degli obblighi di cui alla Fase transitoria"

my first attempt at this sentence is as follows:

"the Parties **are bound by contract** to reach an agreement to ensure fulfilment of the Transitory Phase conditions and obligations"

Is "bound by contract" the right term in this context?
