please note that Instrumento when refering to something legal ( like in this case a contract) should be translated as "indenture","deed" or "legal document".
Indenture means bilateral contract which I believe is what is meant here.

"Contratante" is the hirer/contractor
"contratada" is the person hired/contracted

Contratada does not refer to a woman specifically. The word person is feminin in portuguese and therefore when you say contracted/hired person it translates as "pessoa contratada" - it can be man or woman.

Explanation:
This sounds like a common everyday contract. "Particular" means private as opposed to government or public. With the word "contract," "instrument" perhaps becomes redundant.
As it happens I am about to send in a set of documents that includes an "instrumento particular de transacao" etc. which I am rendering "private agreement."

agree  Huw Watkins: Yes I think this is definitely the most succinct answer. Independent Contractor Agreement seems to be the US equivalent from what I have read on the net.
