Explanation: In the preliminary sale agreement (or "bilateral promise to sell"), the seller and buyer both agree to conclude the sale at a jointly determined price. In legal terms, the preliminary sale agreement therefore has the status of a final sale. If either party cancels the sale, the other may take legal action and claim damages. The buyer pays between 5% and 10% of the selling price on signing the preliminary sale agreement. This sum, known as a deposit, is deducted from the price when the notarised instrument is signed. Unlike the promise to sell, the preliminary sale agreement does not have to be registered with the tax authorities. The fact that charges are not applied is an advantage.

VALIDITY AND TERMINATION OF PROMISE TO SELL OF REAL PROPERTY In our bulletin we will investigate conditions of validity and termination of promise to sell of real property which is often applicable in practice.
The promise to sell is a preliminary contract providing claim rights to conclude of a real property sales contract. By the preliminary contract parties express their wills to conclude the principal contract. If one of the parties refuses to execute his obligations, then the other party becomes entitle to claim the execution of obligations by the other party.

Încheierea contractului de vânzare-cumpărare, deci realizarea acordului de voinţă este precedată uneori de unele acte juridice prealabile, respectiv: promisiunea de vânzare-cumpărare (unilaterală sau bilaterală) şi pactul de preferinţă. Dintre acestea, vom avea în vedere prezentarea aspectelor care ţin de instituţia antecontractului de vânzare-cumpărare.
Încheierea antecontractului de vânzare-cumpărare reprezintă o fază care nu este obligatorie, părţile putând încheia direct contractul de vânzare-cumpărare, însă în practică se întâlneşte frecvent.
Aşa cum vom distinge în lucrare antecontractul poate fi reprezentat:
- fie printr-o promisiune unilaterală de vânzare (sau de cumpărare);
- fie printr-o promisiunea bilaterală de vânzare sau de cumpărare.
deci se poate folosi aceeasi traducere pentru "antecontract de vanzare-cumparare" (am si acest termen in text) si pentru "promisiune bilaterala de vanzare-cumparare"
Promisiunea de vanzare- cumparare face parte din categ. contractelor nenumite- particularitatea acesteia consta in faptul ca pregateste, prefigureaza un alt contract, si anume acela de vanzare- cumparare. Antecontractul de vanzare- cumparare este acordul de vointa cuprins intr-un act juridic bilateral. Antecontractul de vanzare- cumparare mai este cunoscut sub denumirile: avancontract, precontract, contract preliminar, contract prealabil, contract provizoriu, contract preparatoriu, promisiune de contract, promisiune sinalagmatica de vanzare- cumparare, promisiune bilaterala de vanzare- cumparare.
Se deosebeste de cea unilaterala, deoarece la aceasta ambele parti se obliga a incheia in viitor contractul de vanzare-cumparare, avand calitatile de promitent si de beneficiar. Este un antecontract si nu are efect translativ de proprietate precum contractul de vanzare-cumparare. Promitentul si beneficiarul trebuie sa cada de acord asupra bunului si a pretului si chiar sa poata executa partial sau total o prestatie sau ambele. Pentru incheierea antecontractului de vanzare-cumparare nu se cere nici o conditie speciala de forma si, odata incheiat, obliga partile la indeplinirea obligatiilor asumate, in baza principiului fortei obligatorii a contractului.
