disagree  Maksym Kozub: This is usual, but says _nothing_ (unlike the original) as to _why_ that manager is entitled to act in certain ways on behalf of the company. (I.e. "Устав" says something like "The General Manager can represent the Company without a PoA".)

again, charter could be used, but more often the term "company by-laws" is used, especially when referring to the 'charter' of a commercial entity as opposed to a non-profit or governmental body

I was under the impresssion that while "Charter" is OK in UK English, "Articles of Association" is the preferred term in US English. Seeing the other answers here, I wonder if both are acceptable in both forms of English.

agree  lyolya: if it is an English company registered under the law of England, Wales, BVI.., than "Articles of Association" would be the right word, but if it is a company registered in any of the CIS countries, "Charter" would be more appropriate.

  -> Yes, in my own translations, where it usually is registered in a CIS country, I use "Charter". I only learned the other term fairly recently.

There is a practical difference between this phrase, which usually means acting in an official rather than a personal capacity, and other phrases, such as \"acting in accordance with article x.y of the articles of association\" where some very specific action is being taken, and needs explicit justification.

disagree  Maksym Kozub: See my previous comment:on this page: it is precisely about justification the manager needs to act on behalf of the company. The concept is that _something_ is needed; е.g. he could be acting "на основании доверенности" if not the Charter.
