Spanish term

constituirse en Junta General de accionistas

Spanish to English Bus/Financial Business/Commerce (general) Legal/Business
"CERTIFICA: Que en el domicilio social, con fecha X, el socio único, (Y) de esta sociedad acordó constituirse en Junta General de acccionistas, tomando la siguiente decisión: (he goes on to delegated powers)

Question: obviously, constituirse is to constitute (oneself, itself) but this use here is puzzling. Is it referring to a) the sole partner agreed to act in the capacity of the General Shareholders... (that is, he constitutes himself as the body or acts in its capacity) o b) agreed to convoke a General Shareholders Meeting... In the latter case, why not use convocar or celebrar? Hmmm.

Oksana, sorry but that's not it... He can't hold a Meeting, really, because there are no shareholders to meet with! He constitutes himself as the Meeting, legally, in order to proceed...

Neil - yes, it is ludicrous, but correct. Yes, I have confirmed that this unlikely scenario is the correct one. The sole shareholder acts as the General Board of Shareholders.
Charles Davis Feb 24, 2011:
I agree with Neil. It looks like (a).

Looks like the only person in the company agrees to set himself/herself up as the General Board of Shareholders, which sounds ludicrous but may be soundly based in law. The solution to this query will be interesting.

to hold a General Shareholders' Meeting

Esa es la idea, aunque expresada en la forma habitual que se emplea cuando son varios accionistas.
