takeover bid having exclusive character.
Explanation:
The "exclusive character" may limit acquisition to the company and/or its holdings, may exclude the company, may exclude determined entities, but in any case has to be sanctioned by the governing body of the stock market (like the Spanish CNMV). This is a form of estoppel, but I am unable to fit the term into this context.

Thanks, Parrot. I understood the meaning, I just couldn't find the term in any of my dictionaries, or in the web, etc. The client got back to me saying exclusion takeover bid is alright, so they should know ;)
