"*Derecho de Acompañamiento*. En la transmisión de participaciones sociales de acuerdo con lo dispuesto en los párrafos anteriores, se aplicarán las siguientes reglas:

i) Si el potencial comprador pretendiese adquirir, directa o indirectamente, en un sólo acto o en actos sucesivos, un volumen de participaciones sociales que le permitan alcanzar una participación igual o superior al 50% del capital social, todos los socios de la Sociedad tendrán derecho a ofrecer sus participaciones sociales en las mismas condiciones, estando obligado el comprador a adquirir en bloque todas las que le sean ofrecidas. A tal efecto, cuando los socios reciban del Órgano de Administración la notificación indicada para el ejercicio del derecho de tanteo, en el plazo de 30 días establecido anteriormente podrán comunicar su deseo de adquirir las participaciones sociales en venta o su deseo de vender sus propias participaciones al comprador."

So, the situation is: if someone is about to acquire a majority stake in the company, the other shareholders have the right to sell their shares and get out of the company entirely.

'Right to accompany' certainly does not sound right. 'Right to opt out'? Or could I give it a different title do you think, something like 'Intention to Acquire a Majority Stake'?

Investopedia Says... Tag-alongs effectively oblige the majority shareholder to include the holdings of the minority holder in the negotiations in order to facilitate the possibility that a tag-along right is exercised.
