A Clerk of Works is employed by, and directly responsible to, the Client or the Client's Architect or Consultants, to supervise the works on site to ensure that the work is carried out in accordance with the specification, drawings and Conditions of Contract. He can also usually authorise small variations, dayworks claims, extra costs, etc submitted by the Contractor, but these would have to be confirmed by the Architect or Consultant.

A Site Agent is a member of the Contractor's staff who is of sufficient standing, long experience and seniority, and qualified, usually as a Chartered Engineer, who acts as the Contractor's representative and has full legal authority to accept the client's instructions and carry out and supervise the contract on behalf of the Contractor. On a large civil engineering contract he could well be named in the contract as such, after the contractor has sought the client's approval to his appointment.
