This term occurs in a legal document from Colombia, justifying the non-rejection of an overseas proposal in a bidding process. The terms occurs in the context of a long discussion on the differences between USA and Latin coporate law, and how the USA system allows a company to exist without its purpose being fully defined in the Articles of Incorporation, while the Latin system requires that a company must be totally defined at the time it is constituted. This latter concept is referred to as the ***teoría de ultra vires***. Any ideas on how to translate this to English?
