Se trata de la Escritura de Constitución de una Fundación sin fines de lucro en donde, por supuesto, no hay accionistas. Hay una Junta de Fundadores y Benefactores y también un Consejo Directivo.

Entre las atribuciones de la Junta General Ordinaria de Fundadores y Benefactores tenemos:

"Elegir a los miembros del Consejo Directivo, excepto el primer CONSEJO DIRECTIVO PROPIETARIO".

En otro párrafo se lee:

"Dentro de los quince días siguientes al reconocimiento de la personalidad jurídica de la Fundación, la Junta General de Fundadores y Benefactores eligirá al DIRECTORIO PROPIETARIO".
