Spanish term or phrase: escritura zero
This is regarding a criminal case (Spain) that was filed alleging fraud/deception because a company in bankruptcy that was owned by two partners, was sold, each partner negotiating a sale price separately and the prices were therefore different. It seems to be a frivolous lawsuit that the attorneys of this document are trying to get dismissed. It's a motion to dismiss a criminal case due because it's just being used as a tactic to make the defendant negotiate financial compensation (querella catalana). So, it would seem that two deeds (escrituras) were probably drawn up for the sale of the shares between the buyer and the respective partners of the company being sold.

In the context below, they talk about an "escritura zero". I'm not sure if in this case this refers to a "no consideration deed" because possibly they are making one joint deed of sale at the end because two agreements were reached with the respective buyers... or if this is something else like a "summary deed" or "index deed" which is basically an introductory deed to establish all of the legal steps that need to be done and maybe that's why they call it "escritura cero". Or maybe it's something completely different.

Anyway, help and suggestions would be appreciated, especially if you have ever seen this before and have experience in Spanish law.

Context:

1) La queja del querellante sobre el supuesto engaño en la negociación del precio acordado para la venta por su parte de las participaciones sociales de [name of company being sold] es poco verosímil y, en todo caso, imputable a él mismo pues como ha quedado acreditado mediante las declaraciones practicadas, el Sr. XXXXXX nunca buscó una negociación común del precio de la compraventa de las participaciones sociales de [name of company being sold], sino que solicitó, en una reunión mantenida el [date of meeting] en las oficinas de [name of company assisting with the sale], el precio que tuvo por conveniente (en concreto, XXXX de euros).

Si se pretendía obtener un mismo precio se debió buscar una negociación conjunta, pues cuando se mantienen negociaciones separadas es habitual que se llegue a acuerdos económicos distintos.

2) Además, la parte querellante nunca solicitó información alguna sobre las condiciones y el precio de venta del otro socio de [name of company being sold], Sr. [name of one of the sellers], y ello a pesar de que ambas compraventas se realizaron de forma simultánea, el mismo día y ante el mismo Notario.

Incluso la transacción se otorgó previa suscripción de una *****escritura cero***** en la que se describían detalladamente las escrituras y actos jurídicos que se iban a ejecutar seguidamente.
