De otra parte, la Compañía Mercantil __________________, con domicilio en __________________________, representada por ______________________mayor de edad, con D.N.I. nº _________________ , en su calidad de _________________ y con poderes suficientes para la formalización del presente contrato. (En adelante el PROVEEDOR)
Y reconociéndose los reunidos la capacidad necesaria, en sus respectivas calidades para contratar y obligarse DICEN Y HACEN CONSTAR los siguientes
ANTECEDENTES
I. El CLIENTE es una empresa china integrada en el grupo español “EL CLIENTE”, que se dedica a la fabricación de piezas de fundición de hierro para el sector de la automoción. EL CLIENTE ha constituido un empresa en China (EL CLIENTE) para la puesta en marcha en la zona de Wuhu (China) de una nueva planta de fundición. EL CLIENTE ha solicitado al CLIENTE y, en concreto, a su cabecera, (NOMBRE), S.A., su apoyo en la negociación y formalización con los proveedores de los preceptivos contratos de suministro de instalaciones de la nueva planta.
II. El PROVEEDOR es una empresa independiente, que se dedica habitualmente a la construcción y suministro de equipos para plantas de fundición, tales como __________________, y cuenta con recursos humanos, capacidad técnica y experiencia suficientes para desarrollar, por sí misma y en su totalidad, la construcción y suministro ad hoc de una instalación consistente en _______________ (en adelante “(LA LINEA”), para la planta industrial indicada en el expositivo anterior, sin limitación de clase alguna.
III. Son antecedentes vigentes del presente contrato los documentos que a continuación se citan y que se adjuntan como documentos anexos al mismo:
Anexo 1: La petición de oferta realizada por (NOMBRE), S.A., de fecha ________________.
Anexo 2: La oferta ____________________, de fecha _____________, oferta nº _______________
Anexo 3: Documentación técnica y Condiciones de Aceptación relativa al proyecto de LA LÍNEA. A dicho anexo se incorporarán todos los planos y la documentación técnica prevista en el anexo 2, una vez se hayan confeccionado a conformidad de las partes contratantes.
Anexo 4: Planning de puesta en marcha de LA LINEA
Anexo 5: Carta de intenciones de _______________ relativa a cursar el pedido de una LÍNEA de fecha _____________
Anexo 6: Copia de la póliza del seguro de Responsabilidad Civil del PROVEEDOR.
IV. Que ambas partes han llegado a un acuerdo para la construcción, entrega y puesta en marcha, por parte de EL PROVEEDOR, de una LÍNEA para la planta industrial indicada en el expositivo I, por lo que otorgan el presente contrato, que se regirá por los siguientes
PACTOS
1. CONSENTIMIENTO Y OBJETO
Mediante el presente contrato se formaliza el encargo del CLIENTE a favor del PROVEEDOR, y la aceptación expresa de éste, para la construcción, entrega y puesta en marcha de una LÍNEA, en las condiciones descritas en los anexos y en la modalidad “LLAVE EN MANO”, con sujeción al precio, plazos y demás condiciones consignados en este documento.
El CLIENTE, y el personal que éste designe, suyo o del CLIENTE, tendrán en todo momento libre acceso a la construcción de LA LINEA objeto del presente contrato.
El CLIENTE podrá delegar, en cualquier momento, las facultades de control, inspección y aceptación derivadas del presente contrato en la persona que indique del CLIENTE, basando para ello una simple comunicación por escrito al PROVEEDOR.
2. CONDICIONES
LA LINEA deberá cumplir con las normas descritas en el cuaderno de especificaciones técnicas del CLIENTE, así como con la normativa CE y China.
3. PRECIO
El precio convenido es el que figura en el anexo 2 (oferta ___________), es decir, el precio global y a tanto alzado de ______________ Euros en condiciones de entrega DDU (según INCOTERMS 2000) Wuhu - China.
El precio convenido comprende todos los trabajos y materiales precisos para el perfecto funcionamiento de LA LINEA.
Si el CLIENTE ejecutase o suministrara, previo aviso no atendido por el PROVEEDOR y a fin de cumplir con los plazos o necesidades de producción, parte de los trabajos o materiales necesarios, su importe se descontará automáticamente del precio a pagar al PROVEEDOR.
En el caso de requerirse algún trabajo no incluido en el presente contrato será indispensable, tanto para su ejecución como para el abono de su importe, que previamente se hayan aprobado cantidades y precios mediante un anexo al presente contrato.
El precio es fijo, “llave en mano” y sin que quepa revisión o modificación alguna, ni por transcurso de tiempo e incidencia de éste en el valor de los materiales, mano de obra y cualesquiera otros elementos que componen las unidades contratadas.
4. FORMA DE PAGO
EL CLIENTE se compromete al abono del importe total de ____________ Euros en condiciones de entrega DDU según INCOTERMS 2000 en los porcentajes y plazos siguientes:
20 % ( _________ Euros) a la formalización del presente contrato.
(EJEMPLO – A DEFINIR EN NEGOCIACIÓN)
10 % ( _________Euros) a la entrega de planos con la conformidad del CLIENTE.
30% ( _________Euros) , a la llegada de LA LINEA a las instalaciones del CLIENTE, mediante documento bancario a 30 días.
30% ( __________Euros), a la aceptación provisional de LA LINEA por parte del CLIENTE.
10% ( _________Euros), a la aceptación definitiva de LA LINEA por parte del CLIENTE, esto es, a los 18 meses de la aceptación provisional, mediante documento bancario a los 30 días; plazo cancelable mediante presentación de un aval bancario a primer requerimiento a la fecha de aceptación provisional.
Contra el pago del 20% inicial, EL PROVEEDOR emitirá un aval bancario a primer requerimiento, por el importe del 33% del precio, a favor del CLIENTE, que será devuelto AL PROVEEDOR cuando se produzca la aceptación provisional.
5. PLAZO DE EJECUCIÓN Y PENALIDAD
Los trabajos y construcciones objeto del presente contrato se ejecutarán con arreglo a los plazos especificados a continuación:
Entrega de planos de LA LINEA: Semana_____
Suministro EXW de La LÍNEA: Semana_____
Entrega DDU de LA LINEA: Semana_____
Primera operación de LA LINEA: Semana_____
Puesta en marcha de la LÍNEA: Semana_____
Aceptación provisional de LA LINEA: Semana_____
EL PROVEEDOR declara ser consciente que el incumplimiento de los citados plazos comportaría para el CLIENTE un retraso en la puesta en marcha de la fábrica o planta industrial (dada la función esencial que cumple la LÍNEA en la planta), y que ello pondría en peligro los compromisos del CLIENTE frente a entidades financieras, clientes, accionistas…etc.
En el caso que se produjeran retrasos que hicieran peligrar el cumplimiento de los indicados plazos, EL CLIENTE se reserva el derecho de tomas las medidas necesarias para lograr su cumplimiento, siendo los costes derivados de las medidas tomadas por EL CLIENTE a cargo del PROVEEDOR.
En caso de incumplimiento en los plazos pactados, además del abono de los daños y perjuicios que, en su caso, se hubieren irrogado al CLIENTE, y/o del coste de las medidas referidas en el párrafo anterior, las partes pactan las siguientes penalizaciones contractuales: 1% del total del valor del contrato por semana de retraso, hasta un máximo del 10% del total de dicho valor. La penalización acordada será exigible sin previo aviso según el artículo 1.100 del Código Civil, empezando a contar a partir del día siguiente del vencimiento de cada uno de los plazos antes señalados.
En caso de existir más de un incumplimiento, éstos no constituirán una unidad, sino que se penalizarán por separado.
Las cantidades debidas al CLIENTE en concepto de penalización, medidas, y/o daños y perjuicios se podrán deducir de las facturas presentadas o pendientes de presentación por el PROVEEDOR, o de cualquier cantidad que éste acredite.
6. CALIDAD DE LOS TRABAJOS
Los materiales empleados y los trabajos a desarrollar por el PROVEEDOR deberán ajustarse a las mismas características, medidas y exigencias que los previstos en:
Los planos del proyecto (Anexo 3) y/o los aprobados en cada momento por el CLIENTE, aunque no estén expresados en el proyecto.
Los detallados en las especificaciones técnicas y generales (Anexo 3) y en la oferta de _____________ (Anexo 2).
La calidad de LA LINEA será siempre equiparable a la mejor calidad existente en el mercado y estado de la técnica, y deberá por supuesto cumplir con las exigencias UE y CHINA. Tales exigencias serán extensivas a tecnología, a higiene y a seguridad, entre otras materias.
El desarrollo de los trabajos deberá efectuarse al máximo nivel de organización humana y profesional.
7. INSPECCIÓN
EL CLIENTE puede enviar un inspector a los talleres del PROVEEDOR o subcontratistas de éste en cualquier momento durante el horario normal de trabajo para controlar la construcción de LA LÍNEA, la calidad de los materiales y eficiencia. El CLIENTE deberá informar de su visita con 3 días laborables de antelación.
El CLIENTE verificará el material en los talleres del PROVEEDOR antes de su envío a CHINA. A tal efecto, se firmará por las partes un informe detallado sobre el estado de LA LINEA antes de su embalaje y envío.
8. EMBALAJE Y TRANSPORTE
El PROVEEDOR deberá efectuar, con costes a su cargo, el embalaje, el seguro y el transporte de LA LINEA desde sus instalaciones hasta las del CLIENTE en Wuhu – CHINA. El seguro cubrirá las operaciones de posicionado en la planta del CLIENTE.
El PROVEEDOR, con dos semanas de antelación, deberá confirmar al CLIENTE el envío, para la perfecta coordinación del transporte.
9. MONTAJE Y PUESTA EN MARCHA
El programa de trabajo de los distintos supervisores (mecánicos, hidro-neumáticos, electro-mecánicos) y la duración de su estancia deberá ser tal que permita cumplir con los plazos de entrega fijados en el pacto 5.
El CLIENTE nombrará una persona responsable de la supervisión del personal del PROVEEDOR en lo concerniente al montaje de LA LINEA.
El CLIENTE será responsable del suministro, construcción y puesta en marcha de todos los elementos y servicios auxiliares (como aire, agua, energía eléctrica detallados en los planos y documentos técnicos entregados por el PROVEEDOR) necesarios para el correcto funcionamiento de LA LINEA.
Las carretillas, grúas, andamios u otros elementos de apoyo para el montaje de LA LINEA serán igualmente responsabilidad del PROVEEDOR y su coste y contratación correrá a su cargo.
Antes y durante el montaje, ambas partes realizarán un informe para confirmar que se ha finalizado los siguientes trabajos conforme a las fechas previstas en el planning del anexo 4:
Superficie despejada y dispuesta
Cimentaciones realizadas
Conductos de alimentación instalados (como aire, agua y energía eléctrica)
Materiales y equipos preparados en el lugar
Mano de obra lista para empezar el trabajo programado.
Tras el montaje el PROVEEDOR deberá poner en marcha LA LINEA y conseguir un funcionamiento adecuado y normalizado, a criterio del CLIENTE, que permita el inicio de las pruebas de aceptación provisional.
Translation - English PARTIES
On the one part, the Chinese Trading Company (CLIENT NAME), with its place of business based in (ADDRESS), represented by (NAME OF REPRESENTATIV), of legal age, National Identity Card. nº ***(hereafter referred to as THE CLIENT).
On the other part, the Trading Company ___(name of company)_________, with its place of business based in __(address of company)__________, represented by __(name of representative)____ of legal age, National Identity Card. nº _________________ , in the capacity of _(job title)__________ and invested with sufficient authority to formalize this contract. (hereafter referred to as THE SUPPLIER).
Both parties recognise the required capacity of the other in their respective authority to sign this contract and be bound by it, STATE AND DECLARE the following:
PREAMBLE
I. THE CLIENT is a Chinese company, part of the Spanish Group “THE CLIENT”, devoted to the manufacture of iron castings for the automotive industry. THE CLIENT has established a company in China (THE CLIENT) to start up a new foundry plant in the Wuhu area (China). THE CLIENT has asked THE CLIENT and, more exactly, its head office, ‘THE CLIENT’., to support it in negotiating and formalizing the obligatory supply contracts for the new plant.
II. THE SUPPLIER is an independent company, habitually dedicated to the construction and supply of equipment for foundry plants, such as ______________, and possesses the necessary human resources, technical capability and experience to develop the ad hoc construction and supply of an installation consisting of ____________ (hereafter referred to as THE LINE), for the aforementioned industrial plant, without any type of limitations, by itself and in its entirety.
III. The documents listed below and attached as appendices are records applicable to this contract
Appendix 1: Request for Quotation issued by THE CLIENT, S.A., dated: ________________.
Appendix 2: Quotation ___(quote ref.)_______, dated _____________, Quote nº _______________
Appendix 3: Technical Documentation and Conditions of Acceptance relating to THE LINE project. All drawings and the technical documentation outlined in Appendix 2, after all parts pertaining to the contract have been manufactured to conformity, will be included with this appendix.
Appendix 4: ¬¬ Planning Schedule for the start up of THE LINE.
Appendix 5: Letter of intent _______________ relating to placing the order for the LINE dated _____________
Appendix 6: Copy of the SUPPLIER’S Public Liability Insurance Policy.
IV. That both parties have come to an agreement regarding the construction, delivery and commissioning/start-up, by THE SUPPLIER, of a LINE for the industrial plant mentioned in point 1 above, thereby consenting to this contract, which will be governed by the following
AGREEMENTS
1. CONSENT AND OBJECTIVE
This contract formalizes the order by THE CLIENT in favour of THE SUPPLIER, with the express acceptance by the latter, for the construction, delivery and commissioning of a LINE, under the conditions described in the Appendices and in the form of a ‘TURN-KEY’ contract, subject to the price, delivery times and other conditions stated in this document.
THE CLIENT, and any personnel designated by them or from THE CLIENT, will, at any time, have free access to the construction of THE LINE concerned in this contract.
THE CLIENT, may, at any time, delegate the authority of control, inspection and acceptance contained in this contract to the person indicated by THE CLIENT, by a simple written communication to THE SUPPLIER.
2. CONDICIONS
THE LINE must comply with any regulations detailed in the CLIENT’s Technical Specifications, as well as with current regulations in force in the E.C . and in China.
3. PRICE
The agreed price is the one stated in Appendix 2 (quotation), that is, the total price and fixed contract price of ______________ Euros with DDU terms of delivery (in accordance with INCOTERMS 2000 ) Wuhu – China.
The agreed price includes all works and materials required to ensure the perfect operation of THE LINE.
If the CLIENT, in order to comply with deadlines or fulfil production needs, carries out or supplies any part of the work or materials required, after issuing a prior warning that is not heeded by THE SUPPLIER, the amount incurred will automatically be discounted from the price to be paid to THE SUPPLIER.
The price is a fixed “Turn-Key” price with no revision or modification permitted, not even with regard to the passage of time and the effect of this on the value of materials, manpower or any other elements included in the component parts of the contract.
4. TERMS OF PAYMENT
THE CLIENT promises to pay the total amount of ____________ Euros under DDU delivery terms in accordance with INCOTERMS 2000 in the following percentages and instalments:
20 % ( _________ Euros) on formalization of this contract.

10 % ( _________Euros) on delivery of the technical drawings approved by THE CLIENT.
30% ( _________Euros) , on arrival of THE LINE at the CLIENT’S plant, by bank document at 30 days.
30% ( __________Euros), on provisional acceptance of THE LINE by THE CLIENT.
10% ( _________Euros), on final acceptance of THE LINE by THE CLIENT, that is, 18 months following provisional acceptance, by bank document after 30 days; this instalment can be cancelled on presentation of a first demand bank guarantee on the date of provisional acceptance.
THE SUPPLIER will issue a first demand bank guarantee for the amount of 33% of the price, in favour of THE CLIENT, against the 20% initial down-payment, which will be returned to THE SUPPLIER when provisional acceptance has taken place.
5. COMPLETION DEADLINE AND PENALTY
The works and construction referred to in this contract will be completed under the deadlines specified below:

THE SUPPLIER states he is aware that non-compliance with the stated deadlines will mean THE CLIENT will suffer a delay in the start-up of the factory or industrial plant (given the essential function THE LINE has in the plant), and that this could compromise the CLIENT’S obligations to financial institutions, clients, shareholders etc....
In the event of any delay arising which might jeopardize completion of the stated deadlines, THE CLIENT reserves the right to take any measures necessary to achieve their completion, with the costs incurred from any measures taken being charged to the SUPPLIER.
In the event of non-compliance with any of the agreed deadlines, in addition to the amount of damages and losses that, in this case, could be incurred by THE CLIENT, and/or the cost of any of the measures referred to in the previous paragraph, the parties agree the following contractual penalties:
: 1% of the total value of the contract per week of delay, up to a maximum of 10% of the total value. The agreed penalty will be applied without prior notice in accordance with article 1.100 of the Civil Code, starting from the day following the deadline date of each aforementioned deadline.
If more than one deadline is not complied with, these will not constitute a single case, but the penalties will be applied separately.
The amounts owed to THE CLIENT as penalty payments, measures and/or damages or losses can be deducted from invoices issued or yet to be issued by THE SUPPLIER, or from any amount that the latter credits.
6. QUALITY OF WORKS
The materials used and the works to be developed by THE SUPPLIER must have the same characteristics, dimensions and requirements as those specified on:
Project drawings (Appendix 3) and/or those approved at any time by THE CLIENT , even if they are not expressed in the project.
The technical and general specifications (Appendix 3) and in the quotation _____________ (Appendix 2).
The quality of THE LINE will always correspond with the existing best market quality and state of the art, and must of course comply with regulations in the E.U and China. These requirements will extend to technology & Health & Safety, among other elements.
The development of the works must be carried out with the highest standards of human and professional organisation.
7. INSPECTION
THE CLIENT may send an inspector to THE SUPPLIER’S or their sub-contractor’s workshop at any time during normal working hours to monitor the construction of THE LINE , they quality of materials and efficiency. THE CLIENT must give 3 working days’ notice for their visit.
THE CLIENT will check the equipment in THE SUPPLIER’S workshop before it is shipped to CHINA. To this effect, both parties will sign a detailed report on the status of THE LINE before it is packed and shipped.
8. PACKING & TRANSPORT
THE SUPPLIER must carry out the packing, insurance and shipping of THE LINE, at their own cost, from their works to THE CLIENT’S site in Wuhu – china. Insurance will cover the unloading and positioning operations at the CLIENT’S site.
THE SUPPLIER must confirm shipment to THE CLIENT, two weeks in advance, in order to ensure perfect coordination of the transport.
9. INSTALLATION AND COMMISSIONING
The schedule of work for the different supervisors (mechanical, hydro-pneumatic, electro-mechanical) and the duration of their stay must be organised so that the delivery deadlines agreed in Agreement 5 can be adhered to.
THE CLIENT will nominate a person to be responsible for supervision of the SUPPLIER’S personnel relating to the installation of THE LINE.
THE CLIENT will be responsible for the supply, construction and commissioning of all auxiliary elements and services (such as air, water, electrical supply detailed on drawings and technical documents supplied by THE SUPPLIER), that are necessary to ensure the correct functioning of THE LINE.
Fork-lift trucks, cranes, scaffolds or any other support equipment for the installation of THE LINE will also be the responsibility of THE SUPPLIER and they will be responsible for the related costs and sub-contracting required.
Before and during the installation, both parties will produce a report to confirm that the following works have been completed, in line with the scheduled dates in the planning schedule in Appendix 4:
Surface cleared and prepared
Foundations completed
Conduits and supply (cables) installed (such as air, water and electrical supply)
Materials and equipment prepared on site.
Manpower ready to start the programme of works.
After installation, THE SUPPLIER must commission THE LINE and achieve adequate and normal operation, according to the criteria of THE CLIENT, in order to allow the tests for provisional acceptance to begin.
