xxxxxxxxxxxxxx Ltd (“xxx”), società costituita in persona giuridica in Inghilterra e Galles, con sede legale in xxxxxx, xxx Londra xxx xxx, Regno Unito, debitamente rappresentata dal sig. xxxxxxx in qualità di rappresentante autorizzato, in forza della procura emessa dall’amministratore unico di xxx Ltd sig.ra xxxxxxxx in data 26 luglio 2007 (di seguito “Acquirente”)
Propone a
xxxxxxx S.r.l., società costituita in persona giuridica in Italia, con sede legale ixxxxx, xxxxx, Italia, debitamente rappresentata dal sig. xxxx in qualità di presidente del consiglio di amministrazione (di seguito “Venditore”)
Di acquistare l’aeromobile xxxxxxx numero di serie del costruttore xxxxxx, matricola xxxxxx (di seguito “Aeromobile”) equipaggiato con due motori xxxxxx numero di serie del costruttore xxx e Pxxx, un APU Hamilton xxxxxx numero di serie del costruttore xxxxx, completamente accessoriato come da dotazione standard di fabbrica e come da caratteristiche tecniche specifiche allegate e incorporate al presente documento (allegato A).
Al prezzo di acquisto totale di 2.765.000,00 (duemilionisettecentosessantacinquemila) dollari USA esclusa IVA (di seguito “Prezzo di acquisto”).
Ai seguenti termini e condizioni
1) Con la presente il Venditore garantisce di detenere la proprietà reale e legale dell’Aeromobile e di avere titolo franco e libero sullo stesso.
2) L’Aeromobile dovrà essere consegnato all’aeroporto Le Bourget di Parigi.
3) All’atto della consegna l’Aeromobile dovrà essere in condizioni atte al volo, con tutti i sistemi e le apparecchiature installati in perfetto stato di funzionamento. L’Aeromobile non dovrà aver subito danneggiamenti in genere e non dovrà presentare zone di corrosione per quanto a conoscenza del Venditore.
4) L’Aeromobile dovrà essere consegnato corredato da tutte le Istruzioni di Navigabilità (AD’s) e i Bollettini di Servizio obbligatori (SB’s) in ottemperanza a tutte le norme vincolanti sulla manutenzione in vigore al momento della consegna.
5) L’Aeromobile dovrà essere consegnato corredato da diari di bordo, manuali di volo, diagrammi dei circuiti elettrici, libretti e resoconti di manutenzione, autorizzazioni alle modifiche con la relativa documentazione e rapporti di esecuzione, modulo 1 FAA o equivalente per tutti gli oggetti a vita limitata e tutta la restante documentazione, resoconti, pratiche o equipaggiamento secondario generalmente consegnato con l’Aeromobile, comprese, ma non solo, le coperture statiche e del motore.
6) L’Aeromobile dovrà essere consegnato unitamente a un Certificato di navigabilità per le Bermuda idoneo all’esportazione.
7) I motori dell’Aeromobile devono essere iscritti al Programma MSP di Honeywell pagato per intero entro la data di consegna dell’Aeromobile stesso.
8) L’Aeromobile è venduto nello stato in cui si trova, così come visto e piaciuto, con l’esclusione da parte del Venditore di qualsiasi garanzia salvo quelle espressamente indicate nel presente documento. Il Venditore collaborerà per quanto possibile con l’Acquirente per mantenere la continuità delle garanzie, se ne esistono, ancora in vigore relative all’Aeromobile e ai sistemi in genere a favore dell’Acquirente.
9) Il Venditore garantisce che l’Aeromobile è libero da diritti di ritenzione e/o vincoli e ipoteche di alcun tipo e non è soggetto a condizioni di alcun genere per il libero utilizzo o sfruttamento. Tutte le quote di abbonamento relative all’Aeromobile dovranno essere pagate per intero entro la data di consegna dell’Aeromobile stesso.
10) Il Venditore dovrà consegnare l’Aeromobile all’Acquirente unitamente a un atto di vendita che trasferisca a pieno titolo l'Aeromobile stesso.
11) Entro 5 giorni lavorativi dall’accettazione della presente Offerta, l’Acquirente dovrà costituire un deposito rimborsabile di 50.000,00 (cinquemila) dollari USA (di seguito “Deposito”) presso xxxxx, xxxx, xxxx Ginevra rappresentata dal sig. xxxxx in qualità di Escrow Agent ai sensi della presente Offerta (di seguito "Escrow Agent").
Il Deposito sarà trasferito all’Escrow Agent a mezzo bonifico bancario secondo le seguenti istruzioni:

Al ricevimento dei fondi da parte dell’Escrow Agent, il Venditore metterà l’Aeromobile a disposizione dell’Acquirente a Milano Linate, Italia. L’Acquirente (i) incaricherà Uni-Air Enterprise (UAE) di fornire un equipaggio qualificato e far volare l'Aeromobile a Parigi per effettuare un sopralluogo preventivo, compreso un test di volo per stabilire se l'Aeromobile e tutte le sue parti, componenti e sistemi soddisfino i requisiti della presente Offerta, (ii) organizzerà e sosterrà le spese del sopralluogo preventivo, del rimessaggio a Parigi e dei piloti, oltre che pagare le spese di viaggio e le tasse per l’atterraggio, il carburante e MSP, (iii) incaricherà UAE di fornire un estratto del rapporto relativo al sopralluogo preventivo che indichi tutte le discrepanze riscontrate entro tre giorni lavorativi dalla fine del sopralluogo preventivo, e in ogni caso non oltre il 20 agosto 2007.
Il Venditore è responsabile del fatto che l’Aeromobile sia debitamente assicurato per i voli e che UAE e i piloti siano ulteriormente e reciprocamente assicurati con deroga di ricorso. I rappresentanti del Venditore sono autorizzati a partecipare a tutti i voli e le ispezioni.
12) Il Venditore ha il diritto di correggere a proprie spese le eventuali discrepanze riscontrate.
13) L’Acquirente può accettare o respingere l’Aeromobile, a propria unica discrezione, entro e non oltre 5 giorni lavorativi dal termine del sopralluogo preventivo e dalla rettifica delle eventuali discrepanze riscontrate oppure dalla firma di un accordo tra le parti per la rettifica di tali discrepanze. L’accettazione o il rifiuto dell’Aeromobile dovranno essere notificate al Venditore in forma scritta a mezzo corriere espresso, fax o e-mail. Se l’Aeromobile non è stato respinto dall’Acquirente durante tale periodo, sarà considerato accettato.
14) Al momento dell’accettazione dell’Aeromobile, il Deposito diventerà non rimborsabile e nel caso in cui l’Acquirente non dovesse portare a termine l’acquisto prima della scadenza stabilita al paragrafo 19 della presente Offerta, a meno che il mancato acquisto sia imputabile al rifiuto del Venditore di concludere il Contratto di vendita oppure il Venditore non ottemperi agli obblighi o alle garanzie descritti nel presente documento, il Venditore avrà diritto a ricevere l’intero ammontare del Deposito in luogo di altri pagamenti, indennizzi o risarcimenti in genere.
15) All’accettazione dell’Aeromobile da parte dell’Acquirente, l’Aeromobile rimarrà debitamente assicurato a cura del Venditore e ricoverato in hangar a spese del Venditore per un importo massimo di 1.000,00 euro mensili, salvo il diritto del Venditore di essere risarcito dall’Acquirente per i costi di rimessaggio eccedenti da tale somma. Dopo il sopralluogo preventivo l’Aeromobile non potrà volare fino al momento della consegna, salvo quanto diversamente stabilito dalle parti. Le parti concordano che l’Aeromobile potrà volare a Milano Linate e ritornare a Parigi Le Bourget a spese del Venditore per assolvere i dazi doganali italiani se necessario. In caso di rifiuto dell’Aeromobile, quest’ultimo sarà riportato in volo a Milano Linate a spese dell’Acquirente.
16) Le parti concordano di stipulare un atto di vendita notarile (di seguito “Contratto di vendita”) basato sui termini e condizioni della presente Offerta di acquisto entro e non oltre 10 giorni dall’accettazione dell’Aeromobile. Il Venditore concorda espressamente che l’Acquirente possa trasferire i diritti e gli obblighi che gli derivano dal presente accordo a un cessionario scelto dall’Acquirente stesso a condizione che (i) il Venditore non abbia ragionevoli motivi per rifiutare tale cessionario come acquirente dell’Aeromobile, acquisto che comprende eventuali tasse e IVA a carico del Venditore, e (ii) l’Acquirente abbia trasmesso al Venditore il nome e i documenti societari del cessionario.
17) L’Acquirente concorda di trasferire con bonifico bancario il saldo del Prezzo di acquisto (2.715.000.00 dollari USA) all’Escrow Agent, da una banca europea affidabile, prima della firma del Contratto di vendita con un ordine irrevocabile di rilascio dei fondi a favore del Venditore, conformemente alle clausole dell’Accordo a garanzia, al ricevimento da parte dell’Escrow Agent di (a) un atto di vendita debitamente redatto, (b) il certificato di navigabilità per le Bermuda, (c) la conferma della cancellazione dell’Aeromobile da parte delle autorità italiane competenti, [ENAC] (d) la ricevuta di consegna dell’Aeromobile debitamente firmata dall’Acquirente (e) la fattura commerciale rilasciata dal Venditore per la vendita dell’Aeromobile.
18) Il trasferimento finale del titolo e la consegna avverranno all’atto del pagamento del Prezzo di acquisto da parte dell’Escrow Agent al Venditore.
19) La tempistica è l’essenza della presente offerta. Posto che l’Acquirente abbia debitamente accettato l’Aeromobile entro il 25 agosto 2007, la transazione deve concludersi entro le ore 18:00 GMT del 30 settembre 2007. Se il Venditore non avrà inviato uno o più documenti indicati ai paragrafi 17a, b, c ed e entro la data stabilita, l’Acquirente sarà autorizzato a detrarre 1.000,00 (mille) dollari USA dal prezzo di acquisto per ogni giorno di ritardo nell’invio di tale documentazione e in ogni caso per un ammontare massimo di 50.000,00 (cinquantamila) dollari USA, in luogo di qualsiasi altro pagamento, indennizzo o risarcimento in genere. Se il Venditore non avrà inviato tali documenti entro il 20 novembre 2007, l’Acquirente sarà autorizzato a interrompere la vendita dell’Aeromobile a propria unica discrezione. La somma di 50.000,00 dollari USA sarà pagata al Venditore dall’Acquirente in luogo di qualsiasi altro pagamento, indennizzo o risarcimento in genere.
20) Il Venditore e l’Acquirente saranno entrambe responsabili per il pagamento di eventuali franchigie, tasse sulla vendita, sull’utilizzo o imposte similari, nonchè dazi doganali o accertamenti tributari che possano essere imposti dalle autorità governative dei Paesi nei quali il Venditore e l’Acquirente hanno i rispettivi uffici o sedi oppure hanno registrato o registreranno l’Aeromobile. Qualsiasi dazio d’importazione o IVA imposti dal nuovo Paese di registrazione o di stazionamento dell’Aeromobile sarà a carico dell’Acquirente. Ciascuna delle parti sarà responsabile per il pagamento dell’imposta sul reddito ad essa spettante relativamente alla presente transazione.
21) La presente Offerta, il conseguente Contratto di vendita e qualsiasi rettifica al presente documento saranno amministrati e interpretati conformemente alla legislazione svizzera. Le eventuali dispute derivanti dalla presente Offerta o ad essa collegate saranno regolate definitivamente secondo le norme e l’arbitrato della Camera di Commercio Internazionale, sede di Ginevra, da uno o più arbitri nominati conformemente a tale regolamento.
22) Le parti non saranno responsabili per le eventuali conseguenze di qualsiasi ritardo nell’esecuzione degli obblighi derivanti dalla presente Offerta se tale ritardo è dovuto a cause che vanno oltre il ragionevole controllo di ciascuna di esse e ambedue le parti potranno ottenere una ragionevole proroga per assolvere tali obblighi.
23) Per essere considerata valida, la presente Offerta deve essere accettata entro e non oltre le ore 18:00 GMT del 1° agosto.

xxxxx S.r.l., a company incorporated in Italy having its registered office xxxxxx, xxxxxx, Italy duly represented by Mr. xxxxxx in his capacity of Chairman of the Board of Directors
(herein referred to as the “seller”)
To purchase the aircraft xxxxxxx Manufacturer serial number xxxxx xx xxxx, Registered xxxxx (herein referred to as the “Aircraft”) equipped with two engines xxx xxxx manufacturer serial number xxxxx and xxxxx an APU Hamilton xxxxxx manufacturer serial number xxxxx altogether with standard accessories as specified by the manufacturer and to the specification sheet attached hereto and incorporated herein (Annex A).
For a total Purchase Price of 2,765,000.00 (two million seven hundred and sixty five thousand dollars US) VAT not included (herein referred to as the “Purchase Price”).
Subject to the following terms and conditions
1) Seller hereby warrants that Seller is the true and legal owner of and has clear title rights of the Aircraft.
2) Aircraft shall be delivered at Paris Le Bourget
3) Aircraft shall be delivered in airworthy condition, with all systems and equipments installed functioning properly. Aircraft shall have no damage history and be free of erosion at the best Seller’s knowledge.
4) Aircraft shall be delivered with all Airworthiness Directives (AD’s) and mandatory Service Bulletins (SB’s) complied with all mandatory maintenance current at time of delivery.
5) Aircraft shall be delivered with all Logbooks, Flight Manuals, Wiring Diagrams, Maintenance Books and Records, Modification Approvals with proper documentation and wirings, FAA Form 1 or FAA equivalent for all life limited items and any other documentation, records, paperwork or minor equipment usually delivered with Aircraft including but not limited to Engine Pitot and static covers.
6) Aircraft shall be delivered with an Export Certificate of Airworthiness to Bermuda.
7) Aircraft engines shall be enrolled under the xxxxxx MSP Program fully paid at time of delivery.
8) Aircraft is sold on an “as is “ basis with no warranties whatsoever from the Seller except those included in the present document. Seller will reasonably assist Purchaser to maintain continuity of the warranties, if any, still in effect with respect to the Aircraft and Systems for Purchaser benefit.
9) Seller warrants that the aircraft is sold without any liens and encumberances of any kind nor is subject to any conditions for a free use or exploitation. All subscription fees related to the Aircraft shall be fully paid at time of delivery.
10) Seller shall deliver the Aircraft to the Purchaser with a Bill of Sale carrying full title to the Aircraft.
11) Within 5 working days of the acceptance of the present Offer, Purchaser shall make a refundable deposit of 50,000 USD (fifty thousand dollars US) (herein referred to as the “Deposit” to xxxxxxx, xxxxxx, xxxx Geneva represented by Mr. xxxxx acting as Escrow Agent under the present Offer (herein referred to as the “Escrow Agent”).
The Deposit shall be SWIFT WIRED to the Escrow Agent, according to the following instructions:

At reception of funds by the Escrow Agent, Sellers shall make the Aircraft available to
Purchaser at Milano Linate, Italy. The Purchaser shall (i) have Uni-Air Enterprise (U.A.E.) provide a duly qualified crew and fly the Aircraft to Paris and perform a Pre-Purchase survey, including a test flight to determine that the Aircraft and all its parts, components and systems comply with the requirements of this Offer, (ii) arrange and pay for Pre-Purchase survey, hangaring in Paris, pilots, en route taxes and landing fees, fuel and MSP (iii) have U.A.E. provide an extract of the Pre-Purchase survey report showing all found discrepancies within three working days of the end of the Pre-Purchase inspection, in any event not later than the 20th of August, 2007.
The Seller is responsible that the aircraft is properly insured for the flights and that U.A.E and the pilots are additionally insured with waiver of recourse with reciprocity. Representatives of the Seller shall be allowed to attend any flight and inspection.
12) Seller has the right to correct found discrepancies, if any, at sellers expense.
13) Purchaser may accept or reject the Aircraft, at his sole discretion, not later than 5 working days after the termination of the Pre-Purchase survey and the correction of the found discrepancies, if any, or the signature of an agreement between the parties for the correction of such discrepancies. Acceptance or rejection of the Aircraft shall be in writing to Seller by means of Courier, Fax or e-mail. If the Aircraft has not been rejected by the Purchaser during that period it shall be considered accepted.
14) When Aircraft is accepted, the Deposit becomes non refundable and in the event of Purchaser failing to complete the purchase before the deadline stipulated in paragraph 19 of the present Offer, unless the failure is the result of the seller’s failure to enter in the Sale Agreement or the Seller being in breach of any of its obligations or warranties set out herein. Seller shall be entitled to receive the total amount of the Deposit in lieu of any other payments, damages or remedies.
15) After the Purchaser’s acceptance of the Aircraft, the aircraft shall remain properly insured by Seller and hangared at Seller’s cost with a maximum amount of Euro 1,000 per month and with a right of the Seller to be indemnified by the Purchaser for hangaring costs exceeding such amount. Aircraft shall not be flown after the Pre-Purchase survey until delivery unless agreed otherwise by both parties. Both Parties agree that the Aircraft may be flown to Milano Linate and return to Paris Le Bourget at Seller’s expense in order to clear Italian customs if needed. In the event of rejection of the Aircraft, the Aircraft shall be flown back to Milan Linate at Purchaser’s costs.
16) Both Parties agree to enter a Notarial Deed of Sale (herein referred to as the “Sale Agreement”) based on the terms and conditions of the present Offer to Purchase within 10 days of the acceptance of the Aircraft. The seller expressly agrees that Purchaser may transfer its rights and obligations under the present agreement to an assignee of Purchaser choice provided that (i) Seller has no reasonable ground to refuse this assignee as an aircraft buyer, including any tax risk, including VAT, upon the Seller and (ii) the Purchaser has delivered to the Seller the name and corporate documents of the assignee.
17) Purchaser agrees to wire-transfer the balance of the Purchase Price (2,715,000.00 USD) to the Escrow Agent, from a well established European bank, before the signature of the Sale Agreement with an irrevocable order to release the funds to the Seller according to the provision of the Escrow Agreement, at reception by the Escrow Agent of (a) a duly executed Bill of Sale, (b) the Export Certificate of Airworthiness to Bermuda, (c) confirmation of the deregistration of the Aircraft by Italian authorities, [ENAC] (d) delivery receipt of the Aircraft duly signed by Purchaser (e) a commercial invoice rendered by the Seller for the Sale of the Aircraft.
18) Closing transfer of title and delivery shall be at the payment of the Purchase Price by the Escrow Agent to the Seller.
19) Time is the essence of this offer. Provided that the Purchaser has duly accepted the Aircraft within 25 August 2007, Closing shall occur before September 30th, 2007 at 18:00 UTC. Should Seller fail to send one or more of the documents mentioned in paragraphs 17a,b,c and e before the said date, Purchaser shall be entitled to deduct USD 1,000.00 (one thousand dollars US) from the Purchase Price per day of delay in sending such document(s) and in any event with a maximum amount of USD 50,000.00 (fifty thousand dollars US), in lieu of any other payment, damage or remedy. Should the Seller ail to send the said document(s) before the 20th day of November 2007, Purchaser will be allowed to terminate the Sale of the Aircraft at its own discretion. The 50,000.00 USD shall be paid to the Seller by the Purchaser in lieu of any other payments, damages or remedies.
20) Seller and Purchaser shall be each responsible for the payment of any franchise, sales, use or similar taxes or assessments and duties which may be imposed by a government authority in the countries and states where the Seller and Purchaser have their respective offices or base pr where they have or will register the Aircraft. Any import duty or VAT levied by the new country of registration or stationing of the Aircraft shall be borne by the Purchaser. Each Party shall be responsible for the payment of their own income taxes associated with this transaction.
21) This present Offer, the resulting Sale Agreement and any amendments therein shall be governed and construed in accordance with the law of Switzerland. All dispute arising out of or in connection with the present Offer shall be finally settled under the rule and arbitration of the International Chamber of Commerce, place of venue to be Geneva, by one or more arbitrators appointed in accordance with the said rules.
22) Neither Party shall be liable for the consequence of any delay in performing any of its obligations under the present Offer if such delay is due to any cause whatsoever beyond its reasonable control and both Parties shall be entitled to reasonable extension of time for performing such obligations.
23) To remain valid the present Offer shall be accepted before August 1st 18:00 UTC.

Smontaggio:
1. Aprire il portello del pozzetto e andare in sala macchine
2. Staccare interruttore e svuotare l’impianto prima di iniziare la fase di smontaggio.
3. Rimuovere la scaletta della sala macchine per facilitare le manovre.
4. Scollegare i connettori dell’autoclave.
5. Svitare le quattro viti di fissaggio alla base dell’autoclave.
6. Staccare i tubi dell’acqua dell’autoclave e bloccare con un panno il flusso d’acqua.
7. Rimuovere l’autoclave e sostituirla.
8. Svitare i raccordi dalla vecchia autoclave e montarli sulla nuova *, ricordandosi di mettere del teflon sulla filettatura del raccordo.
Montaggio:
9. Avvitare i bulloni di fissaggio alla base dell’autoclave.
10. Collegare i tubi dell’acqua e i connettori dell’autoclave.
11. Armare l’interruttore e verificare il funzionamento corretto dell’autoclave.
12. Posizionare la scaletta e attaccare l’interruttore.

*ATTENZIONE: nel caso in cui l’autoclave nuova sia differente dalla vecchia, cambierà anche il sistema di fissaggio. Quindi bisognerà adattare la piastra di fissaggio della nuova autoclave alla base, facendo dei buchi col trapano sulla vetroresina. Bisognerà eventualmente anche cambiare i raccordi dei tubi di entrata e d’uscita acqua e i connettori elettrici.
Ciascun lavoratore deve prendersi cura della propria sicurezza , della propria salute e di quella delle altre persone presenti sul luogo di lavoro, su cui possono ricadere gli effetti delle sue azioni o omissioni, conformemente alla sua formazione, alle istruzioni, ai mezzi forniti dal datore di lavoro ad alle normative vigenti nel territorio in cui si opera.
Gli addetti agli interventi di riparazione e ad altre operazioni necessarie devono indossare idonei indumenti protettivi e dispositivi di protezione delle vie respiratorie. In ogni caso l'uso dei dispositivi di protezione non può essere permanente e la sua durata, per ogni lavoratore, è limitata al minimo strettamente necessario.
Si ricorda di proteggere la parti circostanti l’area di intervento prima di operare. Al termine dei lavori le protezioni dovranno essere rimosse e la zona dovrà essere lasciata pulita
E’ buona norma, per il rispetto del delicato ambiente marino, non disperdere in mare le scorie provenienti dalle operazioni svolte sulla barca. In caso di perdite di oli o fluidi inquinanti si raccomanda di raccoglierli interamente e smaltirli a terra.

3. For ease of movement remove the ladder in the engine room.
4. Disconnect the connectors on the water pump.
5. Unscrew the four screws anchoring the base plate.
6. Remove the water pipes (use a rag or something similar to block the flow of water).
7. Remove and replace the pump.
8. Unscrew the attachments on the old pump and connect them to the new one *,
(remember to wrap Teflon tape around the threaded ends of pipes).
Reassembly:
9. Tighten the 4 anchoring screws on the base plate.
10. Connect the water hoses and connectors.
11. Prime the pump and make sure that it functions correctly.
12. Reposition the ladder and reconnect the pump to the power supply.
*IMPORTANT: if the new pump is different from the one being replaced, the fixing plates may also be different. Adapt the plates at the base of the new pump and drill new holes in the fibreglass. It may also be necessary to change the electrical and the in/out water connections.

Remember to protect the surrounding areas before performing any repairs and/or maintenance. When finished all protection is to be removed and the areas are to be left clean.
Avoid endangering the delicate marine environment. Do not dispose of waste products from repairs and/or maintenance performed on boats in the sea. Any spillages of oil or other liquid pollutants are to be completely absorbed (with pads or rags) and disposed of at an authorized waste reception facility.
