Source text - English Volume in the reverse merger market continues to be strong as a rally during the last week of the second quarter helped the deal numbers edge above the first quarter to a total of 69.
While the majority of the deals are still closing in the U.S.,
dealmakers continue to look to China as fertile ground for growth.
Institutional investor interest continues to fuel financings though anecdotal evidence points to more due diligence before investors sign off on deals.
Year over year, the quarter showed a gain of 25 deals, or an increase of about 56%, demonstrating that companies still look at the reverse merger structure as strong alternative to the more traditional initial public offering market and the risk that comes with it.
“This quarter wasn’t as crazy as the first quarter but April and May were busy despite the domestic [market] being off.
China is just as busy,” said Richard Anslow, managing partner of Anslow & Jaclin, a Manalapan, N.J.-based law firm that specializes in bringing companies public as well as PIPE financings.
The numbers back him up.
April showed 19 deals getting done, while the pace in May was almost at a deal a day –the second busiest month this year after February’s total of 34.
Anslow said that the pace of deals does tend to slow during the summer, and June’s total of 20 closings is a drop off from the pace set in May.
While investors may be kicking the tires a little more on deals coming out China, according to Anslow, there are no major factors that are likely to derail the flow of companies looking to go public in the U.S.
Though plans for a new office in Beijing have been in the works for months, Anslow is confident his company will be on the ground on a daily basis in China by fall.
Anslow & Jaclin has been building business in China as have other reverse merger players, and deal flow from the country represented 32% of the overall total deals that closed in the second quarter, the same figure captured by China deals in the first quarter of this year.
Chris Efird, president of Access America Investments in Houston, sees the situation in China getting better, even as the pace of deals slows slightly.

The testing process is designed to ensure the validity of the test results.
The bacteria are first mixed with reference water. The user should choose a source of reference water that is either: filtered and purified tap water (using active charcoal and ion resin), or bottled mineral water from a local source. The reference water has been filtered and purified so that it is “clean”, high-quality drinking water. The reference test luminescence level provides a benchmark against which to measure the luminescence levels of subsequent tests.
Positive Control Test
In order to verify that all the components are performing properly and thus ensure that the test results are reliable, the system performs a positive control test. The positive control is a dilution of the disinfection solution in reference water in a 1:10 ratio. This solution is toxic to the bacteria, and therefore the recorded light emissions should be reduced by at least 50%. If this occurs, the conclusion is that the initial state of the bacteria and the buffers in pure reference water (with no admixture of disinfection solution) is robust, i.e. the bacteria are “healthy” and thus capable of producing reliable and sensitive test results. If, however, the positive control test shows a decrease in luminescence of less than 50% (as compared with the reference test), it indicates that at least one of the components is performing improperly. This compromises the reliability of the regular tests. Thus a positive control test failure is considered a system malfunction, and must be rectified before regular testing can begin.
Assuming the positive control test results are satisfactory, the system proceeds to continuous regular testing of the inlet water (assay tests). The limit of acceptable change in luminescence level (as compared with the reference test level) has been preset in the system. In the graphical depiction of the test results (see Graphical Test Measurements, page 46), this limit is represented by the dividing lines between the green and red zones. As long as the test results fall within the range of acceptability (green zone), the system status is “all clear”.
If, however, the luminescence level of the inlet water test sample falls outside the acceptable limits (red zones), the system performs another reference test to ascertain that the assay test is functioning properly and the test result is updated and reliable. Once the reference retest has confirmed that the test conditions are in order, the system repeats the inlet water test. If the reading again exceeds the acceptable limits, the sample is considered to have failed the test, i.e. the water is considered to be contaminated.
In the event that the sample fails the test as aforementioned, the system is now in “alarm” status. A sample of the contaminated water (grab sample) is captured in an external container for further analysis. The CCB-TOX monitor exhibits various alarm responses (as described in Alarm State, page 51), and sends real-time SMS contamination alerts to the appropriate authorities. The testing process resumes, and the system operator is then required to reset the alarm.

In Windows XP with SP2, users can flip a 3 GB switch to increase the total amount of memory that an application or process can use to 3 GB. The 3 GB-switch can be beneficial for memory intensive programs. Typically, the 3 GB-switch does not need to be enabled for Revit Architecture. However, there are some circumstances in which Revit Architecture can benefit from the increase in total memory.
Who Should Consider Enabling the 3-GB Switch?
In Revit Architecture, the size of a model determines the amount of memory required. If you are designing large models, you should consider enabling the 3 GB-switch. However, you should only enable the 3 GB-switch if more than the 2 GB default of total memory is required.
If Revit Architecture crashes frequently at unpredictable times, it is an indication that the 3 GB-switch is required. To determine whether a recent crash is due to memory issues, open the journal file that corresponds to the crashed Revit Architecture session. I have requested that Dr. Silkiss attempt to improve my facial spasm with Botox. This is the trademark for
botulinum toxin. These injections have been used for more than two decades in children and adults to
improve the problem of muscle spasm of the facial muscles. This toxin has also been useful to correct
double vision due to muscle imbalance. This medication is FDA approved for the treatment of blepharospasm,
hemifacial spasm strabismus and even wrinkles. Injection of minute amounts weakens the muscle
and thus weakens the spasm. Botox causes weakness or paralysis of the muscle injected. Although the
results are usually significant, I have been informed that the practice of medicine is not an exact science
and that no guarantees can be or have been made concerning expected results.
The Botox solution is injected with a small needle into the muscle. You may see the benefits develop
over the next five to seven days; the benefits usually last for three to six months. Less facial spasm, eyelid
closure or frowning will be possible.
