Estimado cliente,
En XXXXX sabemos que estamos en un momento incierto y difícil en el universo de renta fija. Los repuntes de inflación han provocado que la rentabilidad de los bonos gubernamentales ya haya comenzado a subir en la mayor parte de los mercados, lo que podría suponer pérdidas para los inversores en la renta fija tradicional. Por ello
nos esforzamos en ofrecer soluciones innovadoras que puedan cubrir sus necesidades en varios entornos de mercado, incluso el actual.
¿Qué opciones hay?
En un entorno de economía en crecimiento en el cual los spreads deberían de mantenerse contenidos, con la reducción del programa de compras de bonos de los bancos centrales, y ante la necesidad de mantener renta fija en nuestra cartera por diversificación, desde XXXXX preferimos estrategias alternativas de crédito con “carry” y corta duración que no están dentro de estos programas de flexibilización cuantitativa. En ocasiones anteriores hemos mencionado activos como los bonos AT1 y hoy queremos contarles otra estrategia que les puede resultar interesante: los bonos híbridos.

¿Cómo es el mercado de híbridos?
• Los emiten fundamentalmente empresas europeas no financieras.
• Habitualmente son de emisores con grado de inversión (IG).
• Los emisores IG reciben un “equity credit” por parte de las agencias de rating. Esto significa que en lugar de contar como 100% deuda, se contabiliza generalmente como 50% deuda y 50% equity, lo que permite a las empresas reducir sus ratios de endeudamiento y a las agencias de rating mejorar el rating crediticio de las empresas en cuestión.

What is the hybrid market?
• Hybrid bonds are issued mainly by European non-financial companies.
• They are usually issued by investment grade (IG) issuers.
• IG issuers receive an equity credit from rating agencies. This means that instead of being classified as 100% debt, they are generally treated as 50% debt and 50% equity, which enables companies to reduce their debt ratios and rating agencies to improve the credit ratings of the companies in question.
• This is a market that has seen strong growth and has now reached EUR 160 billion²

SENTENCIA Nº 146/2011
En Guadalajara, a quince de septiembre de dos mil once.
Doña MARÍA GALLARDO MONJE, Magistrado-Juez del Juzgado de 1ª Instancia n° 4 de Guadalajara y su Partido Judicial, habiendo visto los autos de SEPARACIÓN 334/2011 seguidos de mutuo acuerdo, a instancia de DOÑA XXXXXXXXXX y D. XXXXXXXXXX representados por las Procuradoras Sra. Ortiz Larriba y Sra. López Manrique respectivamente y asistidos por la Letrada Sra. Sierra Muñoz, siendo parte el Ministerio Fiscal, pronuncia la siguiente Sentencia:
ANTECEDENTES DE HECHO
PRIMERO.- Por las Procuradoras Sra. Ortiz Larriba y Sra. López Manrique, en nombre y representación de DOÑA XXXXXXXXXX y D. XXXXXXXXXX, se presentó escrito solicitando la separación del matrimonio de sus representados, acompañando convenio regulador firmado por los esposos en fecha 4 de abril de 2011, con las siguientes estipulaciones:
CLÁUSULAS
PRIMERA.- Los cónyuges se autorizan a residir en distintos domicilios, renuncian a interferirse en la vida privada y actividades del otro.
SEGUNDA.- El uso y disfrute el domicilio conyugal sito en el piso de alquiler Calle Humanes de Mohernando, n° 1, Esc 3, 2º A se atribuye a las hijas menores y la madre.
TERCERA.- Las hijas del matrimonio continuarán bajo la patria potestad de ambos progenitores, pero quedarán bajo la guarda y custodia de la madre con quien convivirán.
CUARTA Régimen de Comunicación y Permanencia: El padre tendrá derecho a comunicarse con las menores con total libertad, siempre y cuando no interfiera en los horarios de descanso y escolares de las hijas.
En principio, el régimen de visitas se determinará previo acuerdo de ambos progenitores, pero para el caso de desacuerdo y como mínimo se estará al siguiente régimen, debiendo ser interpretado con criterios de flexibilidad y buena fe, dado que se contempla como un derecho de los menores.
PROTECCIÓN DE DATOS:
Lo/s compareciente/s quedan informado/s de lo siguiente: Sus datos personales serán objeto de tratamiento en esta Notaría, los cuales son necesarios para el cumplimiento de las obligaciones legales del ejercicio de la función pública notarial, conforme a lo previsto en la normativa prevista en la legislación notarial, de prevención del blanqueo de capitales, tributaria y, en su caso, sustantiva que resulte aplicable al acto o negocio jurídico documentado. La comunicación de los datos personales es un requisito legal, encontrándose el otorgante obligado a facilitar los datos personales, y estando informado de que la consecuencia de no facilitar tales datos es que no sería posible autorizar o intervenir el presente documento público. Sus datos se conservarán con carácter confidencial.
La finalidad del tratamiento de los datos es cumplir la normativa para autorizar/intervenir el presente documento, su facturación, seguimiento posterior y las funciones propias de la actividad notarial de obligado cumplimiento, de las que pueden derivarse la existencia de decisiones automatizadas, autorizadas por la Ley, adoptadas por las Administraciones Públicas y entidades cesionarias autorizadas por Ley, incluida la elaboración de perfiles precisos para la prevención e investigación por las autoridades competentes del blanqueo de capitales y la financiación del terrorismo.
El notario realizará las cesiones de dichos datos que sean de obligado cumplimiento a las Administraciones Públicas, a las entidades y sujetos que estipule la Ley y, en su caso, al Notario que suceda o sustituya al actual en esta notaría.
Los datos proporcionados se conservarán durante los años necesarios para cumplir con las obligaciones legales del Notario o quien le sustituya o suceda.
Puede ejercitar sus derechos de acceso, rectificación, supresión, limitación, portabilidad y oposición al tratamiento por correo postal ante la Notarla autorizante, sita en Madrid-C.P.-28020, CALLE POETA JOAN MARAGALL, N° 38, 6°D. Asimismo, tiene el derecho a presentar una reclamación ante una autoridad de control.

Determinar libremente y sin limitación alguna el alcance y contenido de los estatutos sociales de las entidades participadas por la poderdante y, sin carácter limitativo, la forma en que se ha de llevar la Administración de las Sociedad, facultades de la Junta General, del Consejo o del Administrador Único y de la Gerencia, si la hubiere, o de los socios Administradores, incluso para realizar actos de riguroso dominio, ejercicios sociales, balances, distribución de beneficios, disolución y liquidación de la sociedad y cualquier otra circunstancia necesaria para el funcionamiento societario.
Designar a las personas que hayan de llevar la representación y administración de la entidad, determinar sus facultades, y en su caso, aceptar los cargos para los que fuera nombrado el poderdante.
CONTRATO DE ARRENDAMIENTO
COMPARECEN
De una parte, XXXXXXXXXXXX, mayor de edad, provista de DNI 72803330G, y con domicilio en Calle Ripaburua 14, Pamplona, Navarra, en adelante, la parte ARRENDADORA.

El presente contrato entrará en vigor el día 1 de Septiembre del 2021 con una duración inicial de 4 meses. El contrato finaliza el día 31 de enero de 2022, existe la posibilidad de prolongar la duración del contrato 2 meses, siendo la fecha límite de finalización el 31 de marzo de 2021.
TERCERA.- RENTA
La renta a satisfacer por el arrendamiento se fija en MIL CUATROCIENTOS NOVENTA EUROS (1.490,00 €) al mes que la parte ARRENDATARIA pagará dentro de los cinco primeros días de cada mes mediante ingreso efectuado en la cuenta bancaria nº ES50 2100 6450 8422 0058 8511 de Caixa Bank de titularidad de la parte ARRENDADORA.
El importe de la renta incluye los gastos de comunidad de la vivienda, el wifi, el gasto del agua y el gasto del ayuntamiento que irán a cargo de la parte ARRENDADORA. Quedando a la parte arrendataria el pago de la luz y el gas. (Adjunto anexo con muestra de las facturas)

II.Que en el marco del Ensayo el Promotor lleva a cabo, a través del monitor por él designado a dichos efectos, las labores de monitorización relacionadas con el mismo, siendo dichas labores esenciales para garantizar la continuidad del Ensayo así como la seguridad e integridad de los pacientes que participan en éste.
PROTECCIÓN DE DATOS
5. Categorías de los datos tratados
El Responsable del Tratamiento tratará las categorías siguientes de sus datos de carácter personal:
o en el caso de que usted tenga que enviar comunicaciones o solicitudes a Angelini (a los efectos del apartado 2 letra a), sus datos de carácter personal necesarios para la correcta gestión de su comunicación o solicitud (en particular, nombre y apellidos, dirección postal, dirección de e-mail y número de teléfono) y cualquier otro dato de carácter personal que usted pueda incluir en su mensaje;
o en el caso de que usted disponga de un usuario en el Sitio Web (a los efectos del apartado 2 letra a), sus datos asociados a su cuenta de usuario (en particular, nombre de usuario y contraseña así como sus preferencias dentro del Sitio Web).

Más específicamente, como “informante”, como garantía de la exactitud y pertinencia de los datos y su verificabilidad a efectos de la valoración científica de los informes: dirección de e-mail o número de teléfono, para obtener, si es necesario, información adicional con respecto a lo ya comunicado (“seguimiento”); y, para gestionar correctamente el informe, cualquier clasificación como profesional médico-sanitario (por ejemplo médico, dentista, enfermero, farmacéutico, médico forense) o tipo de profesional no sanitario, como paciente, abogado o persona relacionada con el asunto al que se refiere el informe (por ejemplo amigo, pariente, ayudante). Como persona a la que se refiere el informe (el "paciente"): iniciales de nombre y apellido, ciudad y país de residencia, edad (o rango de edad) y/o fecha de nacimiento, sexo, altura y peso, y datos relacionados con la vida sexual o que revelen el origen racial o étnico, la salud de la persona (historial médico, cualquier patología actual o previa, terapias farmacológicas y no farmacológicas, embarazo, lactancia) "categorías especiales de datos") afectados por obligaciones de cosmeticovigilancia, en particular con respecto a la “Información de Seguridad” del cosmético, como reacciones adversas, situaciones especiales (abuso, sobredosis, uso inadecuado (mal uso), error terapéutico, exposición durante el embarazo o lactancia, con o sin reacciones adversas asociadas, falta de eficacia o sospecha de transmisión de agente infeccioso a través del cosmético;
INFORME PERITO JURIDICO
1 INTRODUCCIÓN
1.1 MARCO JURÍDICO
La Ley 31/2014, de 3 de diciembre, por la que se modifica la Ley de Sociedades de Capital para la mejora del gobierno corporativo, cuya entrada en vigor tuvo lugar el 24 de diciembre de 2014 y el 1 de enero de 2015 (para determinados requisitos), incorpora y amplía las responsabilidades en materia de gestión, control y prevención de riesgos a los administradores de hecho (directivos) y de derecho, definiendo un nuevo marco de referencia y de posibles responsabilidades personales de carácter civil y penal.
De las novedades a contemplar por los administradores de las empresas por posibles responsabilidades en su gestión y desempeño del cargo, queremos destacar las siguientes:
A nivel general de todas las sociedades de capital:
Conflictos de Interés y deber de lealtad.
Sistemas y parámetros de remuneración / retribución.
Deber de diligencia y seguimiento en materia de control y gestión.
Supuestos de extensión de responsabilidad personal y patrimonial.
Por ello, el actual marco normativo establece nuevas implicaciones y responsabilidades para las empresas, administradores y miembros del equipo directivo como consecuencia de los nuevos deberes y requisitos estipulados en la Ley de Sociedades de Capital, así como de los nuevos criterios y riesgos de responsabilidad penal de las empresas y de sus administradores por la falta de aplicación de los deberes de diligencia y control en la prevención de delitos, de acuerdo con la Ley Orgánica 1/2015, de 30 de marzo, por la que se modifica la Ley Orgánica 10/1995, de 23 de noviembre, del Código Penal.
En este sentido, la reforma define como responsabilidad indelegable el establecimiento de los procedimientos de gestión y control de las entidades que les permitan disponer de información sobre sus deberes y responsabilidades y, en particular, sobre el cumplimiento del marco legal que afecta a la empresa. A este respecto, los administradores, de hecho o de derecho, responderán frente a la sociedad, frente a los accionistas y frente a los acreedores sociales del daño que causen por actos u omisiones contrarios a la ley o a los estatutos o por los incumplimientos inherentes al desempeño del cargo.
Las obligaciones mencionadas entraron en vigor el 24 de diciembre de 2014 por lo que los administradores deben de asegurar el adecuado cumplimiento normativo en la Entidad y acreditar el debido deber de diligencia y control.
CONTRATO DE VENTA
PRIMERA .- Objeto del contrato.
XXXXXXXXXX, en adelante la promotora-vendedora, vende, cede y transfiere a Don xxxxxxxxxxxxxxxx, en adelante la compradora, las partes determinadas reseñadas en el expositivo IV de este contrato.
La venta se efectúa en fase de construcción, con cuantos derechos, usos, servicios y servidumbres le sean inherentes, incluida la parte proporcional que le corresponda de los elementos comunes del edificio. Las partes determinadas se transmiten libres de cargas, gravámenes y ocupantes.
SEGUNDA.- Ejecución de las obras.
Las obras de edificación en general, y particularmente las relativas a las partes determinadas objeto del presente contrato, se ajustarán al proyecto y memoria de calidades redactado por los arquitectos superiores que se han identificado en el expositivo I, ejecutándose por empresa constructora de solvencia contrastada, estando dirigida por técnicos con habilitación y capacidad suficiente.
La parte compradora manifiesta tener cabal conocimiento del proyecto y memoria de calidades, así como de la información efectuada por la vendedora referente a posibles modificaciones o variaciones impuestas por razones técnicas, administrativas o comerciales.
La vendedora se reserva el derecho de sustituir los técnicos y/o la empresa constructora sin precisar autorización o consentimiento de la parte compradora.
TERCERA.- Modificaciones en proyecto y calidades, por causas sobrevenidas.
La promotora-vendedora podrá, en el curso de ejecución de las obras, modificar el proyecto siempre y cuando ello venga motivado por exigencias técnicas, jurídicas o comerciales y no suponga una modificación sustancial o relevante del proyecto inicial.
Respecto a las calidades detalladas en la memoria, la promotora-vendedora podrá variarlas, salvo aquellas que se hayan señalado como inmodificables, sin precisar del consentimiento de la compradora, siempre y cuando las sustitutivas sean, objetivamente, de igual o mejor condición o calidad que las inicialmente proyectadas.
Los materiales y marcas que figuran en la memoria de calidades podrán ser sustituidas por otros/as de igual o similar condición o calidad en función de las disponibilidades del mercado, según criterio de la Dirección Facultativa.

02.01.01 Disposiciones legales
Las cuentas anuales se han preparado a partir de los registros contables de la empresa, habiéndose aplicado las disposiciones legales vigentes en materia contable con objeto de mostrar la imagen fiel del patrimonio, de la situación financiera y de los resultados de la empresa.
El marco normativo de información financiera que resulta de información a la Sociedad es el siguiente:
· El Código de Comercio y la restante legislación mercantil.
· El Plan General de Contabilidad aprobado por el Real Decreto 1514/2007 de 16 de noviembre y sus posteriores modificaciones y adaptaciones.
· Las normas de obligado cumplimiento aprobadas por el Instituto de Contabilidad y Auditoría de Cuentas (ICAC) en desarrollo del Plan General de Contabilidad y sus normas complementarias.
· El Real Decreto Legislativo 1/2010, de 2 de julio, por el que se aprueba el Texto Refundido de la Ley de Sociedades de Capital.
· El resto de la normativa contable española que resulta de aplicación.
02.02 Principios contables no obligatorios aplicados
No ha sido necesario, ni se ha creído conveniente por parte de la administración de la empresa, la aplicación de principios contables facultativos distintos de los obligatorios a que se refiere el art.38 del código de comercio y la parte primera del Plan General de Contabilidad.
02.03 Aspectos críticos de la valoración y estimación de la incertidumbre
En la elaboración de la cuentas anuales correspondientes al ejercicio 2021 se han determinado estimaciones e hipótesis en función de la mejor información disponible a 31/12/2021 sobre los hechos analizados, es posible que acontecimientos que puedan tener lugar en el futuro obliguen a modificarlas (al alza o a la baja) en próximos ejercicios lo que se haría de forma prospectiva, reconociendo los efectos del cambio de estimación en las correspondientes cuentas anuales futuras.
02.04 Comparación de la información
02.04.01 Modificación de la estructura de los estados contables
No ha habido ninguna razón excepcional que justifique la modificación de la estructura del balance y de la cuenta de pérdidas y ganancias del ejercicio anterior, según se prevé‚ en el artículo 35.8 del Código de Comercio y en la parte cuarta del Plan General de Contabilidad.

1. Un contexto de notables avances normativos y alarmantes carencias ejecutivas
La política de conservación a través de áreas naturales protegidas tiene una larga trayectoria en Argentina. En el ámbito federal, sus inicios se remontan a 1903, cuando el perito Moreno donó a la Nación un territorio que constituiría el origen del futuro parque nacional de Nahuel Huapi . Mediante la Ley 12103/1934, se estableció el régimen general de los parques nacionales, constituyéndose para su administración una institución autónoma denominada Dirección de Parques Nacionales . Posteriormente, con la vigente Ley 22351/1980, se aprobó el sistema nacional de áreas protegidas gestionado por el ente autárquico llamado Administración de Parques Nacionales .
En el ámbito provincial, el ejercicio de competencias en la materia parece haberse iniciado con las declaraciones del parque provincial de La Florida y de la reserva forestal de Aconquija, ambos en Tucumán (1936) . Paulatinamente, muy variadas iniciativas territoriales han ido determinando nuevas declaraciones protectoras y también leyes conformadoras de sistemas provinciales de áreas naturales protegidas. No siempre, sin embargo, las proclamaciones oficiales acaban por tener una traducción práctica en las áreas declaradas, que en algunos casos llegan a caricaturizarse como “reservas de papel” .
CONTRATO DE PATROCINIO
El Patrocinador efectuará una aportación dineraria por importe de 15.000 euros más IVA, que será destinada de forma exclusiva al desarrollo de las actividades del Programa.
El Patrocinador además realizará una aportación dineraria al final del programa acorde con los siguientes objetivos:
- 5.000 euros si el programa XXXXXXX consigue captar X applications de su interés al programa.
- 5.000 euros por cada propuesta de piloto (en adelante “Piloto”) que el patrocinador acuerde con cualquier start-up participante al programa hasta 12 meses después de la finalización del mismo y hasta un máximo de 10.000€.

1.- To attend the execution of the articles of association of commercial and civil companies or economic interest groups, determining the stake of the principal in said equity.
To freely and without any limitation whatsoever determine the scope and content of the articles of association of the entities that the principal has an equity stake in, including but not limited to, how the administration of the company will be run, the authorities of the general meeting, of the board of directors or of the sole director and of the management as applicable, or of the managing partners, including acquisitions of property in fee simple, fiscal years, balance sheets, the distribution of profits, the dissolution and liquidation of companies and any other circumstance required for corporate operation.
To appoint the persons required to perform the representation and administration of entities, determine their authorities, and, if applicable, accept the positions to which the principal is appointed.
LEASE
APPEARING
Party of the first part, XXXXXXXXXX, of legal age, holder of ID card (DNI) No. 72803330G, and domiciled at Calle Ripaburua 14, Pamplona, Navarra, hereinafter the LESSOR.
And party of the second part, XXXXXXXXXXXXXX, holder of passport No. C327M8NVZ and XXXXXXXXXXXX, holder of passport No. L3G13WXY6, hereinafter the LESSEE.
Both act on their own behalf. Both parties mutually acknowledge each other’s sufficient capacity for the execution of this contract and therefore establish the following
RECITALS
I.- That the LESSOR is the full legal owner of a flat located in Calle Easo 16, 1ºC, which is furnished and equipped and ready to move into.
II.- That the LESSEE is interested in renting the aforementioned property, and therefore the parties have agreed to formalise this leasing contract subject to the following
CLAUSES
ONE.- LEASE
The LESSOR hereby leases the property described in Recital I herein to the LESSEE, including the furniture and equipment in the property, in perfect condition for its residential use (images and an inventory are attached as an annex), and the LESSEE declares that they are aware of and accept the size, condition and features of the property.
TWO.- TERM
This contract will enter into force on 1st September 2021 with an initial term of 4 months. The contract will end on 31st January 2022, although there is an option to extend the term of the contract by 2 months, with the latest end date being 31st March 2022.
THREE.- RENT
The rent to be paid for the leasing is hereby established at ONE THOUSAND FOUR HUNDRED AND NINETY EUROS (€1,490.00) a month, which the LESSEE shall pay within the first five days of each month by payment into bank account No. ES50 2100 6450 8422 0058 8511 of Caixa Bank in the LESSOR’s name.
The rent includes the property owners’ association fees, Wi-Fi, water utilities and council charges, which will be at the expense of the LESSOR. The LESSEE will be responsible for paying the electricity and gas utilities. (Annex attached with example of bills)

Hereinafter, the Sponsor and the Centre will be jointly identified as the “Parties”, and each individually as a “Party”.
The Parties mutually acknowledge the sufficient legal capacity for the execution of this addendum to the agreement entered into by both Parties (hereinafter the “Addendum”) and, to this end,
STATE
I. That on [*], the Sponsor and the Centre entered into an agreement for the execution of the trial named [*], with EudraCT number [*] (hereinafter the “Trial”) to be performed at the Centre in accordance with the Trial protocol.
II. That during the execution of the Trial the Sponsor will carry out, through the monitor appointed by it for said purposes, the monitoring work related to the Trial, with said work being essential in order to guarantee the continuity of the Trial and the safety and wellbeing of the patients that participate in it.

5. Categories of data processed
The Data Controller will process the following categories of your personal data:
o if you need to send communications or requests to Angelini (for the purposes of paragraph 2 letter a), your personal data required for the correct handling of your communication or request (in particular, your name and surname, postal address, email address and telephone number) and any other personal data that you may include in your message,

More specifically, as a "reporter", as a guarantee of the accuracy and relevance of the data and their verifiability for the scientific assessment of the reports: email address or telephone number, to obtain, if required, additional information with respect to what has already been reported ("follow-up” information); and, for the proper handling of the report, any classification as a medical-health professional (e.g. doctor, dentist, nurse, pharmacist, forensic doctor) or type of non-health professional, such as patient, lawyer or person related to the matter covered by the report (e.g. friend, relative, assistant). As the person to whom the report relates (the "patient"): first and last name initials, city and country of residence, age (or age range) and/or date of birth, sex, height and weight, and data relating to sex life or revealing racial or ethnic origin, the health of the person (medical history, any current or previous pathology, pharmacological and non-pharmacological therapies, pregnancy, lactation) "special category data") affected by cosmeticovigilance obligations, in particular with regard to the "Safety Information" of the cosmetic, such as adverse reactions, special situations (abuse, overdose, inappropriate use (misuse), therapeutic error, exposure during pregnancy or breastfeeding, with or without associated adverse reactions, lack of efficacy or suspected transmission of infectious agent via the cosmetic),

1 INTRODUCTION
1.1 LEGAL FRAMEWORK
Law 31/2014 of 3 December, amending the Corporate Enterprises Act to improve corporate governance, which came into effect on 24 December 2014 and 1 January 2015 (for certain requirements), incorporates and extends liability regarding management, control and risk prevention to de jure or de facto administrators (directors), defining a new framework of reference, and possible civil and criminal personal liability.
Some of the new measures to be included by company directors due to possible liability in their management and the performance of their duties that we would like to highlight are as follows:
At general level in all corporate enterprises:
Conflicts of interest and duty of loyalty.
Systems and parameters of compensation / remuneration.
Duty of due diligence and monitoring in control and management.
Scenarios of extension of personal and asset liability.
Therefore, the current regulatory framework establishes new roles and responsibilities for companies, directors and members of the management team as a result of the new duties and requirements stipulated in the Corporate Enterprises Act, as well as the new criteria and risks of criminal liability of companies and their directors due to failure to apply the duties of due diligence and control in the prevention of crime, in accordance with Organic Law 1/2015, of 30 March, amending Organic Law 10/1995, of 23 November, on the Criminal Code.
In this respect, the reform defines as a non-delegable responsibility the establishment of procedures for management and control of entities, which enables them to have information available about their duties and responsibilities, and in particular compliance with the regulatory framework that affects the company. The de facto or de jure directors will therefore answer to the company, the shareholders and the company creditors for any damage caused by their acts or omissions contrary to the law or statutes or by breaches inherent in the performance of their duties.
The aforementioned obligations came into effect on 24 December 2014 and administrators should therefore ensure the Entity's appropriate regulatory compliance and accredit their duty of due diligence and control.
CONTRACT OF SALE
ONE .- Purpose of the contract.
XXXXXXXXXXX, hereinafter the developer/vendor, sells, assigns and transfers to xxxxxxxxxxxxxxxx, hereinafter the purchaser the parts described in recital IV herein.
The sale is made while under construction, with all rights, uses, services and easements that are inherent to them, including the proportional part of the communal areas of the building. The parts are sold free of charges, encumbrances and occupants.
TWO.- Execution of the works.
The construction works in general, particularly those related to the parts covered by this contract, shall be in accordance with the design and technical specifications drawn up by the architects identified in recital I, being executed by a building firm of good standing and managed by technicians with sufficient training and knowledge.
The purchaser states that he has full knowledge regarding the project and the technical specifications and also regarding the information provided by the vendor regarding possible modifications or variations imposed due to technical, administrative or commercial reasons.
The vendor reserves the right to replace the technicians and/or building firm without prior authorisation or consent from the purchaser.
THREE.- Modifications to the design and specifications due to unforeseen reasons.
The developer/vendor may, during the course of the execution of the works, modify the design, provided this is motivated by technical, legal or commercial requirements and does not represent a substantial or significant modification to the original design.
Regarding the technical specifications, the developer/vendor may modify them, except for those that have been established as unmodifiable, without the prior consent of the purchaser, provided that the replacements are, objectively, of the same or better condition or quality than the originally planned ones.
The materials and makes that appear in the technical specifications may be replaced by others of equal or similar condition or quality depending on market availability, at the discretion of the project management.

02 Basis of presentation of the annual accounts
02.01 True and fair view
02.01.01 Legal provisions
The annual accounts have been prepared based on the accounting records, having applied current legal accounting provisions in order to present a true and fair view of the assets, the financial situation and of the results of the company.
The regulatory framework concerning financial information applicable to the company is as follows:
. The Spanish Code of Commerce and other commercial legislation.
. The Standard Chart of Accounts approved by Royal Decree 1514/2007 of 16th November and its later amendments and adaptations.
. The mandatory regulations approved by the Institute of Accounting and Account Auditing in the implementation of the Generally Accepted Accounting Practice and its complementary regulations.
. Legislative Royal Decree 1/2010 of 2nd July, which approves the consolidated text of the Capital Companies Act.

02.02 Non-mandatory accounting principles applied
The application of optional accounting principles apart from those referred to in art. 38 of the Code of Commerce and part one of the General Accounting Plan has not been necessary, nor has it been considered appropriate by the administration of the company.
02.03 Critical aspects of the evaluation and estimate of uncertainty
In the preparation of the annual accounts relating to the 2021 financial year, estimates and hypotheses have been made in accordance with the best available information as of 31/12/2021 on the events analysed. However, it is possible that events that occur in the future might make it necessary to amend these estimates (upwards or downwards) in coming years, which would be done prospectively, recognising the effects of the changes in estimates in the corresponding future annual accounts.
02.04 Comparison of the information
02.04.01 Modification of the structure of the financial statements
There was no exceptional reason that would justify the modification of the structure of the balance sheet and of the profit and loss account of the previous financial year, as provided in article 35.8 of the Code of Commerce and in part four of the General Accounting Plan.

1. A context of significant regulatory advances and alarming executive shortcomings
The conservation policy through protected natural areas has a long history in Argentina. At federal level, its origins go back to 1903, when the explorer and academic Francisco Pascasio Moreno donated land to Argentina that would be the beginning of the future Nahuel Huapi National Park . The 12103/1934 Act established the general system for national parks, establishing an independent institution for their management called the National Parks Directorate . Later, the 22351/1980 Act approved the national system of protected areas managed by the autonomous organisation called the National Parks Administration .
At a provincial level, the exercise of powers on this subject appears to have begun with the declarations of the establishment of the La Florida Provincial park and of the Aconquija Forest Reserve, both in Tucumán (1936) . Gradually, a wide variety of territorial initiatives have been determining new conservation declarations and also laws in accordance with provincial systems on protected natural areas. However, official proclamations do not always result in a practical translation in the declared areas, and in some cases these come to be caricatured as “paper reserves” .
SPONSORSHIP AGREEMENT
The Sponsor shall make a financial contribution of 15,000 euros plus VAT, which shall be used exclusively for the Programme’s activities.
The Sponsor shall also make a financial contribution at the end of the Programme in accordance with the following objectives:
- 5,000 euros if the XXXXXXXXXXXX Camp programme attracts X applications of interest in the Programme.
- 5,000 euros for each pilot proposal (hereinafter “Pilot”) that the Sponsor agrees with any start-up participating in the Programme up to 12 months after the end of the Programme and up to a maximum of 10,000 euros.
These sums will be paid, after the submission of the relevant invoices, by bank transfer to current account: ES88 0081 7011 1900 0217 4022 in the following instalments:
- 50% upon signing the agreement
- 50% once the 2021 XXXXXXXXXXXXXX programme has ended
The Sponsor shall also make an in-kind contribution to the Programme consisting of [ ]
In exchange, XXXXXXXXXXXXX shall grant the following rights to the Sponsor, in accordance with its status as a partner.
- XXXXXXXXXXXX shall finance up to 1 Pilot per Sponsor. Said finance will be 50% of the value of the Pilot up to a maximum of €10,000. This sum will be paid directly to the participating start-up during 2021.
