ООО XXX, именуемое в дальнейшем Исполнитель, в лице директора N, действующего на основании Устава, с одной стороны и NNN, в дальнейшем Заказчик, в лице генерального директора N, который действует на основании Устава, с другой стороны, заключили настоящий Договор о нижеследующем:
1. ПРЕДМЕТ ДОГОВОРА
1.1.Заказчик поручает, а Исполнитель принимает на себя обязанности выполнения консалтинговых услуг по проведению работ по сертификации продукции: арматура промышленная.
1.2. Срок оказания услуг составляет до 4 календарных дней.
2. Стоимость работ и порядок взаиморасчетов
2.1. Стоимость работ по настоящему договору составляет 1 222 евро (одна тысяча двести двадцать два евро), которые заказчик перечисляет авансовым платежом в размере 100% стоимости работ по настоящему Договору на расчетный счет Исполнителя на протяжении пяти банковских дней. Валюта договора и валюта платежа евро. При перечислении денежных средств комиссии банков оплачивает заказчик.
2.2. Основанием начала работ по сертификации продукции по настоящему договору есть фактическое поступление денежных средств на расчетный счет Исполнителя. Фактическим началом выполнения работ является дата предоставления Заказчиком образцов продукции.
2.3. Работа по настоящему договору считается выполненной с момента предоставления Заказчику итогового документа в соответствии с п.1.1. настоящего Договора и подписания сторонами акта сдачи-приемки выполненных работ.

XXX Ltd, hereinafter referred to as the Executor represented by N acting on the basis of the Charter on the one part, and NNN, hereinafter referred to as the Buyer represented by general manager N acting on the basis of Charter on the other part, have concluded the present Contact to the following effect:
1.SUBJECT-MATTER OF THE CONTRACT
1.1. The Buyer appoints and the Executor undertakes to execute the consulting services on works of the product certification: industrial armature.
1.2. The service period amounts to 4 calendar days.
2. Price and Payment Terms
2.1. In accordance with the present Contract price amounts to 1 222 Euro (one thousand two hundreds twenty two Euro) which the Buyer pays to the extent 100 % of cost of the works as advance payment in accordance with the present Contract to the Executor’s settlement account within 5 banking days. Euro forms currency of the contract and currency of payment. The Buyer shall repay the banking fees at the funds transfer.
2.2. Entering of cash assets into the Executor’s settlement account forms the ground to begin the works of product certification in accordance with the present Contract. The date of rendering of samples of the products by the Buyer forms an actual start of the works.
2.3. According to the present Contract the work is considered to be completed since the day of granting the final document to the Buyer in accordance with art. 1.1. of the present Contract and signing the acceptance certificate by the Parties.

1. INTERPRETATION
1.1 The definitions and rules of interpretation in this clause and the background apply in this deed.
Business Day: a day (other than a Saturday, Sunday or public holiday in England) when banks in London and Kazakhstan are open for business.
Insolvency Event: a person suffers an insolvency event if it:
(a) stops or suspends payment of any of its debts, or is unable to (or admits inability to) pay its debts as they fall due; or
(b) begins negotiations (because of actual or anticipated financial difficulties) with, or enters into any composition or arrangement with one or more of its creditors with a view to rescheduling any of its indebtedness; or
(c) suffers any of the following events:
(i) a moratorium of any indebtedness, winding-up, dissolution, suspension of payments, administration, reorganisation (as a voluntary arrangement, scheme of arrangement or otherwise), petition for bankruptcy, composition, compromise, assignment or arrangement with any creditor; or
(ii) any liquidator, receiver, administrative receiver, administrator, compulsory manager or other similar officer is appointed in respect of that person or any of its assets; or
(iii) any event occurs in relation to that person that is analogous to the events listed in this definition.
If a person carries out a solvent, voluntary winding up that is solely for the purpose of reconstruction or amalgamation, that person does not suffer an Insolvency Event.
1.2 Clause headings shall not affect the interpretation of this deed.
1.3 A person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality) and that person's legal and personal representatives, successors or permitted assigns.
1.4 A reference to a company shall include any company, corporation or other body corporate, wherever and however incorporated or established.
1.5 Unless the context otherwise requires, words in the singular shall include the plural and in the plural include the singular.
1.6 Unless the context otherwise requires, a reference to one gender shall include a reference to the other genders.
1.7 A reference to a party shall include that party's legal and personal representatives, successors or permitted assigns.
1.8 A reference to a statute, statutory provision or subordinated legislation is a reference to it as it is in force from time to time, taking account of any amendment, extension, or re-enactment and includes any statute, statutory provision or subordinate legislation which it amends or re-enacts.
1.9 A reference to a statute or statutory provision shall include any subordinate legislation made from time to time under that statute or statutory provision.
1.10 Any obligation in this deed on a person not to do something includes an obligation not to agree or allow that thing to be done.
1.11 A reference to writing or written includes faxes but not e-mail.
1.12 A reference to a document is a reference to that document as varied or novated (in each case, other than in breach of this deed) at any time.
1.13 References to clauses are to the clauses of this deed.
1.14 Where the words include(s), including or in particular are used in this deed, they are deemed to have the words "without limitation" following them.
2. ГАРАНТИЯ И ВОЗМЕЩЕНИЕ
2.1 The Guarantor guarantees the due and punctual performance by the NNN Management Company of the NNN Management Company's duties and obligations to XXX under the NNN Services Agreement.
2.2 If the NNN Management Company fails to observe or perform any of its duties or obligations to XXX under the NNN Services Agreement, or if the NNN Management Company fails to pay any sum, loss, debt, damage, interest, cost or expense due from the NNN Management Company to XXX under or in connection with the NNN Services Agreement, the Guarantor (as a separate and independent obligation and liability from its obligations and liabilities under clause 2.1) shall indemnify XXX against all loss, debt, damage, interest, cost and expense incurred by XXX by reason of such failure or non-payment and shall, on first written demand, pay to XXX, without any deduction or set-off, the amount of that loss, debt, damage, interest, cost and expense.

(III) если случай по отношению к данному лицу является аналогичным случаям, указанным в данном определении.
Если лицо осуществляет добровольное прекращение деятельности исключительно с целью реконструкции и объединения, оно не подвергается Факту Несостоятельности.
1.2.Заголовки пунктов не влияют на интерпретацию настоящего Документа.
1.3.Лицо включает в себя физическое лицо, корпоративную или неинкорпорированную организацию (независимо от наличия самостоятельной правосубъектности), законных и личных представителей лица, преемников и правомочных цессионариев.

2.ГАРАНТИЯ И ВОЗМЕЩЕНИЕ
2.1.Гарант гарантирует NNN надлежащее и своевременное исполнение Управляющей компанией NNN прав и обязанностей Управляющей компании NNN перед XXX в соответствии с Договором об оказании услуг NNN.
2.2.Если Управляющая компания NNN не соблюдает или не исполняет свои права и обязанности перед XXX в соответствии с Договором об оказании услуг NNN или Управляющая компания NNN не выплачивает какую-либо сумму, убытки, долг, ущерб, проценты, стоимость или издержки XXX в соответствии с Договором об оказании услуг NNN, Гарант (в качестве отдельного и независимого ответственного лица в соответствии с пунктом 2.1) обязан компенсировать XXX все убытки, долги, ущерб, проценты, стоимость и издержки, понесенные XXX в результате неспособности и неуплаты, и Гарант обязан по первому письменному требованию заплатить XXX без каких-либо вычетов и удержаний всю сумму убытков, долгов, ущерба, процентов, стоимости и издержек.
