Source text - English The maximum sales commission is 5% for equity Sub-funds, 3% for bond Sub-funds and 4% for other Sub-funds, except for Shares that are only available to institutional Investors for which the maximum sales commission will be 0.50%. The percentages represent a percentage of the total subscription amount. This commission rate is to be considered as a maximum rate and the sales agent(s) may decide at his (their) discretion to waive this sales commission in whole or in part.
The Board of Directors may authorise the Shares of the Company to be issued in kind by a transfer of securities, if it is on an equitable basis and not conflicting with the interests of the other Shareholders. The subscribing Shareholder will bear the costs associated with such subscription in kind (including the costs for the establishment of a valuation report by the Auditor, as required by Luxembourg law), unless the Board of Directors considers the subscription in kind to be in the interest of the Shareholders.
The Company reserves the right to refuse any subscription request at any time. Applications for Shares should be sent to the office of the Registrar. If, in a jurisdiction in which Shares are sold, any issue or sales taxes become payable to the relevant tax administration, the subscription price will increase by that amount. The allotment of Shares is conditional upon receipt of subscription monies. Any confirmation statement and any monies returnable to the Investor will be retained by the Company pending clearance of remittance. If timely settlement is not made, an application may lapse and be cancelled. In such circumstances the Company has the right to bring an action against the defaulting Investor to obtain compensation for any loss directly or indirectly resulting from the failure by the Investor to make good settlement by the due date.
The Sub-funds may, from time to time, reach a size above which they may, in the view of the Company, become difficult to manage in an optimal manner. If this occurs, no new Shares in the Sub-funds will be issued by the Company. Shareholders should contact their local Robeco Distributor or the Company to enquire on opportunities for ongoing subscriptions (if any). In addition, for the Sub-fund Robeco US Premium Equities, the Directors can decide, in the best interest of current Shareholders, that a subscription charge of up to 3% of the subscription amount may be levied for any particular (or all) Class(es) of Share(s) of this Sub-fund for any particular period of time. Any such subscription charge will be for the direct benefit of this Sub-fund and thereby indirectly for the benefit of its' current Shareholders. Shareholders should note that any such subscription charge will be additional to any sales charge(s) which may be levied by any distributor (the level of which Shareholders should check with their relevant distributor). Source text - English Since the Mutasarrifate era, the Lebanese had been calling for the expansion of their country’s borders so as to encompass the Bekaa plains and the coastal cities. Based on the 1861- 1864 protocol, Lebanon included a long and skimpy strip of mountains which weren’t enough to feed its habitants. The starvation that hit the country during WWI and that killed the third of the country’s habitants was enough to justify the Lebanese claim.
Based on the 1916 Sykes-Picot agreement, the Mount Lebanon Mutasarrifate and the Bekaa plain were part of the blue zone which fell under the French administration. When the Turkish troops retreated from the region on the September the13th 1918, Feisal and his followers attempted to get hold of Beirut and Mount Lebanon in order to impose the fait accompli on the Allies. Thus they sent Shukri al Ayyubi along with 100 cavalrymen from Damascus to the coast. The moment he arrived he declared that wilayat Beirut was part of the Arab state and that it was under the Damascus government. He maintained the same statement regarding the Mutasarrifate while visiting Baabda on October the 7th.
However, the measures taken by Feisal’s supporters were backed neither by Paris nor by London. On the contrary, on September the 30th both governments signed an agreement pertaining to the administration of the occupied Ottoman territories; the agreement provided France with a major role in Beirut and the coastal cities. On the other hand, the English ordered Shukri al Ayuubi to return to Damascus and they threatened him that if he didn’t conform they will use force against him.
Translation - French Depuis l’époque de la Mutaçarrifiyyat, les Libanais réclamaient l’élargissement des frontières de leur pays de manière à ce qu’il englobât la plaine de la Békaa et les villes côtières. Le Liban du protocole 1861-1864 était formé d’une bande de terre montagneuse et étriquée et ne pouvait pas nourrir ses habitants. La famine qui y sévit durant la Première Guerre mondiale et qui fit perdre au pays le tiers de ses habitants suffisait pour justifier les revendications des Libanais.
Dans les accords Sykes-Picot de 1916, la Mutaçarrifiyat du Mont Liban et la plaine de la Békaa faisaient partie de la zone bleue, zone d’administration directe française. Source text - French Le polyéthylène à haute densité (PEHD80) constitue récemment un matériau de choix pour la distribution et le transport de l’eau potable sur le plan économique et santé publique. De ce fait, une étude de simulation a été réalisée pour voir l’effet du vieillissement par deux facteurs sur le PEHD afin de contrôler la robustesse mécanique de ce matériau vis-à-vis le changement climatique. En premier lieu, des éprouvettes du matériau (PEHD80) ont subi un traitement d’irradiation par des rayonnements ultraviolets pour différent périodes aboutissant j’usqu’à120 heures. Le processus de vieillissement accéléré par irradiation ultraviolet donne une corrélation négative entre la résilience et la durée d’irradiation en heures. En deuxième partie, nous avons testé l’effet de la température sur les éprouvettes en PEHD80 à différentes profondeurs d’entailles (0.4, 0.8, 1,1.25, et 1.5) sous différentes valeurs de températures du matériau PEHD80 aux chocs externes.
Translation - English The high-density polyethylene (HDPE80) has recently been established as material of choice for the distribution and transport of drinking water on the economic and public health levels. Because of this, a simulation study was conducted to see the effect of aging by two factors on the HDPE in order to check the mechanical robustness of this material in front of climate change. At first, test pieces of the material (HDPE80) have undergone a treatment of irradiation by ultraviolet radiation for different periods up to120 hours. The accelerated aging process by ultraviolet irradiation gives a negative correlation between resilience and the irradiation time in hours. In the second part, we tested the effect of temperature on the HDPE80 test pieces at different depths of notches (0.4, 0.8, 1, 1.25 and 1.5) under various values of HDPE80 material temperatures to external shocks.

A study of mechanical simulation dealing with the resistance of HDPE80 in front of climate change has been achieved. We have studied the effect of two parameters (the irradiation time by UV and temperature) considered predominantly affecting the PEHD80 lifespan.
The accelerated aging of the HDPE caused by the ultraviolet irradiation showed that the duration of exposure plays an important role in the embrittlement of the HDPE product and causes a remarkable resilience decrease. Similarly the temperature is involved in the degradation of the polymer, however, low temperatures make the material more fragile.

كثيرة هي الدّراسات التي حاولت أن ترسم المنهج الواضح لنظرية الأدب الإسلامي وتبيّن معالمها إمّا بالتأصيل لتاريخ ظهورها ونشوئها وإمّا بالإشارة إلى قواعدها وأسسها من خلال مختلف الإبداعات الفنيّة التي تجلّت فيها ملامح الفكر الإسلامي المعبّر عن الوعي الحضاري من جهة وعمق الانتماء والانتساب من جهة أخرى، فكلّ دراسة من تلك الدّراسات سواء تلك التي صدرت عن رابطة العالم الإسلامي أو تلك التي أشرفت على كتابتها وتحريرها شخصيات علمية مستقلة أسهمت بقسط وافر في بلورة أصول هذه النظرية، إلاّ أنّ تلك الجهودلم تتكامل لأنّ المُنتج الفكري للمنظرين في هذا المجال لم يجد صدى عند معظم أدباء العالم الإسلامي عدا النزر اليسير وهم ثلّة من الأدباء أحصاهم العدد نظرا لنوعية ما أوجدوا وأبدعوا من نصوص تمثّلوا من خلالها رسالة الأدب الإسلامي ووجهة تعاليمه.
فالأعمال الإبداعية إن لم تعكس أبعاد نظرية ما فهي حتما لا تؤمن بفكرة تبنّيها وإلاّ كيف يتمّ تفسير ظاهرة الانفصال والانفصام بين مختلف الكتابات الأدبية في العالم الإسلامي ومفهوم نظرية الأدب الإسلامي لاسيما عند أولئك الذين آمنوا بالتوجّه العامّ لحقيقة ما ورد في رسالة الإسلام جملة؛ حيث إنّ سيطرة المنهج الوافد هي أكبر من أن تقارن مع ما هو مجسّد من سمات منهج نظرية الأدب الإسلامي في الأعمال الأدبية حديثها ومعاصرها.
وأبرز ما صدر مؤخّرا من دراسات حول الأدب الإسلامي وأعلامه كتاب (مقالات الإسلاميين في الأدب والنقد) لصاحبه أحمد الرفاعي شرفي الجزائري الذي حاول من خلال مصنّفه هذا أن يعيد بلورة أسس نظرية الأدب الإسلامي ويبيّن حقيقة تطبيقها في واقع المُنتج الأدبي، وإنّ أكثر ما يميّز هذا الكتاب أنّه استلّ الداء الذي أجّج نار الفرقة بين الأدباء الذين تحزّبوا طوائف وشيعا انطلاقا من تبنيهم لفكرة نظرية ما غربية أو عربية أو إسلامية، ولقد كشف مُصنّف هذه الدراسة ـ الواقعة في ثلاثة أجزاء ـ عن خيوط هذه المؤامرة التي حيكت ضد كلّ من حمل لواء الإصلاح و الـتأصيل وذلك بالعودة إلى الرؤى الفكرية لمجموعة من روّاد الأدب الإسلامي الذين استطاعوا أن يوضّحوا منهج رسالتهم وموقفهم من الأدب الوافد حيث انعكس كل ذلك في سلسلة مقالاتهم التي اجتهد في جمعها وتصنيفها الدكتور أحمد الرفاعي شرفي.
وسنعمد من خلال هذه المقال إلى إعادة استقراء حقيقة الأدب الإسلامي ومعالم نظريته انطلاقا ممّا سطّرته أقلام منظريه الذين احترفوا فنون تطبيق نظريته في مختلف أعمالهم الإبداعية والتي جمع أصول فكرها الأستاذ أحمد الرفاعي شرفي في كتابه مقالات الإسلاميين في الأدب والنقد.
Translation - English There are many studies that have attempted to delineate a clear-cut approach to the theory of Islamic literature and show its features either by explaining its origins and emergence or by referring to its rules and foundations through various artistic creations that reflected the characteristics of Islamic thought that expresses consciousness of civilization on the one hand and the depth of belonging and affiliation on the other hand. Each of these studies, both those issued by the Muslim World League or those written and supervised by independent scientific personalities had contributed significantly to crystallize the origins and principles of this theory. However, these efforts are not integrated because theorists’ intellectual production in this area did not find an echo with most writers of the Islamic world except a handful of writers given the quality of what they created and produced of texts through which they internalized the message of Islamic literature and point of its teachings.
Unless creative works reflect the dimensions of a certain theory, they inevitably do not believe in the idea they build, or how else they interpret the phenomenon of separation and divide among the various literary writings in the Islamic world and the concept of the theory of Islamic literature, especially with those who believe in the general trend of the truth of what is stated in the Islam message in general; since the dominance of the entrant approach is too greater to compare with the characteristics of the approach of the theory of Islamic literature reflected in modern and contemporary literary works . The most prominent study released recently tackling studies on Islamic literature and its pioneers is a work entitled “Islamists’ Articles on Literature and Criticism” by Ahmed Al Rifai Sharafi Al Gazaeri. The author tried through this work to recrystallize the foundations of the Islamic Literature Theory and show its real application in the reality of literature product. Yet, what most distinguishes this book is that it unsheathed the spark that has stoked the fire of division among the writers who polarized into sects and groups based on the adoption of the idea of a Western, Arab, or Islamic theory. This study, in three parts, has revealed the strands of this conspiracy hatched against both carrying the banner of reform and rooting through the return to intellectual visions of a group of Islamic literature pioneers who were able to explain their approach their message and their position on entrant literature, where all this is reflected in a series of their essays which were painstakingly collected and classified by Dr. Ahmad Rifai Al Gazaeri.
Additionally, this article will attempt to re- extrapolate the fact that Islamic Literature and parameters of its theory on the basis of what was written by other theorist who are specialized in applying their theories in their various creative works that were collected by Mr. Ahmad Al Rifai Sharafi in his book Islamists’ Articles on Literature and Criticism.

4. RESPONSIBILITIES
The Manager of the Licensing and Compliance group of the EHS and Nuclear Compliance
department is responsible for ensuring the process described in this document meets the
requirements of the CNSC’s regulations and that Licensing and Compliance department employees
are trained on, and comply with the requirements of this document, and that records of their training

XXX Manager Refused a Contractor’s Gift
An XXX manager was recently approached by a contractor company with an expensive gift. The manager appropriately refused the gift, knowing that accepting it would have violated Company policy.
Disciplinary and Remedial Actions
The manager’s actions are an example of complying with XY’s expectations outlined in the Manual of Compliance Procedures & Guidelines, Section 2 – Conflicts of Interest and the Business Conduct and Ethics Code. As such no disciplinary action was necessary. However, had the gift been accepted, the manager would have been subject to disciplinary action. The manager took the opportunity to share the incident with fellow leaders as a reminder that these types of sincere, genuine acts of gift-giving do happen with business associates and that it’s important to act with integrity according to Company policy. Lessons Learned
As illustrated in this incident, various situations may arise in the normal course of business as simple as receiving a well-meaning, generous gift which could result in conflicts with XY’s business interest and adversely affect its reputation and relations with others. In this incident, the manager appropriately refused the gift. If you are offered a gift from anyone in a business relationship such as a contractor, supplier, competitor or shareholder, you are required to report it to your supervisor. Your supervisor, with assistance from HR and Legal, will help you determine if the gift can be accepted or not. Gifts offered can be refused politely without damaging business relationships.

Comme illustré dans cet incident, diverses situations peuvent surgir durant le cours normal des affaires aussi simple que de recevoir un cadeau aussi généreux et valeureux qu’il soit et qui pourrait provoquer des conflits entrainant les intérêts professionnels de Chevron et pourraient nuire à sa réputation et relations avec les autres. Lors de cet incident, le directeur a adéquatement refusé le cadeau. Les cadeaux peuvent être poliment refusés sans porter préjudice aux relations d’affaires.

Translation - English The tax/financial policy is considered one of the key tools of the economic policy adopted by the state to impact the economic activity for the sake of achieving domestic and external balance where there has been increasing interest in it since the Kenzy’s thought confirmed the importance of the state‘s role in the economic activity throughout a money policy considered of more significant efficiency in bringing both domestic and external balance confirmed by supporting intellectual viewpoints and depending on the Kenzy’s thought.
In this perspective, Algeria opted since 2001 to adopt a tax expanding policy based on increasing public spending in order to achieve a total balance and especially the domestic one where this policy has been successful in achieving the domestic balance on the one hand .On the other hand, the external balance was bound to improving oil exports in the mentioned period.

Conflict of Interest Leads to Employee Breach of Trust
Incident
An XXX employee committed a serious breach of conflict of interest after exercising own discretion to use a family member business to provide Goods and Services to Chevron. Factual evidence confirmed that the employee favored the “preferred” Service Company for over a year which resulted in a series of conflict of interest actions and continuous failure to comply with the fiduciary duty. The investigation revealed an aggravated dishonorable conduct in which the employee influenced important business decisions of high financial impact to benefit the family member.
Disciplinary and Remedial Actions
The employee’s breach of duty of good faith, fidelity and failure to disclose the Conflict of Interest highlighted in CABGOC Human Resources Conflict of Interest Policy 9 and Corporate Policy of Conflict of Interest 282 gave grounds for immediate termination, supported by article 225 of the XXX General Labor Law.
Lessons Learned
Decisions made on behalf of Chevron by employees should be made free from any external influences or positions that they hold, either personal or fiduciary, and should avoid potential reputational risk for the Company. Employees who find themselves in an actual or potential conflict of interest must disclose the matter to their Supervisor, Manager or Human Resources Business Partner (HRBP).

Un employé de XXX a commis une grave violation de conflit d’intérêt après avoir exercé de son propre compte l’exploitation d’une entreprise d’ un membre de sa famille dans le but de fournir des produits et services au profit de Chevron. Des preuves factuelles ont confirmé que l’employé avait favorisé la compagnie de service « préférée » depuis plus d’un an qui avait entrainé une série d’actions de conflit d’intérêt et non-respect continue à se conformer à la responsabilité fiduciaire.
L’investigation a révélé une conduite déshonorable aggravée dans laquelle l’employé avait influencé d’importantes décisions d’affaires aux répercussions financières énormes au profit du membre de famille.
Actions disciplinaires et correctives :
Le manquement aux obligations de bonne foi, fidélité et défaut de divulguer le conflit d’intérêt par l’employé souligné dans la politique du conflit d’intérêt du service ressources humaines CABGOC et la politique de l’entreprise relative au conflit d’intérêt 282 a donné lieu à une résiliation immédiate du contrat de travail, soutenu par l’article 225 du code général du travail XXX.
Enseignements tirés:
Les décisions prises par les employés, au nom de Chevron, doivent être prises indépendamment de toute influence externe ou positions qu’ils occupent, soit personnelle ou fiduciaire et doivent éviter tout risque potentiel pouvant compromettre la réputation de Chevron. Les employés qui se trouvent au milieu d’un conflit d’intérêt réel où potentiel ont l’obligation de signaler la question à leurs supérieur, directeur ou partenaire en ressources humaines (HRBP).

Source text - English ARTICLE I APPOINTMENT
Manufacturer hereby exclusively appoints Distributor as a distributor of the Products (defined below) for the markets specified in Attachment 1 hereto (the "Markets"), within the geographic area of the country of United States (the "Territory").
The Distributor accepts such appointment for the Term (as defined herein) of this Agreement and upon the conditions herein set forth.
ARTICLE II PRODUCTS
Manufacturer agrees to make available and sell to Distributor the products described in Attachment 2 hereto (the “Products”, each a “Product”).
ARTICLE III PRICING
Section 3.1. Purchase Price. Distributor agrees to pay Manufacturer the amounts established in Attachment 2 for the Products, unless otherwise mutually agreed upon by the Parties in writing (the “Purchase Price”).
Section 3.2. Price Adjustments. Should Manufacturer desire to change the Purchase Price Manufacturer will provide Distributor with at least ninety (90) days prior written notice of any such price change, and the effective date thereof, and the price change will be effective with respect to all Purchase Orders (defined below), received after such effective date.
ARTICLE IV SALES
Section 4.1. Sales Restrictions. Manufacturer agrees that nothing in this Agreement shall be construed to preclude Distributor from marketing or selling the Products or any other product in any Market and/or the Territory to or for any other person or from authorizing others to do so, and Distributor expressly reserves the right to do so.
Section 4.2. Manufacturer’s Restrictions. Manufacturer agrees that all sales of the Products for the Territory shall be made directly and exclusively to Distributor. Manufacturer shall not: (a) sell the Products to third parties anywhere in the world; (b) sell the Products outside the Territory when it is foreseeable that the Products will be resold to a final consumer located inside of the Territory; or (c) sell in the Territory any product of similar characteristics to the Products, as determined in the sole discretion of Distributor. Manufacturer will disclose to Distributor the identities of all products and distributors that it distributes or represents and will notify Distributor of contemplated additions prior to making new commitments.
ARTICLE V PURCHASE ORDERS
Section 5.1. Issuance of Purchase Orders. Distributor shall issue to Manufacturer one or more Purchase Orders identifying with reasonable detail the desired types, quantities and delivery dates of the Products to be purchased hereunder (the “Purchase Order(s)”). The terms and conditions of this Agreement shall govern all Purchase Orders. Any term or condition set forth in any Purchase Order which is inconsistent with this Agreement shall have no force or effect, except that Purchase Orders may include other terms and conditions which are mutually agreed to in writing signed by Distributor and Manufacturer. Purchase Orders will be delivered by Distributor to Manufacturer by fax or electronically transferred in a manner mutually acceptable to Distributor and Manufacturer.
Section 5.2. Acceptance of Purchase Orders. All Purchase Orders shall be binding upon Manufacturer unless expressly rejected in writing, such writing to be received within seven (7) days from receipt of the corresponding Purchase Order(s).
Section 5.3. Purchase Order Alterations or Cancellations. Purchase Orders shall be deemed to be accepted unless rejected by Manufacturer in writing within seven (7) days of the date of receipt of the Purchase Order.
ARTICLE VI SHIPPING
Section 6.1. Delivery. Delivery under this agreement will be DDP (Incoterms 2010) – Delivery Duty Paid, Distributor’s Designated Location in United States (“DDP”) or as otherwise designated by Distributor. All shipments hereunder will be made in shipping packages previously approved by Distributor. Delivery of Products will be deemed satisfactory delivery and title and risk of loss of Products shall pass to Distributor upon such delivery. All freight, insurance and other shipping and transportation expenses to Distributor’s requested delivery point shall be borne by Manufacturer unless otherwise agreed to in writing by Distributor.
Section 6.2. Acceptance. Distributor shall have thirty (30) business days from receipt of the Products from the Manufacturer to reject any non-conforming or unacceptable Products, such rejection to be made by written notice to Manufacturer.
Section 6.3. Returns and Credits. Manufacturer agrees that it will accept any duly returned Products from Distributor, and make full and satisfactory compensation within ten (10) business days of receipt, such return shipment paid by Distributor to be borne by and added to the compensation paid by Manufacturer.
Section 6.4. Risk of Loss. All prices are DDP Distributor’s Designated Location, United States. Manufacturer will package the Products in accordance with accepted standard commercial practices for normal shipment considering the type of Product involved and the normal risks encountered in shipments, unless otherwise requested by Distributor. Manufacturer shall arrange for shipment by designated method. All transportation charges are to be borne by Manufacturer.
Title and risk of loss or damage to the Products shall pass to the Distributor at the time Manufacturer completes delivery DDP Distributor’s Designated Location, United States.
ARTICLE VII PAYMENT
Section 7.1. Payment Terms. Payment must be made by Distributor within thirty (30) days after delivery DDP Distributor’s Designated Location, United States. The payment terms can only be changed upon mutual, written consent of the Distributor and the Manufacturer.
Section 7.2. Taxes. Manufacturer shall bear the expense of all applicable federal, state, municipal and other taxes (such as sales, use or privilege taxes), all customs duties, imposts, and excise taxes based on gross revenue and all personal property taxes assessable on the Products until delivery to the carrier DDP Distributor’s Designated Location, United States. If a certificate of exemption or similar document or proceeding is required in order to exempt the sale from sales or use tax liability, Manufacturer will obtain such certificate, document or proceeding and present to Distributor evidence of such exemption satisfactory to Distributor no later than two (2) business days prior to shipment.
ARTICLE VIII REPRESENTATIONS, WARRANTIES AND
INDEMNIFICATION
Section 8.1. Title. Manufacturer represents and warrants that it has all right, title, ownership interest and marketing rights necessary to provide the Products to Distributor and otherwise perform its obligations to Distributor hereunder.
Section 8.2. No Violations or Conflicts. Distributor represents and warrants that (a) the purchase of Products by Distributor and subsequent sale to its customers as contemplated by this Agreement throughout the Territory violates no law, code, or regulation of the Territory, and (b) Distributor has not entered into any agreements or commitments that are inconsistent with or in conflict with Distributor’s obligations under this Agreement.
Manufacturer represents and warrants that (a) the sale of Products to the Distributor as contemplated by this Agreement violates no law, code, or regulation of the United States, and (b) Manufacturer has not entered into any agreements or commitments that are inconsistent with or in conflict with the rights granted to Distributor in this Agreement.
Section 8.3. Product Warranties. Manufacturer represents and warrants that the Products will conform substantially to the specifications provided with the Products (the “Limited Warranty”).
Section 8.4. Intellectual Property Rights.
(a) Distributor shall have permission to use during the Term the trademarks, trade names and other intellectual property used by Manufacturer in connection with the Products (the “Manufacturer IP”). Such permission shall be expressly limited to uses by Distributor that are necessary to perform Distributor’s obligations under this Agreement.
(b) Distributor acknowledges and agrees that Manufacturer shall own and control exclusively all rights, title, and interest in and to the Manufacturer IP. Distributor agrees not to take any action inconsistent with Manufacturer’s ownership and control of the Manufacturer IP.
(c) If the Manufacturer IP is not registered in the Territory, Manufacturer may request that Distributor register the Manufacturer IP in the Territory in the name of Manufacturer. Upon such request, Distributor shall have the option to register the Manufacturer IP in the Territory in the name of Manufacture at Manufacturer’s expense.
(d) Distributor shall not remove or make or permit any alterations in or to any Manufacturer IP, tags, labels or other identifying markings placed by Manufacturer on any of the Products, their packages or containers, unless required by applicable law and agreed to by Manufacturer.
(e) If the Products or Manufacturer IP, or the operation thereof, becomes, or in Distributor’s business judgment are likely to become, the subject of a claim of infringement of a patent, copyright, trade secret, trademark, trade name and/or other intellectual property right, or the subject of an action upon such a claim, Manufacturer shall, at Manufacturer’s sole expense, to do any one or more of the following at Distributor’s sole option: (1) procure for Distributor or its customers the right to continue to use the Products and Manufacturer IP, or (2) replace or modify the Products and Manufacturer IP so that they become non-infringing upon their return to Manufacturer at Manufacturer’s request, or (3) repay to Distributor the price paid by Distributor for such Products upon their return to Manufacturer at Manufacturer’s request and expense.
Section 8.5. Authority. The Distributor hereby represents and warrants to Manufacturer that: (i) it is duly organized, validly existing and in good standing under the laws of the jurisdiction of its organization; (ii) it has full power and authority to enter into this Agreement and to perform its obligations hereunder; (iii) this Agreement has been duly and validly authorized, executed and delivered by it and is enforceable against it in accordance with its terms; (iv) neither the execution and delivery of this Agreement nor the consummation of the transactions contemplated hereby violates or will violate, or conflicts with or will conflict with or constitutes or will constitute a default under, its organizational documents, any law, rule, regulation, order or judgment applicable to it or any agreement, contract or other instrument to which it is a party or by which it is bound or to which it or any of its properties or assets are subject; and (v) it has the ability to fully perform its obligations under this Agreement.
Manufacturer represents and warrants to the Distributor that: (i) it is duly organized, validly existing and in good standing under the laws of the jurisdiction of its organization; (ii) it has full power and authority to enter into this Agreement and to perform its obligations hereunder; (iii) this Agreement has been duly and validly authorized, executed and delivered by it and is enforceable against it in accordance with its terms; (iv) neither the execution and delivery of this Agreement nor the consummation of the transactions contemplated hereby violates or will violate, or conflicts with or will conflict with or constitutes or will constitute a default under, its organizational documents, any law, rule, regulation, order or judgment applicable to it or any agreement, contract or other instrument to which it is a party or by which it is bound or to which it or any of its properties or assets are subject; (v) it is not party to an agreement with any third party, oral or written, respecting the distribution of Products within the Territory; (vi) it has the ability to fully perform its obligations under this Agreement; (vii) all Products to be sold to the Distributor hereunder will be materially free from defects; and (viii) there are no and will not be any liens, charges, mortgages or liabilities of any kind affecting or threatening to affect any Products to be sold to the Distributor hereunder.
Section 8.6. Indemnification by Manufacturer. Manufacturer will indemnify, defend and hold Distributor harmless from and against any loss, damage, liability, claim, demand, judgment and expense, including without being limited to reasonable attorneys’ fees and dispute resolution costs, arising out of any claim by a third party against Distributor by reason of any breach of any warranty, representation or agreement of Manufacturer contained herein. This indemnification shall survive the termination of this Agreement.
Section 8.7. Indemnification Procedure. A Party entitled to be indemnified, as set forth under the Agreement (the “Indemnified Party”), shall notify the Party responsible for such indemnification (the “Indemnifying Party”) in writing as soon as practicable following the assertion of such claims. The Indemnifying Party must afford the Indemnified Party the opportunity to participate, at the Indemnified Party’s sole expense, in the defense of any claim, provided, however, that the Indemnifying Party shall at all times have the right to control all aspects of the handling of such claim, including without limitation, the selection of counsel, and any compromise, settlement or other resolution of such claim; provided, further, that the Indemnifying Party shall not have the right to settle any claim against the Indemnified Party without the Indemnified Party’s prior written consent, unless such settlement provides for a full and unconditional release of all liability against the Indemnified Party.
Section 8.8. Limitation of Liability. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY (OR ANY OTHER PARTY) FOR LOSS OF PROFITS OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR OTHER SIMILAR DAMAGES ARISING OUT OF ANY BREACH OF THIS AGREEMENT OR OBLIGATIONS UNDER THIS AGREEMENT, NOR WILL MANUFACTURER BE LIABLE FOR ANY DAMAGES CAUSED BY DELAY IN DELIVERY OF THE PRODUCTS PURCHASED HEREUNDER, EXCEPT TO THE EXTENT SUCH DAMAGES ARE SUBJECT TO INDEMNIFICATION HEREUNDER OR ARE THE RESULT OF A VIOLATION OF INTELLECTUAL PROPERTY RIGHTS. BOTH PARTIES HAVE CONSIDERED THE MAKING OF EXPENDITURES IN PREPARING FOR PERFORMANCE OF THIS AGREEMENT AND POSSIBLE LOSSES AND DAMAGES INCIDENT AND RESULTING TO THEM IN THE EVENT OF ITS TERMINATION.
ARTICLE IX FURTHER COVENANTS
Section 9.1. Distributor Covenants. Distributor agrees to conduct all business in its own name as an authorized distributor and independent contractor.
Section 9.2. Advertising Support. Manufacturer agrees to support the efforts of Distributor with its standard advertising and other sales promotion efforts and to supply available sales promotion and advertising materials at cost to Distributor.
ARTICLE X FORCE MAJEURE
If the performance of this Agreement or any obligation hereunder, except the making of payments hereunder, is prevented, restricted or interfered with by reason of fire, flood, earthquake or other casualty; labor disputes; war or other violence; law, order, regulation, ordinance or requirement of any governmental agency; or any other act or condition beyond the reasonable, foreseeable, control of the affected Party, the Party so affected, upon notice to the other Party, shall be excused from such performance to the extent of such prevention, restriction or interference.
ARTICLE XI TERM
This Agreement shall become effective as of the date set forth above and, subject to the terms and conditions of Article XII below, shall remain in full force and effect for a period of five (5) years. The term of this Agreement shall be renewed and extended for consecutive one (1)-year terms unless at least ninety (90) days prior to the date of renewal, either Party delivers written notice to the other of its desire to allow this Agreement to expire. The initial five (5)-year term and any renewal terms are collectively referred to herein as the “Term.”
ARTICLE XII TERMINATION
Section 12.1. Termination for Cause. Either Party may terminate this Agreement for cause at any time during the Term. “For Cause” shall mean any event in which either Party materially or repeatedly defaults in the performance of any of its duties or obligations set forth in this Agreement, and such default is not cured within thirty (30) days after written notice is given to the defaulting Party specifying the default; provided, however, that in the event of a payment default the cure period shall be only ten (10) days. In such event, then the Party not in default may, by giving written notice thereof to the defaulting Party, terminate this Agreement or the applicable Purchase Order relating to such default as of the date specified in such notice of termination.
Section 12.2. Immediate Termination. Either Party may immediately terminate this Agreement and any pending Purchase Orders by giving written notice to the other Party in the event of (a) the liquidation or insolvency of the other Party, (b) the appointment of a receiver or similar officer for the other Party, (c) an assignment by the other Party for the benefit of all or substantially all of its creditors, (d) entry by the other Party into an agreement for the composition, extension, or readjustment of all or substantially all of its obligations, (e) the filing of a petition in bankruptcy by or against a Party under any bankruptcy or debtors' law for its relief or reorganization which is not dismissed within sixty (60) days, or (f) the other Party ceasing to conduct business in the normal course.
Section 12.3. Effect of Termination.
(a) Upon expiration or termination, Manufacturer shall have the obligation to repurchase the Product inventory at the price at which Distributor purchased such Products from Manufacturer. Distributor shall permit inspection of the inventory to verify its condition. Any such sale shall be carried out promptly after termination of this Agreement.
(b) Upon expiration or termination, Distributor shall return to Manufacturer all of Manufacturer’s confidential information. In addition, upon any such termination or expiration, Distributor shall cease using Manufacturer's name, trademarks and trade names and shall remove, within forty-five (45) days of the expiration or termination of this Agreement, any trademarks, labels or other marks or insignia relating to the Products of Manufacturer from the Distributor’s property.
(c) Upon expiration or termination, Manufacturer shall return to Distributor all of Distributor’s confidential information. In addition, upon any such termination or expiration, Manufacturer shall cease using Distributor’s name, trademarks and trade names and shall remove, within forty-five (45) days of the expiration or termination of this Agreement, any trademarks, labels or other marks or insignia relating to the Distributor from the Manufacturer’s property.
(d) The expiration or termination of this Agreement shall not affect any accrued rights or liabilities of either Party or affect the coming into force or the continuance in force of any provision which is expressly or by implication intended to come into or continue in force on or after such termination.
(e) Upon the payment by the Manufacturer of the Distributor’s laid in cost plus any reasonable costs the Distributor incurs in making such returns, the Distributor shall return deliver to Manufacturer all advertising and promotional materials in its possession relating to the Products or bearing Manufacturer’s name.
(f) Both parties warrant and covenant that, upon the expiration or termination of this Agreement, neither party will take any action to impair or diminish the goodwill or business of the other party.
ARTICLE XII MISCELLANEOUS
Section 13.1. Confidentiality. Each Party acknowledges that in the course of performance of its obligations pursuant to this Agreement, it may obtain certain information specifically marked as confidential or proprietary. Each Party hereby agrees that all such information communicated to it by the other Party, its parent, affiliates, subsidiaries, or Customers, whether before or after the Effective Date, shall be and was received in strict confidence, shall be used only for purposes of this Agreement, and shall not be disclosed without the prior written consent of the other Party, except as may be necessary by reason of legal, accounting or regulatory requirements beyond either Party's reasonable control. The provisions of this Section shall survive termination or expiration of this Agreement for any reason for a period of one (1) year after said termination or expiration.
Section 13.2. Notices. Any and all notices required or permitted under this Agreement shall be in writing and shall be personally delivered, sent by registered mail, a recognized overnight delivery service, or by other means which affords the sender evidence of delivery, or of rejected delivery, to the respective Party at the addresses shown above, unless and until a different address has been designated by written notice to the other Party, or the parties have agreed to electronic communications. Any notice by a means which affords the sender evidence of delivery, or rejected delivery, shall be deemed to have been given at the date and time of receipt or rejected delivery.
Section 13.3. Amendment and Waiver. This Agreement may not be changed, modified, amended, extended, terminated, waived or discharged except by an instrument in writing signed by the Party against which enforcement is sought. No failure to enforce the terms of this Agreement shall constitute a continuing waiver of that provision or a waiver of any other provision.
Section 13.4. Interpretation. The Parties each acknowledge that this Agreement was fully negotiated between them and, therefore, no provision hereof shall be interpreted against any Party because such Party or its legal representative drafted such provision.
Section 13.5. Headings. Article and section headings used herein are for convenience only, are not a part of this Agreement, and shall not be used in construing it.
Section 13.6. Cooperation. Each of the Parties agrees to execute and deliver such further documents and to cooperate in such manner as may be necessary to implement and give effect to the agreements contained herein.
Section 13.7. Assignment; Binding Effect. Any assignment or attempted assignment by either Party, in whole or in part, by operation of law or otherwise, of its rights or obligations under this agreement (other than the right to receive payments hereunder) without the other Party's prior express written consent shall be void, except that:
a) either Party may assign its rights under this Agreement to a wholly-owned subsidiary, provided the assigning Party remains liable for performance of its obligations under this Agreement; and
b) Manufacturer may assign its rights under this Agreement to any Party succeeding to substantially all of Manufacturer's business, provided that such successor shall be responsible for all of Manufacturer's obligations hereunder; and
c) Distributor may assign its rights under this Agreement to any Party succeeding to substantially all of Distributor’s business, provided that such successor shall be responsible for all of Distributor’s obligations hereunder; and
Subject to the foregoing, this Agreement shall bind and inure to the benefit of the successors and assigns of the Parties. Any assignment, delegation or transfer made in breach of this Section shall be null and void.
Section 13.8. Severability. If, but only to the extent that, any provision of this Agreement is declared or found to be illegal, unenforceable or void, then both Parties shall be relieved of all obligations arising under such provision, it being the intent and agreement of the Parties that this Agreement shall be deemed amended by modifying such provision to the extent necessary to make it legal and enforceable while preserving its intent.
Section 13.9. Entire Agreement. This Agreement, including any Exhibits and documents referred to in this Agreement or attached hereto, constitutes the entire and exclusive statement of Agreement between the Parties with respect to its subject matter, superseding any and all previous proposals, representations or statements, oral or written. Any previous agreements between the Parties pertaining to the subject matter of this Agreement are hereby expressly cancelled and terminated. The Parties agree that unless otherwise agreed to in writing by the Party intended to be bound, the terms and conditions of this Agreement shall prevail over any contrary terms in any Purchase Order, sales acknowledgment, confirmation or any other document issued by either Party affecting the purchase or sale of Products hereunder. This Agreement may not be released or modified except by the mutual written consent of both Parties as attested to by an instrument signed by an officer of each of them.
Section 13.10. Relationship of Parties. The Parties are performing pursuant to this Agreement only as independent contractors. Nothing set forth in this Agreement shall be construed to create the relationship of principal and agent between Distributor and Manufacturer or creating a joint venture or partnership between Distributor and Manufacturer. Neither Party shall act or represent itself, directly or by implication, as an agent or other representative of the other Party.
Section 13.11. Dispute Resolution. Any controversy or claim arising out of, or relating to this Agreement, or the breach thereof, shall be determined by arbitration as governed by and interpreted under the internal laws (as opposed to conflicts of laws provisions) of the State of Florida, and the Federal Arbitration Act, administered by the American Arbitration Association under its Commercial Arbitration Rules (or, if the parties are domiciled in different countries, its International Arbitration Rules) in effect at such time and agree to execute any and all paperwork necessary to effectuate same; provided, however, that either Party may request and obtain preliminary injunctive relief pursuant to the applicable law (pending and subject to the arbitration award). All arbitration hearings shall be conducted in the English language and shall be held in Miami-Dade County, Florida, U.S.A., by a single arbitrator who, at the request of either party, shall provide a written reasoned opinion. The award of the arbitrator shall be final and binding and judgment thereon may be entered by a court of competent jurisdiction. Should any provision, section or part of the Agreement or this arbitration agreement be deemed illegal, invalid or unenforceable by a court of competent jurisdiction, that element of the Agreement or this arbitration agreement may be severed and shall not affect the validity or enforceability of the remaining portions of the Agreement or this arbitration agreement in that jurisdiction and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. In legal proceedings instituted to enforce this Agreement and/or this arbitration agreement, the party who prevails in such proceedings shall be entitled to the award of its reasonable attorney’s fees and dispute resolution costs, plus fees and costs incurred by it in executing and/or collecting any judgment, at all trial and appellate levels. This provision shall continue in full force and effect subsequent to and notwithstanding the expiration or termination of this Agreement. The United Nations Convention on Contracts for the International Sale of Goods and the United Nations Convention on the Limitation Period in the International Sale of Goods, as amended from time to time, are excluded from application to this Agreement.
Section 13.12. Authority of Executing Party. The Parties executing this Agreement warrant that they have the requisite authority to do so.
Section 13.13. Counterparts. This Agreement may be executed in any number of counterparts and delivered electronically with the same effect as if the signature to each counterpart were original and on the same document, and all such counterparts will be deemed one and the same agreement; however, this Agreement shall be of no force or effect until executed by both Parties.
IN WITNESS WHEREOF, the Parties have each caused this Agreement to be signed and delivered by its duly authorized representative as of the Effective Date.

ARTICLE I
Le Fabricant nomme exclusivement le Distributeur comme Distributeur des Produits (définis ci-dessous) pour les marchés visés à l'Annexe 1 au présent document (les «Marchés»), dans la zone géographique du pays des États-Unis (le "Territoire").
Le Distributeur accepte cette nomination pour la durée (au sens des présentes) du présent Contrat et aux conditions énoncées aux présentes.
ARTICLE II PRODUITS
Le Fabricant s'engage à mettre à la disposition et à vendre au Distributeur les produits décrits à l'Annexe 2 ci-après (les «Produits», chacun étant un «Produit»).
ARTICLE III PRIX
Section 3.1. Prix d'Achat. Le Distributeur s'engage à payer au Fabricant les montants établis à l'Annexe 2 pour les Produits, sauf accord contraire par écrit entre les Parties (le «Prix d'Achat»).
Section 3.2. Ajustement des prix. Si le Fabricant souhaite changer le Prix d'Achat, le Fabricant fournira au Distributeur au moins quatre-vingt-dix jours de préavis (90) par écrit de tout changement de prix, et la date effective de celui-ci, et le changement de prix sera effectif à l'égard de tous les Bons de Commande (définis ci-dessous), reçus après cette date.
ARTICLE IV VENTES
Section 4.1. Restrictions de vente. Le Fabricant admet que rien dans le présent Contrat ne peut être interprété comme empêchant le Distributeur de commercialiser ou de vendre les Produits ou tout autre Produit dans un Marché et / ou Territoire à ou pour une autre personne ou d'autoriser d'autres personnes à le faire, et le Distributeur se réserve expressément le droit de le faire.
Section 4.2. Restrictions pour le Fabricant. Le Fabricant admet que toutes les ventes de Produits pour le Territoire doivent être faites directement et exclusivement au Distributeur. Le Fabricant ne doit pas: (a) vendre les Produits à des tiers partout dans le monde; (b) vendre les Produits en dehors du Territoire où il est prévisible que les Produits soient revendus à un consommateur final situé à l'intérieur du Territoire; ou (c) vendre sur le Territoire de tout Produit présentant des caractéristiques similaires aux Produits, tel que déterminé à la seule discrétion du Distributeur. Le Fabricant s'engage à divulguer au Distributeur les identités de tous les Produits et les Distributeurs à qui il distribue ou représente et avisera le Distributeur d'ajouts envisagés avant de prendre de nouveaux engagements.
ARTICLE V BONS DE COMMANDE
Section 5.1. Émission de bons de commande. Le Distributeur délivre au Fabricant un ou plusieurs Bons de Commande qui identifient avec suffisamment de détails les types souhaités, les quantités et les dates de livraison des Produits à acheter aux termes des présentes (le [s] « Bon (s) de Commande"). Les conditions de ce Contrat régiront tous les Bons de Commande. Toute condition énoncée dans un bon de commande qui est incompatible avec le présent Contrat n'aura aucune force ou effet, sauf si ces Bons de commande incluent autres modalités et conditions qui sont mutuellement convenues de façon écrite et signées par le Distributeur et le Fabricant. Les Bons de Commande seront remis par le Distributeur au Fabricant, par télécopie ou transférés électroniquement de façon mutuellement acceptable pour le Distributeur et le Fabricant.
Section 5.2. Acceptation des Bons de Commande. Tous les Bons de Commande doivent être contraignants pour le Fabricant à moins qu’expressément rejeté par écrit, cet écrit doit être reçu dans les sept (7) jours à compter de la réception du Bon (s) de Commande correspondant (s).
Section 5.3. Modifications ou Annulations du Bon de Commande. Les Commandes sont réputées être acceptées à moins qu’elles soient rejetées par le Fabricant par écrit dans les sept (7) jours suivant la date de réception du Bon de Commande.
ARTICLE VI EXPEDITION
Section 6.1. Livraison. La Livraison sous ce Contrat sera RDA (Incoterms 2010) - rendus droits acquittés, l’Endroit désigné aux États-Unis («RDA») ou désigné autrement par le Distributeur. Tous les envois ci-après seront effectués dans des emballages d'expédition préalablement approuvés par le Distributeur. La Livraison des Produits sera considérée comme une Livraison satisfaisante et la propriété et le risque de perte des Produits seront transmis au Distributeur à cette livraison. Section 6.2. Acceptation. Le Distributeur dispose de trente (30) jours ouvrables suivant la réception des Produits du Fabricant pour rejeter tout Produit non conforme ou inacceptable, ce rejet doit être fait par notification écrite au Fabricant.
Section 6.3. Retours et Crédits. Le Fabricant s'engage à accepter tous les Produits dûment renvoyés par le Distributeur, et de l’indemniser intégralement et de façon satisfaisante dans un délai de dix (10) jours ouvrables suivant la réception, un tel retour d’expédition payé par le Distributeur doit être à la charge et ajouté à la rémunération versée par le Fabricant.
Section 6.4. Risque de Perte. Tous les prix sont un endroit RDA désigné du Distributeur, aux États-Unis. Le Fabricant emballera les produits en conformité avec les pratiques commerciales standards acceptées pour l'expédition normale en tenant compte du type de Produit en cause et les risques normaux rencontrés dans les envois, sauf demande contraire du Distributeur. Le Fabricant doit assurer la livraison selon la méthode désignée. Tous les frais de transport sont à la charge du Fabricant.
Le titre et le risque de perte ou d'endommagement des Produits doivent être transmis au Distributeur dès que le Fabricant complète l'Endroit RDA désigné de livraison du Distributeur, aux États-Unis.
ARTICLE VII PAIEMENT
Section 7.1. Modalités de Paiement. Le paiement doit être effectué par le Distributeur dans les trente (30) jours après livraison au Distributeur à l’Endroit RDA désigné du Distributeur, aux États-Unis. Les termes de paiement ne peuvent être modifiés que par consentement mutuel écrit du Distributeur et du Fabricant.
Section 7.2. Taxes. Le Fabricant paiera les frais de toutes les taxes d’états, de municipalités et autres taxes fédérales applicables, (telles que les taxes sur la vente, l'utilisation ou l'impôt de privilèges), tous les droits de douane, taxes et droits d'accise sur la base des recettes brutes et les taxes sur les biens personnels imposables sur les produits jusqu'à livraison par le transporteur à l'endroit RDA désigné du Distributeur, aux États-Unis. ARTICLE VIII REPRESENTATIONS, GARANTIES ET INDEMNITES
Section 8.1. Titre. Le Fabricant déclare et garantit qu'il dispose de tous les droits, titres, participation et droits de commercialisation nécessaires pour fournir les Produits au Distributeur et autrement pour s'acquitter de ses obligations en vertu des présentes à l’égard du Distributeur.
Section 8.2. Aucunes Violations ou Conflits. Le Distributeur déclare et garantit que (a) l'achat des produits par le Distributeur et toute vente subséquente à ses clients tel que prévu par le présent Contrat sur l'ensemble du territoire ne viole aucune loi, code, ou règlement du Territoire, et (b) le Distributeur n'a pas conclu de conventions et d’engagements qui sont incompatibles ou en conflit avec les obligations du Distributeur en vertu du présent Contrat.
Le Fabricant déclare et garantit que (a) la vente de produits au distributeur en vertu de ce contrat ne viole aucune loi, code ou règlement des États-Unis et (b)le Fabricant n’as pas conclu de conventions ou d’engagements qui sont incompatibles ou en conflit avec les droits accordés au Distributeur dans ce contrat.
Section 8.3. Garantie du Produit. Le Fabricant déclare et garantit que les Produits seront substantiellement conformes aux spécifications fournies avec les Produits (la « Garantie Limitée »).
Section 8.4. Droits de propriété intellectuelle.
(a) Le Distributeur doit avoir l'autorisation d'utiliser, pendant la durée, les marques, les noms commerciaux et autre propriété intellectuelle utilisée par le Fabricant en rapport avec les Produits (les "PI du Fabricant"). Cette autorisation doit être expressément limitée aux utilisations du Distributeur qui sont nécessaires à l'exécution des obligations du Distributeur en vertu de ce Contrat.
(b) Le Distributeur reconnaît et accepte que le Fabricant doit posséder et contrôler exclusivement tous les droits, titre et intérêt dans et au PI du Fabricant. Le Distributeur accepte de ne pas prendre toute action incompatible avec la propriété et le contrôle du Fabricant de la propriété intellectuelle du Fabricant.
(c) Si la propriété intellectuelle du Fabricant n'est pas enregistrée sur le territoire, le Fabricant peut demander au Distributeur d’enregistrer cette PI du Fabricant dans le territoire au nom du Fabricant. Suite à cette demande, le Distributeur aura la faculté d'enregistrer la PI du Fabricant dans le territoire au nom du constructeur et aux frais du Fabricant.
(d) Le Distributeur ne doit pas enlever ou effectuer ou autoriser toute modification dans ou à tous PI, étiquettes, label ou autres marques d'identification du Fabricant, placés par le Fabricant sur l'un des Produits, leurs emballages ou récipients, sauf si requis par la loi applicable et accepté par le Fabricant.
(e) Si les produits ou la PI du Fabricant, deviennent , ou si l’opération devient ainsi, ou si l’appréciation commerciale du Distributeur sont susceptibles de devenir, l'objet d'une réclamation de contrefaçon d'un brevet, d’un droit d'auteur, de secret commercial, de marque, de nom commercial ou autre droit de propriété intellectuelle, ou faire l'objet d'un recours à une telle revendication, le Fabricant doit, à la charge exclusive du Fabricant, faire un ou plusieurs des opérations suivantes à la discrétion du Distributeur: (1) se procurer pour le Distributeur ou de ses clients le droit de continuer à utiliser les produits et la Pi du Fabricant ou (2) remplacer ou modifier les produits et les PI du Fabricant afin qu'ils deviennent non contrefaits à leur retour au Fabricant, à la demande du Fabricant, ou (3) rembourser au Distributeur le prix payé par le Distributeur de ces produits à leur retour au Fabricant, au frais et à la demande du Fabricant.
Section 8.5. Autorité. Le Distributeur déclare et garantit au Fabricant par la présente que: (i) il est dûment organisé, valablement existant et en règle en vertu des lois de la juridiction de son organisation; (ii) il a le plein pouvoir et l'autorité pour conclure le présent Contrat et de s'acquitter de ses obligations en vertu des présentes; (iii) le présent Contrat a été dûment et valablement autorisé, signé et transmis par celui-ci et est opposable conformément à ses modalités; (iv) ni la signature, ni la remise du présent Contrat, ni la réalisation des opérations envisagées par la présente ne viole ou ne violera, ou ne donne ou donnera lieu à des conflits avec quiconque ou constitue ou constituera un manquement à ses obligations de ses documents organisationnels, ou à toute loi, règle, réglementation , ordonnance ou jugement qui lui sont applicables ou de tout accord, contrat ou autre instrument auquel il fait partie ou par lequel il est lié ou de ses biens ou actifs qui y sont soumis; et (v) il a la capacité de s'acquitter pleinement de ses obligations en vertu du présent Contrat.
Le Fabricant déclare et garantit au Distributeur par la présente que: (i) il est dûment organisé, valablement existant et en règle en vertu des lois de la juridiction de son organisation; (ii) il a le plein pouvoir et l'autorité pour conclure le présent Contrat et de s'acquitter de ses obligations en vertu des présentes; (iii) le présent Contrat a été dûment et valablement autorisé, signé et transmis par celui-ci et est opposable conformément à ses modalités; (iv) ni la signature, ni la remise du présent Contrat, ni la réalisation des opérations envisagées par la présente ne viole ou ne violera, ou ne donne ou donnera lieu à des conflits avec quiconque ou constitue ou constituera un manquement à ses obligations de ses documents organisationnels, ou à toute loi, règle, réglementation , ordonnance ou jugement qui lui sont applicables ou de tout accord, contrat ou autre instrument auquel il fait partie ou par lequel il est lié ou de ses biens ou actifs qui y sont soumis; (v) Qu’il ne fait pas partie d’un accord avec une tierce partie, oralement ou par écrit, concernant la distribution des Produits à travers le territoire; (vi) il a la capacité de s'acquitter pleinement de ses obligations en vertu du présent Contrat; (vii) tous les Produits ci-dessous destinés à être vendus au Distributeur seront sensiblement exempts de défauts; et (viii) ils ne sont pas et ne seront pas des privilèges, des charges, des hypothèques, des dettes de toute nature affectant ou menaçant de porter atteinte aux produits destinés à être vendus au Distributeur ci-dessous.
Section 8.6. Indemnisation par le Fabricant. Le Fabricant indemnisera, défendra et protègera le Distributeur contre toute perte, dommage, responsabilité, réclamation, demande, jugement et dépense, y compris sans s'y limiter à des honoraires raisonnables d'avocat et frais de résolution de différends, découlant de toute réclamation par un tiers contre le Distributeur en raison d'une violation de toute garantie, représentation ou accord du Fabricant contenus dans ce document. Cette indemnisation continuera d’exister à la résiliation du présent Contrat.
Section 8.7. Procédure d'indemnisation. Une partie qui a le droit d'être indemnisée, comme établi dans le Contrat (la «Partie indemnisée"), doit aviser la partie responsable de cette indemnisation (la" Partie indemnisante ») par écrit dès que possible après l'affirmation de ces revendications. La Partie indemnisante doit permettre à la Partie indemnisée de participer, à la charge exclusive de la Partie indemnisée, dans la défense de toute réclamation, à condition toutefois que la Partie indemnisante ait en tout temps le droit de contrôler tous les aspects de la gestion de cette revendication, y compris, sans limitation, du choix des avocats et d’un quelconque compromis, règlement ou autre résolution de cette revendication ; sous réserve, en outre, que la Partie indemnisante n'ait pas le droit de régler toute réclamation contre la Partie indemnisée sans que la Partie indemnisée ne donne au préalable son consentement explicite, à moins que ce règlement prévoit une libération totale et inconditionnelle de toute responsabilité contre la Partie indemnisée.
Section 8.8. Limitation de responsabilité. L'AUTRE PARTIE NE DOIT ÊTRE EN AUCUN CAS RESPONSABLE ENVERS L'AUTRE PARTIE (OU TOUTE AUTRE PARTIE) POUR LA PERTE DE PROFITS OU DE DOMMAGES INDIRECTS, ACCESSOIRES, SPÉCIAUX, CONSÉCUTIFS OU AUTRES RÉSULTANT DE TOUTE VIOLATION DU PRÉSENT CONTRAT OU DES OBLIGATIONS EN VERTU DE CE CONTRAT, LE FABRICANT NE SERA PAS RESPONSABLE DE TOUT DOMMAGE CAUSÉ PAR LE RETARD DANS LA LIVRAISON DES PRODUITS ACHETÉS AUX TERMES DES PRÉSENTES, SAUF DANS LA MESURE OÙ CES DOMMAGES SONT SUJETS À INDEMNISATION AUX TERMES DES PRÉSENTES OU SONT LE RÉSULTAT D'UNE VIOLATION DES DROITS DE PROPRIÉTÉ INTELLECTUELLE. LES DEUX PARTIES ONT PRIS EN CONSIDÉRATION TOUTES LES DÉPENSES DANS LA PRÉPARATION DE L'EXÉCUTION DU PRÉSENT CONTRAT ET LES ÉVENTUELLES PERTES ET LES DOMMAGES ENCOURUS ET QUI EN RÉSULTENT POUR EUX EN CAS DE RÉSILIATION.
ARTICLE IX AUTRES ENGAGEMENTS
Section 9.1. Les Engagements du Distributeur. Le Distributeur s'engage à mener toutes les affaires en son nom propre en tant que Distributeur agréé et entrepreneur indépendant.
Section 9.2. Support Publicitaire. Le Fabricant s'engage à soutenir les efforts du Distributeur dans ses efforts de publicité et autres efforts standards de promotion des ventes et de fournir des supports de promotion des ventes disponibles et du matériel de publicité au frais du Distributeur.
ARTICLE X FORCE MAJEURE
Si l'exécution du présent Contrat ou de toute obligation en vertu des présentes, à l'exception du versement de paiements aux termes des présentes, est empêchée, restreinte ou entravée en raison d'incendie, d’inondation, de tremblement de terre ou d’autres accidents; conflits de travail; guerre ou violence; loi, ordre, règlement, ordonnance ou exigence de tout organisme gouvernemental; ou tout autre acte ou condition au-delà du contrôle, raisonnable et prévisible de la Partie touchée, la Partie tellement touchée, sur avis de l'autre Partie, sera dispensée de cette performance à la mesure d’un tel empêchement, restriction ou interférence.
ARTICLE XI DUREE
Ce Contrat entrera en vigueur à la date stipulée ci-dessus et, aux modalités et conditions de l'Article XII ci-dessous, qui restera en vigueur pour une période de cinq [5] ans. La durée du présent Contrat doit être renouvelée et prolongée pour un mandat d'une [1]-année consécutive à moins qu’à moins de quatre-vingt-dix [90] jours avant la date de renouvellement, chaque Partie délivre un avis écrit à l'autre Partie lui exprimant sa volonté de permettre fin à ce Contrat. La durée initiale de cinq [5] ans et les conditions de renouvellement sont ci-après collectivement appelées "Durée".
ARTICLE XII RESILIATION
Section 12.1. Résiliation pour cause. Chaque Partie peut résilier le présent Contrat pour une cause à tout moment pendant la durée. «Pour Cause» désigne tout événement dans lequel l'une des Parties a manqué matériellement ou à plusieurs reprises à ses obligations dans l'exécution de l'un de ses droits ou de ses obligations énoncés dans le présent Contrat, et ce manquement n'a pas été corrigé dans les trente (30) jours à compter de la notification écrite à la Partie défaillante en précisant le manquement; à condition, toutefois, que dans le cas d'un défaut de paiement, le délai de rectification ne sera seulement que de dix (10) jours. Dans ce cas, la Partie qui n'est pas en défaut peut, en donnant un avis écrit à la Partie défaillante, résilier le présent Contrat ou le Bon de Commande applicable à ce type de manquement à compter de la date précise dans l'avis de résiliation.
Section 12.2. Résiliation immédiate. Chaque Partie peut immédiatement résilier ce Contrat et les Bons de Commande en attente en donnant un avis écrit à l'autre Partie en cas de (a) la liquidation ou l'insolvabilité de l'autre Partie, (b) la nomination d'un séquestre ou d’un agent similaire pour l'autre Partie, (c) une cession par l'autre Partie au profit de la totalité ou la quasi-totalité de ses créanciers, (d) l’entrée de l'autre Partie dans un accord pour la composition, l’extension ou le réajustement de la totalité ou la quasi-totalité de ses obligations, de faillite (e) le dépôt d'une requête pour faillite par ou contre une Partie visée sous une quelconque loi de banqueroute ou de débiteurs pour son redressement ou sa réorganisation qui n'est pas rejetée dans les soixante [60] jours, ou (f) l'autre Partie cesse de faire des affaires dans le cours normal.
Section 12.3. Effet de Résiliation.
(a) A l'expiration ou à la résiliation, le Fabricant a l'obligation de racheter l'inventaire des Produits au prix auquel le Distributeur a acheté ces Produits du Fabricant. Le Distributeur doit permettre l'inspection de l'inventaire pour vérifier son état. Une telle vente est effectuée rapidement après la résiliation du présent Contrat.
(b) Après l'expiration ou la résiliation, le Distributeur remet au Fabricant toutes les informations confidentielles du Fabricant. En outre, au cours d’une telle résiliation ou expiration, le Distributeur cessera d’utiliser le nom du Fabricant, ses marques et ses noms commerciaux et doit les enlever, dans les quarante-cinq [45] jours suivant l'expiration ou la résiliation de ce Contrat. Il enlèvera également toutes les marques, étiquettes ou autres labels ou insignes des produits du Fabricant de la propriété du Distributeur.
(c) A l'expiration ou la résiliation, le Fabricant remet au Distributeur toutes les informations confidentielles du Distributeur. En outre, au cours d’une telle résiliation ou expiration, le Fabricant cessera d’utiliser le nom du Distributeur, ses marques et ses noms commerciaux et doit les enlever, dans les quarante-cinq [45] jours suivant l'expiration ou la résiliation de ce Contrat. (d) L'expiration ou la résiliation du présent Contrat ne doit pas affecter les droits acquis ou passif de l'autre Partie ou affecter l'entrée en vigueur ou le maintien en vigueur d'une disposition qui est expressément ou implicitement destinée à entrer ou demeurer en vigueur, pendant ou après cette résiliation.
(e) Sur paiement par le Fabricant au Distributeur des frais du prix de revient plus tout frais raisonnable que le Distributeur engage en faisant ce retour, le Distributeur doit remettre au Fabricant tous les matériaux de publicité et de promotion en sa possession concernant les produits qui portent le nom du Fabricant.
(f) Les deux Parties conviennent et garantissent que, à l'expiration ou à la résiliation du présent Contrat, aucune des Parties ne prendra une quelconque mesure pour nuire ou pour diminuer de la réputation ou des affaires de l'autre partie.
ARTICLE XII DIVERS
Section 13.1. Confidentialité. Chaque Partie reconnaît que dans le cadre de l'exécution de ses obligations en vertu du présent Contrat, elle peut obtenir certaines informations qui sont indiquées comme étant confidentielles ou comme propriétaires. Chaque Partie accepte que toutes les informations qui lui sont communiquées par l'autre Partie, ses sociétés mères, ses filiales ou ses clients, que ce soit avant ou après la date effective, doivent être et ont été reçues dans la plus stricte confidentialité, doivent être utilisées uniquement à des fins de présent Contrat, et ne seront pas divulguées sans l'autorisation écrite préalable de l'autre Partie, sauf dans la mesure nécessaire pour des raisons juridiques, comptables ou exigences réglementaires au-delà du contrôle raisonnable des Parties. Section 13.2. Avis. Tous les avis requis ou autorisés en vertu du présent Contrat doivent être faits par écrit et doivent être remis en personne, par courrier recommandé, par service de livraison de nuit reconnu, ou par d'autres moyens qui donnent la preuve à l'expéditeur de la livraison ou du rejet de la livraison, à la Partie concernée dont les coordonnées figurent ci-dessus, à moins que et jusqu'à ce qu'une adresse différente ait été désignée par notification écrite à l'autre Partie, ou si les Parties ont convenu de communiquer électroniquement. Section 13.3. Modification et Renonciation. Ce Contrat ne peut être changé, modifié, amendé, prolongé, résilié, renoncé ou déchargé sauf par un instrument écrit signé par la Partie contre laquelle l'exécution est demandée. Aucun manquement à faire respecter les termes du présent Contrat ne constitue une renonciation continue de cette disposition ou une renonciation à toute autre disposition.
Section 13.4. Interprétation. Les Parties reconnaissent chacune que ce Contrat a été négocié pleinement entre elles et, par conséquent, aucune clause présente ne sera interprétée contre toute Partie parce que cette Partie ou son représentant légal a rédigé cette disposition.
Section 13.5. Titres. Les titres des articles et des sections figurant dans les présentes sont utilisés pour plus de commodité seulement et ne sont pas une partie du présent Contrat et ne doivent pas servir à l’interpréter.
Section 13.6. Coopération. Chacune des Parties s'engage à signer et à remettre tous les autres documents et de coopérer de la meilleure manière qui soit pour mettre en œuvre et de donner effet aux accords contenus dans les présentes.
Section 13.7. Attribution ; Effet contraignant. Toute attribution ou tentative d'attribution par l'autre Partie, de tout ou en partie, par l'effet d'une loi ou autrement, de ses droits ou de ses obligations en vertu de ce Contrat (autre que le droit de recevoir des paiements aux termes des présentes) sans l'accord préalable écrit de l’autre partie sera annulée, sauf si :
a) Chaque Partie peut céder ses droits en vertu du présent Contrat à une filiale en propriété exclusive, à condition que la Partie cédante demeure responsable de l'exécution de ses obligations en vertu du présent Contrat; et
b) Le Fabricant peut céder ses droits en vertu du présent Contrat à toute Partie en remplaçant la quasi-totalité de l'activité du Fabricant, à condition que ce successeur soit responsable de toutes les obligations du Fabricant ci-dessous; et
c) Le Distributeur peut céder ses droits en vertu du présent Contrat à toute Partie en remplaçant la quasi-totalité de l'activité du Distributeur, à condition que ce successeur soit responsable de toutes les obligations du Distributeur ci-dessous; et
Sous réserve de ce qui précède, le présent Contrat lie et s'applique au profit des successeurs et ayants droit des Parties. Toute cession, délégation ou transfert faits en violation de la présente section sont nuls et non avenus.
Section 13.8. Dissociabilité. Si, mais seulement dans la mesure où, une disposition du présent Contrat est déclarée ou jugée illégale, inexécutable ou nulle, les deux Parties doivent être dégagées de toutes les obligations découlant de cette disposition, il est de l'intention et de l'accord des Parties que ce présent Contrat soit réputé avoir été amendé par la modification de cette disposition dans la mesure nécessaire pour la rendre légale et applicable, tout en préservant son intention.

Les Parties conviennent que, sauf accord contraire par écrit par la Partie qui doit être liée, les termes et les conditions du présent Contrat prévaudront sur toutes les conditions contraires dans tout Bon de Commande, reconnaissance de vente, confirmation ou tout autre document émis par l'une des Parties touchant l'achat ou la vente des produits ci-dessous. Ce Contrat ne peut être publié ou modifié que par le consentement mutuel écrit des deux Parties, comme attesté par un acte signé par un responsable de chacune d'elles.
Section 13.10. Relations entre les Parties. Les Parties s’exécutent conformément au présent Contrat seulement comme étant des entrepreneurs indépendants. Aucune des dispositions du présent Contrat ne peut être interprétée comme créant une relation de mandant et de mandataire entre le Distributeur et le Fabricant ou la création d'une joint-venture (association) ou de partenariat entre le Distributeur et le Fabricant. Section 13.11. Règlement des Différends. Toute controverse ou réclamation découlant de, ou liée au présent Contrat, ou de la violation de celui-ci, doit être déterminée par arbitrage régi et interprété en vertu des lois internes (par opposition aux conflits de ses conditions de lois) de l'État de la Floride, et la Loi sur l'Arbitrage Fédéral, administrée par l'American Arbitration Association [l’Association Américaine d’Arbitrage] selon ses Règles d'Arbitrage Commercial (ou, si les parties sont domiciliées dans différents pays, ses règles d'arbitrage international) en vigueur à ce moment et acceptent de signer tous les documents nécessaires pour la mener à bien; à condition, toutefois, que chaque Partie puisse demander et obtenir une injonction préliminaire de réparation conformément à la loi applicable (en attente et sous réserve de la sentence arbitrale). Section 13.12. Autorité de la Partie d’Exécution. Les Parties exécutant le présent Contrat garantissent qu'ils ont le pouvoir nécessaire pour le faire.
Section 13.13. Contreparties. Source text - English This year XXX marks a significant anniversary - we celebrate 60 years of upstream exploration and production in Angola. Occasions like this are opportunities to reflect on our past achievements, but they also remind us of the importance of planning for the future. So let’s take some time to consider our proud history and our goals for the years ahead.
In 1954, XXX Company conducted its first geological field survey. Four years later, the first onshore well was drilled. Today our operated production in Block 0 and Block 14 accounts for about 25% of oil production in Angola. Over the years, XXX’s business has grown and now represents an important part of the corporation’s global portfolio.
Our core values have remained consistent over time. At XXX, everything we do begins with our fundamental commitment to safety. Our safety culture reflects a code of conduct based on two key principles:

Looking back on the last six decades, we have made many significant accomplishments: producing more than 4 billion barrels of oil, drilling over 1250 wells, acquiring more than 10,000 square kilometers of seismic data in the past 10 years, executing a capital investment program of almost US $40 billion in the last 10 years alone, and completing the first successful deep-water development in Angola,

FALSE DOCUMENTS SUBMITTED DURING RECRUITMENT PROCESS
Incident
Through the normal recruitment process, XXX hired a group of experienced individuals that had previously been working for a contractor company in offshore operations in Angola. During security clearance that is part of the recruitment procedures, it was discovered, that five of these individuals had submitted false certificates of academic qualification. This information was confirmed by the appropriate entities.
Consequences
These employees were asked to immediately leave our XXX facilities (offshore) and were eventually terminated for their fraudulent conduct, despite their previous performance in offshore operations.
According to Article 225 (g) of the Angolan General Labor Law, fraud is considered a serious disciplinary offence and cause for immediate termination of employment. These individuals, who also violated XXX HR Policy 209 - Recruitment - Internal and External, were terminated during the probation period, as per Article 19 (5) of the aforementioned Law.
Lessons learned
Such conduct is inconsistent with the Company’s expectations and values set forth in The XXX Way and the Business Conduct & Ethics Code. Each job applicant and potential employee is expected to provide accurate personal information for all employment-related purposes. Knowingly providing false or misleading information or withholding relevant information may lead to withdrawal of an offer of employment or disciplinary action, up to and including termination at any time.
No matter what position, expertise or competency one holds, the Company disapproves of any sort of fraud or misconduct and will not hesitate to apply the required and applicable disciplinary sanctions.

Incident
A travers la procédure ordinaire de recrutement, XXX engagea un groupe d’individus expérimentés qui avait précédemment travaillé pour le compte d’une entreprise sous-traitante dans les opérations offshore en Angola. Durant l’habilitation de sécurité, qui fait partie des formalités de recrutement, il a été révélé que cinq de ces individus avaient remis de faux certificats de qualification académique Cette information était confirmée par les entités compétentes
Conséquences
Ces employés ont immédiatement été priés de quitter nos installations (offshore) de XXX et finalement leurs contrats résiliés pour conduite frauduleuse malgré leur précédente performance dans les opérations offshore.

gearboxes have shift forks with guides or pins. The shift forks are to be installed on the gear shift
drum. There are three grooves cut into the drum for the cam follower pins of the shift fork.
Furthermore, we need gears to change gear ratio. In this animation, a standard 5 speed sequential
gearbox will be explained in detail.
Most motorcycles use a lever at the left foot of the rider. This lever can be moved upwards or
downwards to change gear sequentially. By using the shift lever, the rider moves a gear shifter
assembly, which is also known as a claw arm. That way, the drum can rotate thanks to its small pins
at the side. But it can only rotate by 60 degrees due to the stopper of the claw arm.
Small grooves have been cut into the gear shift drum. When the drum rotates, the shift fork moves
to the left or to the right due to the follower pin of the shift fork. That way, gears can be shifted.
Now, let's have a look at the gears. At the right we see the output gear. The shaft of the output gear
can be mounted within the hollow shaft of the input gears. So, both the input shaft and the output
shaft rotate independently of each other.

An early clinical test (or phase I trial) is to assess the security of employment of a new molecule (administered alone or in combination with another therapy), its future in the body, the side effects that it can provoke in Man and to assess its antitumor activity.

The Aquasnap can be equipped with a hydronic module integrated into the unit chassis, limiting the installation to straightforward operations like connection of the power supply and the chilled water supply and return piping.
