The enclosed Memorandum of Understanding (“MoU”) sets forth the basic understanding of the terms and conditions under which Mr. David Mendelsohn, Managing Director of TOP BRAND COMPANY LTD and Mr. Son, Chief Operating Officer of ERESSON BEER & ALCOHOL ONE MEMBER CO. LTD, intend to move forward with an agreement in executing the production of SLAMMER plastic cups.
Except for Sections 4 (Confidentiality), 5 (Notice) and 6 (Governing Law), this MoU is not intended to be legally binding.

Hereinafter refereed as “Party B”, “the Manufacturer” or “ERESSON”.
I. DEFINITIONS
1. Investment means the use of capital in the form of tangible or intangible assets for the purposes of forming assets by investors to carry out investment activities in accordance with the provisions of this Law and other provisions of the relevant laws.
2. Indirect investment means a form of investment through the purchase of shares, share certificates, bonds, other valuable papers or Investment through a securities investment fund and through other intermediary financial institutions and whereby the investor does not participate directly in the management of the investment activity.
3. Investor means any organization or individual carrying out investment activities in accordance with the law of the country, comprising:
• Enterprises from all economic sectors established;
• Co-operatives and co-operative groups established in accordance with the Law on Co-operatives;
• Business household, Individuals;
4. Memorandum or M.O.U means Memorandum of Understanding, and includes all schedules to this memorandum.
5. Raw Material means a good or a substance or a material in its natural, modified, or semi-processed state, used as an input to a production process for subsequent modification or transformation into a finished good (Example: Plastic Cups, Ethyl Neutral Alcohol, Aluminum foil, flavors or packaging cartons).
6. Ethyl Neutral Alcohol or ENA means undenatured ethyl alcohol or ethanol of an alcoholic strength by volume of 80% vol. or higher; ethyl alcohol (or ethanol) and other spirits, denatured, of any strength. (Custom HS code: 2207.10.00). ENA is used as raw material.
7. Intellectual Property means all applicable statutes, acts, rules, regulations, and by-law of any country that have any application to the rights and obligations of the Parties.
8. Confidential Information means all the following:
The trade secrets of any Party:
• Either Party’s past, present, future, processes method, manufacturing processes and procedures used in the operations of any Party’s business.
• Any oral, written, electronic and/or recorded information of any Party’s business, products, financial conditions, liabilities, operations or assets.
• Any documentary that is written “Confidential”, “Private”, “Secret”, “In Confidence” or “Not to be disclosed”.
• All notes, reports, directions, approvals, summaries, compilations, studies projections, forecasts budgets, price list or records of any Party that are marked confidential and which by their nature are confidential.
• Confidential Information excludes information which is:
o Generally available other than as a result of a wrongful disclosure,
o Independently acquired by a Party without breach of this M.O.U.
o Available to a party on a non-confidential basis from a third person not bound by any confidentiality agreement or fiduciary obligation owed to the other party.
9. USD or Dollars means United States Dollars and is the currency of the United States. It is agreed to use time to time this currency for international financial operations.
10. Party/Parties means the Parties to this Agreement and shall include their lawful successors and assigns. Any reference to a Party will include, where applicable, any subsidiary controlled by a Party or by the same persons who control that Party.
11. VND means Vietnam Dongs and is the currency of the Socialist Republic of Vietnam. It is agreed to use time to time this currency for Vietnam financial operations.
12. Vietnam means The Socialist Republic of Vietnam.
13. Cups or Shots are the Plastic Cups used for the manufacture of the SLAMMER product.
II. COMMON AGREEMENTS AND KEY PRINCIPLES
1. TBE authorizes ERESSON as a contractor as to subcontract the production of TBE’s spirits beverages (listed in Clause III.1. in this MoU) in Vietnam.
2. ERESSON hereby represents and warrants to TBE that:
a. It is a corporation or other organization duly organized, validly existing and in good standing under the laws of Vietnam. ERESSON has all necessary power and authority to enter into this MoU to carry out its obligations hereunder. ERESSON is duly licensed or qualified to do spirit and liquor business in Vietnam and its affiliate(s) has the right and capability to manufacture spirits beverages in Vietnam;
b. The execution, delivery and performance by ERESSON of this MoU does not require any consent, approval, authorization or other order of, action by, filing with or notification to, any governmental authority or other third party; and,
c. It understands that TBE does not grant any express or implied right to ERESSON and any of its affiliates under any of the TBE’s patents, copyrights, trademarks, designs or other intellectual property rights.
3. The Parties intend that the terms and conditions of this MOU will be separately codified in a Manufacturing Contract (hereinafter referred as “MC”) and to be later executed between the Parties. The MC should be signed and executed by both parties within fifteen (15) days of signing this MOU unless otherwise agreed by both Parties to extend such period. In addition to the terms and conditions in this MOU, the MC shall include, but not limit to, the following terms and conditions: Scope of Work, Rights, Responsibilities, Obligations, Contribution, Product Specifications, Quality Control, Guarantee Yield, Confidentiality and Non-solicitation, Liability, Duration and Termination.
4. The terms and conditions of the manufacturing contract shall be applied to the purchasing of products from the Contractor formed by separate sales contracts of the Client sent to the Contractor.

Biên bản ghi nhớ ("MoU") kèm theo đây gồm những thỏa thuận cơ bản về các điều khoản và điều kiện mà dựa vào đó, Ông David Mendelsohn, Giám đốc điều hành của CÔNG TY TNHH TOP BRAND và Ông Sơn, Chủ tịch hội đồng quản trị CÔNG TY TNHH MỘT THÀNH VIÊN BIA RƯỢU ERESSON sẽ có ý định tiến tới ký kết hợp đồng triển khai sản xuất cốc nhựa SLAMMER.
Trừ Mục 4 (Bảo mật), 5 (Thông báo) và 6 (Luật điều chỉnh), Biên bản ghi nhớ này không có mục đích ràng buộc về mặt pháp lý.
Chúng tôi mong được hợp tác, và chúng tôi hi vọng sẽ sớm được cùng ông chúc mừng thành công chung của chúng ta trong dự án SLAMMER.

Sau đây gọi tắt là "Bên B", "Nhà sản xuất" hoặc "ERESSON".
I. CÁC ĐỊNH NGHĨA
1. Đầu tư nghĩa là việc sử dụng vốn dưới hình thức tài sản vô hình và tải sản hữu hình với mục đích tạo các tài sản do nhà đầu tư tiến hành các hoạt động đầu tư theo các điều khoản của Luật này và các điều khoản thuộc các văn bản luật liên quan khác.
2. Đầu tư gián tiếp nghĩa là một hình thức đầu tư thông qua việc mua cổ phần, cổ phiếu, trái khoán, các giấy tờ giá trị khác hoặc Đầu tư thông qua quỹ đầu tư chứng khoán và thông qua các tổ chức trung gian tài chính khác và theo đó nhà đầu tư không tham gia trực tiếp vào việc quản lý hoạt động đầu tư.
3. Nhà đầu tư nghĩ là bất kỳ tổ chức hoặc cá nhân tiến hành các hoạt động đầu tư theo luật của nhà nước, bao gồm:
• Các doanh nghiệp thuộc tất cả các ngành kinh tế đã được xác nhận;
• Các hợp tác xã và các nhóm hợp tác xã được thành lập theo quy định của Luật về Hợp tác xã;
• Các hộ kinh doanh, Cá nhân;
4. Biên bản hay M.O.U nghĩa là Biên bản ghi nhớ và bao gồm tất cả kế hoạch trong biên bản này.
5. Nguyên liệu thô nghĩa là một hàng hóa hoặc một chất hoặc một nguyên liệu ở trạng thái tự nhiên, đã bị biến đổi hoặc đã qua sơ chế, được sử dụng làm đầu vào cho một quá trình sản xuất để biến đổi sau đó hoặc chuyển đổi thành một sản phẩm thành phẩm (Ví dụ: Cốc nhựa, Rượu Ethyl trung hòa, Lá nhôm, hương liệu hoặc thùng đóng gói).
6. Ethyl Neutral Alcohol hoặc ENA nghĩa là rượu ethyl không biến tính hoặc ethanol có nồng độ cồn theo thể tích là 80% vol hoặc cao hơn; cồn ethyl (hoặc ethanol) và các loại rượu khác, biến tính, ở bất kỳ nồng độ nào. Mã số HS Hải quan: 2207.10.00). ENA được sử dụng làm nguyên liệu thô.
7. Sở hữu trí tuệ nghĩa là tất cả những quy chế, đạo luật, quy chế, quy định, và các văn bản dưới luật của bất kỳ quốc gia nào mà có sự áp dụng vào quyền và nghĩa vụ của các Bên.
8. Thông tin bảo mật bao gồm những thông tin sau:
Bí mật thương mại của các Bên:
• thông tin trong quá khứ, hiện tại và tương lai, phương pháp xử lý, quá trình chế tạo của một trong hai Bên và quy trình được sử dụng trong hoạt động kinh doanh của bất kỳ bên nào.
• Bất kỳ thông tin dưới dạng nói, viết, điện tử và/hoặc ghi âm về việc kinh doanh, sản phẩm, điều kiện tài chính, trách nhiệm, hoạt động và tải sản của bất kỳ Bên nào.
• Bất kỳ tài liệu nào ghi rằng "Bảo mật", "Riêng tư", "Bí mật", hoặc "Không được tiết lộ".
• Tất cả những ghi chép, báo cáo, hướng dẫn, văn bản chấp thuận, tóm tắt, tổng hợp, kế hoạch nghiên cứu, ngân sách dự kiến, danh mục giá hoặc hồ sơ của bất kỳ Bên nào đã được ghi chú là bảo mật và theo bản chất là bảo mật.
• Thông tin bảo mật không bao gồm những thông tin sau:
o Các thông tin phổ biến rộng rãi trừ khi là hậu quả của việc tiết lộ thông tin phi pháp.
o Các thông tin thu nhận được một cách độc lập bởi một Bên mà không vi phạm Biên bản ghi nhớ này.
o Các thông tin mà một Bên có được trên cơ sở phi bảo mật từ một người thứ ba mà không bị ràng buộc bởi bất kỳ thỏa thuận bảo mật hoặc nghĩa vụ ủy thác với bên kia.
9. USD hoặc Đô-la nghĩa là đồng Đô-la Mỹ và là tiền tệ của Mỹ. Theo thỏa thuận đồng tiền này được sử dụng trong các hoạt động tài chính quốc tế.
10. Bên/Các bên nghĩa là các Bên trong thỏa thuận này và sẽ bao gồm người kế nhiệm và thừa kế hợp pháp. Bất kỳ sự tham chiếu nào đến một Bên sẽ bao gồm, nếu có, bất kỳ công ty con do bên đó hoặc do cùng một người điều hành bên đó quản lý.
11. VND nghĩa là Đồng Việt Nam và là tiền tệ của nước Cộng hòa Xã hội Chủ nghĩa Việt Nam. Theo thỏa thuận đồng tiền này được sử dụng trong các hoạt động tài chính Việt Nam.
12. Vietnam nghĩa là nước Cộng hòa Xã hội Chủ nghĩa Việt Nam.
13. Cốc hay Ly rượu nghĩa là cốc nhựa được dùng trong sản xuất dự án SLAMMER.
II. THỎA THUẬN CHUNG VÀ CÁC NGUYÊN TẮC CHÍNH
1. TBE ủy quyền cho ERESSON là nhà thầu để thực hiện việc sản xuất các loại nước giải khái rượu của TBE (được liệt kê trong Khoản III.1. trong Biên bản ghi nhớ này) tại Việt Nam.
2. ERESSON bằng văn bản này thể hiện và bảo đảm với TBE rằng:
a. Đây là một công ty hoặc một tổ chức khác được tổ chức hợp lệ, có tồn tại và chấp hành luật pháp của Việt Nam. ERESSON có đầy đủ quyền hạn để tham gia Biên bản ghi nhớ này để thực hiện các nghĩa vụ của mình như dưới đây: ERESSON được cấp giấy phép hoặc chứng nhận hợp lệ để kinh doanh rượu tại Việt Nam và các cơ sở liên kết của công ty có quyền và năng lực để sản xuất nước giải khát rượu tại Việt Nam;
b. Việc triển khai, vận chuyển và thực hiện Biên bản ghi nhớ này của ERESSON không cần có sự nhất trí, chấp thuận, ủy quyền hay các chỉ đạo khác, thực hiện bởi, hay thông báo đến bất kỳ cơ quan nhà nước hoặc bên thứ ba nào; và,
c. Hai bên hiểu rằng TBE không bảy tỏ hay bao hàm quyền nào cho ERESSON và bất kỳ đối tác nào của công ty về bất kỳ sáng chế, bản quyền, thương hiệu, thiết kế hay các quyền sở hữu trí tuệ khác của TBE.
3. Các Bên dự định các điều khoản và điều kiện trong Biên bản ghi nhớ này sẽ được lập thành điều lệ riêng biệt trong Hợp đồng Sản xuất (sau đây gọi tắt là "MC") và sau đó sẽ được thực hiện giữa các Bên. Hợp đồng Sản xuất sẽ được ký và thực hiện bởi hai Bên trong vòng mười lăm (15) ngày sau khi ký Biên bản ghi nhớ này trừ khi được hai Bên đồng ý kéo dài thời hạn. Ngoài các điều khoản và điều kiện trong Biên bản ghi nhớ này, Hợp đồng Sản xuất sẽ bao gồm, nhưng không hạn chế, các điều kiện và điều khoản sau: Phạm vi công việc, Quyền lợi, Trách nhiệm, Nghĩa vụ, Đóng góp, Thông số kỹ thuật sản phẩm, Kiểm tra chất lượng, Năng suất đảm bảo, Bảo mật và Không lôi kéo, Nợ, Thời gian và Chấm dứt hợp đồng.
4. Các điều khoản và điều kiện của Hợp đồng sản xuất sẽ được áp dụng trong việc mua sản phẩm từ Nhà thầu theo hợp đồng kinh doanh riêng của Khách hàng gửi đến Nhà thầu.

Chương trình quản lý cân chuyên dùng
- Chương trình quản lý cân chuyên dùng được thiết kế trên nền Win98, office 2000, bộ gõ tiếng Việt (Vietkey 2000), ổ cứng còn trống 50MB, dành riêng cho các trạm cân ôtô, có khả năng:
- Khi xe vào (ra) Cty để xuất, nhập hàng hoá, chương trình quản lý cân sẽ lưu lại tất cả các thông tin liên quan đến lô hàng như ngày, giờ xe vào ra, tên chủ hàng, tên nhân viên trực cân, tên hàng hoá, ….
- Số phiếu cân sẽ tự động tăng theo số lần xe vào ra

- Tên gọi: Silô chứa gạo. Thân dạng trụ, đáy dạng côn 900 và nắp dạng côn 1500 có bảo ôn phần thân trụ Silô .
- Số lượng : 04 Silô.
- Dung tích tổng : 320 m3/Silô.
- Dung tích hữu dụng : 300 m3/Silô.
- Nhà thiết kế : ERESSON .
- Nhà chế tạo : ERESSON, mới100%, năm 2009.
- Vật liệu chế tạo : Thép CT3.
- Áp suất làm việc trong Silô : 0 bar (Silô không chịu áp).
- Lắp dựng: Ngoài trời, bảo ôn, đặt trên hệ 08 chân đỡ .
- Phương pháp chế tạo: Sử dụng phương pháp hàn hồ quang. Toàn bộ các đường hàn và bề mặt bên ngoài Silô được làm sạch, sơn chống rỉ hai lớp, riêng bề mặt ngoài Silô phần không bảo ôn được sơn sau cùng một lớp sơn màu hoàn thiện.
