THIS SPONSOR SUPPORT AND FINANCING DEED is made on [●] 2011

BETWEEN

(1) LIMITED LIABILITY COMPANY [●] as the Borrower;

(2) [●] as Initial Holding Company;

(3) [●] and [●] as Initial Senior Lenders;

(4) [●] as VAT Lender;

(5) THE PERSONS named in as Initial Sponsors;

(6) [●] as Security Agent; and

(7) [●] as Facility Agent.

IT IS AGREED as follows:

1. INTERPRETATION

1.1. Definitions

Confirmatory Legal Opinion means, in relation to any Accession Deed or a guarantee to be provided by a Holding Company as required by this Deed, one or more legal opinions in a form and substance satisfactory to the Senior Creditors, to be given by a counsel qualified in a jurisdiction of incorporation of each of the parties to such Accession Deed and the guarantor under the guarantee and in respect of the jurisdiction governing the Accession Deed and the guarantee confirming (subject to assumptions and qualifications reasonably acceptable to the Senior Creditors) the due authorisation of such Accession Deed and the guarantee by the relevant party, and a legal opinion, to be given by a counsel qualified in England & Wales confirming (subject to assumptions and qualifications reasonably acceptable to the Senior Creditors) that, among other things that are customarily required in legal opinions issued in connection with international project finance deals, the obligations expressed to be assumed by each of the parties to the Accession Deed and the guarantee constitute legal, valid and binding obligations of such party.

Control means having the power (whether by way of ownership of shares, proxy, contract, agency or otherwise) to do all of the following:

(a) cast, or control the casting of, 51 per cent. or more of the maximum number of votes that might be cast at a general meeting of the participants in the Borrower;

(b) appoint or remove the general director and the majority of the members of the board of directors of the Borrower; and

(c) give directions with respect to the operating and financial policies of the Borrower with which the members of the board of directors of the Borrower are obliged to comply.

Contributions means the funds to be made available by the Relevant Sponsor Parties to the Holding Company or the Borrower pursuant to Clause 2 (Contributions) in the form of:

(a) a subscription for the Holding Company Equity to be further applied in contribution to the Borrower Equity; and

(b) Sponsor Subordinated Loans disbursed to a Holding Company under a Sponsor Subordinated Loan Agreement to be further applied by the Holding Company for the purchase of the Notes.

Credit Agreement means RUB 2,000,000 non-revolving syndicated facility agreement dated [●] between the Borrower, the Initial Senior Lenders, the Security Agent and the Facility Agent, as may be amended.

Disbursed Contributions means:

(a) as at the date of this Deed, in relation to each Initial Sponsor, its Respective Share in the amount of the Initial Contributions set out in Clause 2.2 of this Deed; and

(b) at any other time, in relation to each Sponsor, its Respective Share in the aggregate of:

(i) the net proceeds paid for the subscription of shares in the Holding Company; and

(ii) the outstanding principal amount of the Sponsor Subordinated Loans (excluding capitalised interest) outstanding from time to time under the Sponsor Subordinated Loan Agreement,

which, in each case, have been applied by the relevant Holding Company in contribution to the Borrower Equity and purchase of the Notes [and which have been duly applied by the Borrower towards the payment of the Project Expenses [registered in the Project Expenses Register confirmed by the Technical Advisor].

[For the avoidance of doubt, the amounts under (a) and (b) above which have not been properly used by the relevant Holding Company in order to contribute the Borrower Equity and purchase the Notes and/or have not been applied by the Borrower towards payment of the Project Expenses registered in the Project Expenses Register confirmed by the Technical Advisor shall not be calculated towards the amount of the Contributed Own Capital.]

1. ТОЛКОВАНИЕ

1.1. Определения

«Подтверждающее юридическое заключение» означает, в отношении любого Договора за печатью о присоединении или гарантии, которая будет предоставлена Холдинговой компанией согласно требованиям настоящего Договора за печатью, одно или несколько юридических заключений, по форме и существу удовлетворительных для Старших кредиторов, которые будут даны юрисконсультом, правомочным в юрисдикции учреждения каждой из сторон такого Договора за печатью о присоединении и поручителя по гарантии, и в том, что касается юрисдикции, применяемой в отношении Договора за печатью о присоединении и в отношении гарантии, будут подтверждать (при условии соблюдения допущений и оговорок, обоснованно приемлемых для Старших кредиторов) надлежащее санкционирование относящейся к делу стороной такого Договора за печатью о присоединении и гарантии, а также юридическое заключение, которое будет дано юрисконсультом, правомочным в Англии и Уэльсе (при условии соблюдения допущений и оговорок, обоснованно приемлемых для Старших кредиторов) о том, что среди прочего, обычно требуемого в юридических заключениях, выдаваемых в связи с международными сделками проектного финансирования, положительно выраженные обязательства, которые будут приняты на себя каждой из сторон Договора за печатью о присоединении и гарантии, представляют собой законные, действительные и имеющие обязательную силу обязательства такой стороны.

«Контроль» означает обладание полномочиями (будь то в силу владения акциями, доверенности, договора, агентского представительства или иного) совершать все из нижеперечисленного:

(a) подавать или контролировать подачу не менее 51 процента от максимального количества голосов, которые могут быть поданы на общем собрании участников Заемщика;

(b) назначать или смещать генерального директора и большинство членов совета директоров Заемщика; и

(c) давать указания в отношении принципов финансово-хозяйственной деятельности Заемщика, которые члены совета директоров Заемщика обязаны исполнять.

«Вклады» означает финансовые средства, которые будут предоставлены Относящимися к делу сторонами-спонсорами Холдинговой компании или Заемщику согласно Статье 2 (Вклады) в форме:

(a) подписки на Уставный капитал Холдинговой компании, которая в дальнейшем будет употреблена для вклада в Уставный капитал Заемщика; и

(b) Субординированных займов спонсоров, выплаченных Холдинговой компании в силу Соглашения о субординированных займах спонсоров, которые в дальнейшем будут употреблены Холдинговой компанией для покупки Долговых обязательств.

«Кредитное соглашение» означает соглашение о невозобновляемой синдицированной кредитной линии на 2 000 000 рублей от [●] года между Заемщиком, Первоначальными старшими кредиторами, Залоговым агентом и Распорядителем кредита с возможными поправками.

«Оплаченные вклады» означает:

(a) по состоянию на дату настоящего Договора за печатью, в отношении каждого Первоначального спонсора, его Соответственную долю в общей сумме Первоначальных вкладов, установленной в пункте 2.2 настоящего Договора за печатью; и

(b) в любое иное время, в отношении каждого Спонсора, его Соответственную долю в совокупности:

(i) чистых поступлений от оплаченной подписки на доли участия в Холдинговой компании; и

(ii) непогашенной основной суммы Субординированных займов спонсоров (исключая капитализированные проценты), подлежащей возврату в тот или иной момент времени в силу Соглашения о субординированных займах спонсоров,

которые, в каждом случае, были употреблены относящейся к делу Холдинговой компанией для вклада в Уставный капитал Заемщика и покупки Долговых обязательств [и которые были надлежащим образом употреблены Заемщиком для оплаты Расходов по проекту, занесенных в Реестр расходов по проекту, утвержденный Техническим советником].

[Во избежание недоразумений, суммы согласно вышеизложенным подпунктам (a) и (b), которые не были надлежащим образом использованы относящейся к делу Холдинговой компанией с целью внесения вклада в Уставный капитал Заемщика и покупки Долговых обязательств и (или) не были употреблены Заемщиком для оплаты Расходов по проекту, занесенных в Реестр расходов по проекту, утвержденный Техническим советником, не зачитываются в общую сумму Внесенного собственного капитала.]
