Source text - Chinese This Agreement is entered into effective as of _________________ (today’s date) between Priority 1 Air Rescue (P1AR) and ________________________________________________, (your name) (Student).
P1AR is advising Student in connection with a Purchase Order for Training, and for that purpose P1AR may make certain Confidential Information (as defined below) available to Student. As a condition to, and in consideration of, the Company’s furnishing of Confidential Information to Student and advising Student, Student agrees to the restrictions and undertakings contained in this Agreement.
Student agrees that all information disclosed or provided by P1AR to Student, including any such information disclosed prior to the date of this Agreement, and including without limitation information acquired by Student in writing, orally, electronically or by inspection of P1AR’s property, relating to (without limitation) P1AR’s prototypes, samples, technical data, trade secrets, know-how, actual and anticipated research developments, developments or products, product plans, services, software, inventions, processes, discoveries, formulas, architectures, concepts, ideas, designs, drawings, personnel, customers, markets, marketing plans, distribution methods, financial information, sales or programming matter, compositions, drawings, diagrams, computer programs, studies, work in process, visual demonstrations, manufacturing plans, confidential information disclosed to P1AR by third parties, and other data, whether oral, written, or electronic form shall be considered “Confidential Information”. However, Confidential Information shall not include information which, as Student can prove in by objective and verifiable evidence: (i) is or becomes generally available to the public, other than as a result of a disclosure, directly or indirectly, by Student; (ii) was available to Student on a non-confidential basis prior to its disclosure; or (iii) becomes available to Student on a non-confidential basis from a source other than P1AR, provided that such source is not bound by an obligation of confidentiality.
Student agrees (1) to use Confidential Information solely for training, (2) to use all possible means to maintain the Confidential Information in strict confidence, and at least those measures that it employs for the protection of its own confidential information, but in any event, not less than a reasonable degree of care, (3) to disclose Confidential Information only to P1AR’s employees who are required to have the information for Training, and (4) to immediately notify in writing P1AR in the event of any unauthorized use or disclosure of Confidential Information. Student shall not reverse engineer, disassemble, decompile or copy any software or other tangible objects which embody Confidential Information, nor export, re-export or otherwise transmit, directly or indirectly, Confidential Information or the direct product of Confidential Information.
All Confidential Information and all of P1AR’s trademarks remain the property of P1AR and no license or other rights in Confidential Information or such trademarks are granted hereby, except as expressly provided above. This Agreement does not constitute a joint venture or other such business agreement.
Student agrees to return to P1AR immediately upon P1AR’s request all documents and other tangible objects containing or representing Confidential Information and all copies thereof which are in the possession of Student, including but not limited to all computer programs, documentation, notes, plans and drawings, and any reports, presentations, memorandums and other similar work made by Student in connection with or relating to P1AR or Confidential Information. With respect to Confidential Information stored in electronic form, Student shall delete all such Confidential Information from its systems and shall confirm in a writing signed by an authorized representative of Student that all Confidential Information has been deleted.
Student hereby acknowledges that unauthorized disclosure or use of Confidential Information could cause irreparable harm and significant injury, which may be difficult to ascertain. Accordingly, Student agrees that P1AR shall have the right to seek and obtain immediate injunctive relief from breaches of the Agreement, in addition to any other rights and remedies it may have, and Student waives any requirement for showing economic loss or posting of any bond in connection with such remedy.
Student’s obligations hereunder shall survive termination or expiration of this Agreement or any relationship between P1AR and Student until such time as all Confidential Information disclosed hereunder becomes publicly known and made generally available through no action or inaction of Student.
This Agreement shall bind and inure to the benefit of the parties hereto and their successors and assigns, except that Confidential Information and the rights and obligations under this Agreement may not be assigned by Student without prior written consent of P1AR. This document contains the entire agreement between the parties with respect to the subject matter hereof, and may not be amended, nor any obligation waived, except by a writing signed by both parties hereto. Failure to enforce any provision of this Agreement shall not constitute a waiver thereof or of any other provision. This Agreement shall be governed by and construed and enforced with the laws of the State of Arizona, excluding that body of law pertaining to conflict of law. The parties hereto agree to submit to the exclusive jurisdiction of the courts of Arizona located in Phoenix, Arizona any disputes arising out of the subject matter and waive any objection to such jurisdiction and venue, and waive any claim or assertion that such jurisdiction and venue could be considered improper. If for any reason any provision of this Agreement shall be determined by a court of competent jurisdiction to be invalid, unenforceable, illegal, or inoperable, such provision’s invalidity shall not affect the validity and effect of the other provisions hereof.

The United Nations Convention on the Law of the Sea established a nautical legal order. However, as a nation with the strongest marine power, the United States has yet to join the convention. Although the current US government is making positive efforts to join the convention, the task may not be accomplished within a short time due to its complicated domestic politics and highly polarized public opinion. As a result, the US strongly intends to build an order outside the convention that is of benefit to the country, seeking a legal foundation for its maritime rights.The United States establishes the marine order through three ways: common law claims, the Freedom of Navigation Program and bilateral ship boarding agreement under the framework of the Proliferation Security Initiative as a means to surpass traditional marine jurisdiction. These three means represent respectively the United States' power ground, its national practice to defend and strengthen such ground with the demonstration of armed force, and its intention to reestablish the jurisdiction mechanism of marine vehicles. Of these three means, the Freedom of Navigation Program even led to disputes between the US and China. If there are any unique features to the United States' intention of building a new marine order, then firstly, it reflects the United States' leading status within the world's power structure, and secondly, it centers marine freedom and integrates the United States' interests in anti-terrorism and anti-proliferation.
