Source text - English Forfeiture or surrender of Shares
If the notice under the preceding Article is not complied with, the directors may, before the payment required by the notice has been received, resolve that any Share the subject of that notice be forfeited.
The forfeiture shall include all dividends or other moneys payable in respect of the forfeited Share and not paid before the forfeiture.
Despite the foregoing, the directors may determine that any Share the subject of that notice be accepted by the Company as surrendered by the Member holding that Share in lieu of forfeiture.
Disposal of forfeited or surrendered Share and power to cancel forfeiture or surrender
A forfeited or surrendered Share may be sold, re-allotted or otherwise disposed of on such terms and in such manner as the directors determine either to the former Member who held that Share or to any other person.
The forfeiture or surrender may be cancelled on such terms as the directors think fit at any time before a sale, re allotment or other disposition.
Where, for the purposes of its disposal, a forfeited or surrendered Share is to be transferred to any person, the directors may authorise some person to execute an instrument of transfer of the Share to the transferee.
Effect of forfeiture or surrender on former Member
On forfeiture or surrender:
- the name of the Member concerned shall be removed from the register of members as the holder of those Shares and that person shall cease to be a Member in respect of those Shares; and
that person shall surrender to the Company for cancellation the certificate (if any) for the forfeited or surrendered Shares.
Despite the forfeiture or surrender of his Shares, that person shall remain liable to the Company for all moneys which at the date of forfeiture or surrender were presently payable by him to the Company in respect of those Shares together with:
(a) all expenses; and
(b) interest from the date of forfeiture or surrender until payment:
(i) at the rate of which interest was payable on those moneys before forfeiture; or
(ii) if no interest was so payable, at the Default Rate.
The directors, however, may waive payment wholly or in part.
Evidence of forfeiture or surrender
A declaration, whether statutory or under oath, made by a director or the Secretary shall be conclusive evidence of the following matters stated in it as against all persons claiming to be entitled to forfeited Shares:
(a) that the person making the declaration is a director or Secretary of the Company; and
(b) that the particular Shares have been forfeited or surrendered on a particular date.
Sale of forfeited or surrendered Shares
Any person to whom the forfeited or surrendered Shares are disposed of shall not be bound to see to the application of the consideration, if any, of those Shares nor shall his title to the Shares be affected by any irregularity in, or invalidity of the proceedings in respect of, the forfeiture, surrender or disposal of those Shares.

Если, с учетом предыдущей Статьи, платежные требования, указанные в уведомлении, не будут выполнены, то, до того, как будет получена истребованная в уведомлении оплата, любая Акция, являющаяся предметом данного уведомления, может быть конфискована по решению директоров.
Конфискации также подлежат все дивиденды или иные денежные средства, подлежащие выплате в отношении конфискованной Акции и не выплаченные до конфискации.
Несмотря на вышеизложенное, по решению директоров, любая Акция, являющаяся предметом данного уведомления, должна быть принята Компанией как переданная Участником, являющимся держателем такой Акции, вместо конфискации.
Отчуждение конфискованной или переданной Акции и полномочия отменять конфискацию или передачу Акций
Конфискованная или переданная Акция может быть продана, повторно распределена или иным образом отчуждена на условиях и в порядке, установленном директорами, либо в пользу лица, которое ранее являлось Участником и держателем указанной Акции, либо в пользу любого иного лица.
Конфискация или передача может быть отменена на условиях, установленных директорами, в любой момент до продажи, повторного распределения или иного отчуждения.
Если для целей отчуждения конфискованная или переданная Акция должна быть передана какому-либо лицу, то директора вправе уполномочить какое-либо лицо подписать документ о передаче Акции в пользу получателя права.
Влияние конфискации или передачи на бывшего Участника
При конфискации или передаче:
- имя затронутого Участника должно быть удалено из реестра участников как держателя данных Акций, и данное лицо перестает быть Участником в отношении данных Акций; а также
данное лицо обязано передать Компании для погашения свой сертификат (если таковой имеется) на конфискованные или возвращенные акции.
Несмотря на конфискацию или передачу его Акций, данное лицо будет продолжать нести ответственность перед Компанией за выплату всех денежных средств, которые на дату конфискации или передачи подлежали выплате указанным лицом в пользу Компании в отношении данных Акций, вместе:
(a) со всеми расходами; а также
(b) с процентами с момента конфискации или передачи по дату выплаты:
(i) по ставке, по которой проценты подлежали выплате с данных денежных средств перед конфискацией; или
(ii) если проценты не подлежали выплате таким образом, то по Штрафной ставке
Однако при этом директора могут отказаться от оплаты полностью или частично.
Доказательство конфискации или передачи
Заявление директора или Секретаря, официальное или под присягой, является, против притязаний любых лиц, претендующих на получение права на конфискованные Акции, неоспоримым доказательством следующих изложенных в нем вопросов:
(a) того, что лицо, делающее заявление, является директором или Секретарем Компании; и
(b) того, что определенные Акции были конфискованы или переданы в определенную дату.
Продажа конфискованных или переданных Акций
Любое лицо, в пользу которого были отчуждены конфискованные или переданные Акции, не обязано следить за использованием вознаграждения за указанные Акции, если таковое имеется, а его право собственности на Акции не может быть затронуто вследствие несоблюдения порядка или недействительности процедуры конфискации, передачи или отчуждения данных Акций.

Source text - English The object of the Company shall be to to acquire, dispose of, invest or participate in and hold fixed income securities of varying maturities denominated in Rubles of issuers listed in, domiciled in, or exercising the predominant part of their economic activity in Russia. The Company may invest in fixed income, debt and debt related securities which may be issued by corporate and/or sovereign issuers or guaranteed by sovereign governments, their agencies or instrumentalities, may offer fixed or floating interest rates, may be rated or unrated, including but not limited to bonds, money market instruments, municipal, state, local authority and supranational issues, floating rate notes, medium term notes, promissory notes, structured notes, commercial paper and debentures. Any such investments will typically be listed or traded on a recognised exchange, primarily on the Russian markets (RTS stock exchange and MICEX). The Company has no limitations on the range of maturities of the debt securities in which it can invest and may hold securities with short, medium- or long-term maturities as well as fixed and floating rate securities and coupon or non-coupon bearing securities. The Company may also acquire, dispose of, invest or participate in and hold ancillary liquid assets, such as bank deposits and money market instruments and securities, including but not limited to short-term fixed income instruments, certificates of deposit, promissory notes, commercial paper, floating rate notes, medium term notes, bankers acceptances. The Company may acquire, dispose of, invest or participate in and hold securities in respect of which the return and/or redemption amount is calculated by reference to any index, price or rate, monetary and financial instruments of all kinds, forward purchases, sales of currency, foreign exchange transactions, futures contracts, swaps, options contracts, contracts for differences, commodities, forward rate agreements and other financial derivative instruments, stocklending agreements, repurchase agreements, reverse repurchase agreements, share units or other participations in collective investment undertakings, units of or participation in any unit trust scheme, mutual fund or collective investment scheme in any part of the world and any present or future rights and interests to or in any of the foregoing. Source text - English NOTICE OF GENERAL MEETINGS
An Annual General Meeting and a Meeting called for the passing of a special resolution shall be called by twenty-one days' notice in writing at the least, and a Meeting of the Company other than an Annual General Meeting or a Meeting for the passing of a special resolution shall be called by fourteen days' notice in writing at the least. The notice shall be exclusive of the day on which it is served or deemed to be served and of the day for is given, and shall specify the place, the date and the hour of the meeting and, in case of special business, the general nature of that business and shall be given in manner hereinafter mentioned or in such other manner, if any, as may be prescribed by the Company in general meetings to such persons as are, under the Regulations of the Company, entitled to receive such notices from the Company.
Provided that a Meeting of the Company shall, notwithstanding that it is called by shorter notice than that specified in this Regulation, be deemed to have been duly called if it is so agreed:
- in the case of a Meeting called as the Annual General Meeting, by all the Members entitled to attend and vote thereat; and
- in the case of any other Meeting, by majority in number of the Members having a right to attend and vote at the Meeting, being a majority together holding not less than 95 per cent in nominal value of the shares giving that right.
The accidental omission to give notice of a Meeting to, or the non-receipt of notice of a Meeting by, any person entitled to receive notice, shall not invalidate the proceedings at that Meeting.
Translation - Russian УВЕДОМЛЕНИЯ ОБ ОБЩИХ СОБРАНИЯХ
Ежегодное Общее Собрание и Собрание, проводимое с целью принятия особой резолюции, созываются уведомлением в письменной форме, сделанным, по крайней мере, за двадцать один день, и Собрание Компании, в отличие от Ежегодного Общего Собрания или Собрания для принятия особой резолюции, созывается уведомлением в письменной форме, по крайней мере, за четырнадцать дней. Translations give me satisfaction and happiness in my life.
My Dad told me once that there'd be no need in translators in the nearest future, and I should quit that idea of becoming a translator. I just finished school then. I couldn’t believe that devices would be able to transfer the author's imagery, the unique style and the emotional atmosphere of the book. I was right, at least for the time being. Apparently, now I see, there is still a need in a good translator.
I worked hard at the University and I'm glad that now I work according to my specialization. I love thinking in another language, because it is similar to transporting a person to another person's mind. I never stop learning new facts in my work, as no translator would achieve success without struggle.
I value translator's work as it is one of the last things left in this world of high technologies, which allow you to emerge into other people’s cultures, to know them better and to understand, to learn something new from them, to develop and achieve new and new goals as a professional.
My motto: Accuracy in terms of text and time, always, come rain or shine.
