CHAPTER III. CONCERNING THE GOVERNING BODIES OF THE Company
SECTION ONE. CONCERNING THE GENERAL MEETING.
ARTICLE TEN. GENERAL MEETING
1) The shareholders meeting together in duly convened General Meeting shall decide by majority on the matters that are characteristic of the authority of the Meeting.
All shareholders, including dissidents and those who have not participated in the meeting are subject to the resolutions of the General Meeting, without prejudice to legitimation for challenging.
2) The Ordinary General Meeting shall be that which, having been convened in advance for the purpose, necessarily meets within the first six months of each business year for the purpose of examining Corporate Management, approving, where appropriate, the accounts of the previous business year and deciding on the application of the results.
3) All Meetings that are not those envisaged in the foregoing number shall have the consideration of Extraordinary General Meeting.
4) The General Meeting convened as Ordinary may also deliberate and decide upon any other matter that falls under its authority that is included in the call to meeting, all other legal requirements being present.
5) The General Meeting shall be held in the place of the town of the business address and on the date indicated in the call to meeting, and its sessions may be extended over one or more consecutive days. The Universal General Meeting may be held at any place and in any town.

الفصل الثالث. مجلس إدارة الشركة.
القسم الأول. فيما يتعلق باجتماع الجمعية العمومية.
المادة العاشرة.
اجتماع الجمعية العمومية.
1) يتم اتخاذ القرار بخصوص اجتماع المساهمين في اجتماع الجمعية العمومية المنعقد حسب الأصول بالأغلبية في المسائل التي هي سمة من سلطة الاجتماع. كما يخضع جميع المساهمين، بما في ذلك المعارضين والذين لم يشاركوا في الاجتماع لقرارات اجتماع الجمعية العمومية دون المساس بشرعية الطعن على القرارات.
2) يجب عقد اجتماع الجمعية العمومية الاعتيادي في غضون الأشهر الستة الأولى من كل سنة مالية لغرض المناقشة حول إدارة الشركة، واعتماد حسابات السنة المالية السابقة واتخاذ قرارات بشأن تطبيق النتائج كلما كان ذلك ممكنا.
3) بخلاف الاجتماعات المحددة أعلاه، يتم اعتبار أي اجتماعات أخرى بأنها اجتماعات جمعية عمومية استثنائية.
4) يجوز من خلال عقد اجتماع الجمعية العمومية الاعتيادي اتخاذ قرارات بشأن أي مسألة أخرى تقع تحت سلطته والتي يتم تضمينها في الدعوة إلى هذا الاجتماع، كما يعقد الاجتماع بموجب جميع الشروط والمتطلبات القانونية الأخرى.
5) يعقد اجتماع الجمعية العمومية في مكان البلدة مقر النشاط التجاري واعتبارا من التاريخ المحدد في الدعوة إلى الاجتماع، ويجوز تمديد جلساته ليوم أو أكثر من الأيام المتتالية. كما يجوز عقد اجتماع الجمعية العمومية العالمي في أي مكان وفي أي بلدة.
