(1) El Trabajador se obliga, durante la vigencia del presente contrato , e incluso después de la terminación del mismo, a guardar la más absoluta reserva sobre todos los asuntos confidenciales o referentes al funcionamiento interno de „La Empresa“ de que haya tenido conocimiento por comunicación directa o de cualquier otro modo. Esta obligación de reserva se extiende también a todo tipo de transmisión de documentos o conocimiento de „La Empresa“ a terceros. Esta obligación nada tiene que ver con la información públicamente accesible.
(2) En caso de que la obligación a guardar reserva aún después de finalizar el contrato supusiera algún impedimento en cuanto al desarrollo profesional del Trabajador, el Trabajador y la Empresa negociarían el modo de dispensar al Trabajador de su obligación.
(3) „El Trabajador“ al término de esta relación contractual, deberá devolver de forma inmediata todos los documentos referentes a „La Empresa“ que se encuentren en su poder, inclusive todas las fotocopias que se hayan hecho de los mismo, así como copias, extractos, ficheros informáticos o cualquier otro tipo de reproducciones y archivos y asimismo todo el material de trabajo que se le haya confiado y cuantos otros objetos propiedad de la Empresa. Se excluye expresamente todo derecho de retención a su favor.
Translation - German Verschwiegenheitsverpflichtung
(1) Der Arbeitnehmer verpflichtet sich, über alle Betriebs- und Geschäftsgeheimnisse, sowohl während des Bestehens des Vertragsverhältnisses als auch nach seiner Beendigung, Stillschweigen zu bewahren. Diese Verpflichtung erstreckt sich auch auf alle an Dritte übermittelten Informationen oder Dokumente. Die Verpflichtung erstreckt sich jedoch nicht auf solche Kenntnisse, die jedermann zugänglich sind.
(2) Sollte die nachvertragliche Verschwiegenheitsverpflichtung den Arbeitnehmer in seinem beruflichen Fortkommen hindern, werden Arbeitgeber und Arbeitnehmer in Verhandlungen treten, um den Arbeitnehmer aus seiner Verpflichtung zu entbinden.
(3) Bei Beendigung des Anstellungsverhältnisses sind alle dem „Arbeitnehmer“ überlassenen betrieblichen Unterlagen und das sonstige Firmeneigentum, sowie vom Arbeitnehmer in Erfüllung seiner Dienstpflichten gefertigte Abschriften, Auszüge, elektronische Daten oder Kopien von Unterlagen sowie sonstigen Gegenstände, Eigentum der Gesellschaft, herauszugeben, die ihm anvertraut wurden. Ein Rückbehaltsrecht wird ausdrücklich ausgeschlossen.
