Para pihak akan menggunakan upaya terbaik mereka untuk memastikan bahwa kebutuhan Perusahaan untuk membiayai proyek dan bisnisnya dipenuhi oleh pinjaman Perseroan dari bank dan sumber lain yang serupa dengan syarat-syarat yang paling menguntungkan yang bisa diperoleh secara wajar sehubungan dengan bunga, pelunasan dan jaminan.
16.2. Arus Kas dan Dividen
(a) Arus kas yang dihasilkan oleh proyek akan diterapkan dengan cara berikut, tunduk kepada persyaratan dari Pemberi Pinjaman: (i) pertama, untuk biaya operasi dan pemeliharaan, termasuk pajak, bea dan biaya lainnya yang dikenakan oleh pemerintah yang berkaitan dengan pengembangan, konstruksi dan pengoperasian Proyek. (Ii) selanjutnya, untuk membayar kewajiban utang senior dan subordinasi; (iii) selanjutnya, untuk mendanai cadangan seperti yang dipersyaratkan oleh Pemberi Pinjaman atau Dewan Direksi; (iv) selanjutnya, untuk membayar pinjaman para Pemegang Saham seperti yang dimaksudkan pada Klausul 7 Perjanjian ini; dan (v) selanjutnya, sisanya untuk didistribusikan kepada para Pemegang Saham sebagai dividen.
(b) Dividen Perusahaan akan direkomendasikan oleh Dewan Direksi dari waktu ke waktu yang akan bertindak demi kepentingan terbaik Perusahaan ketika membuat setiap rekomendasi untuk hal tersebut dan para pihak dengan ini setuju untuk menyatakan dalam Rapat Umum Pemegang Saham semua dividen final yang direkomendasikan tersebut.

16.2. Cash Flow and Dividends
(a) Cash flow generated by the Project will be applied in the following manner, subject to any requirements of the Lenders: (i) first, for operation and maintenance expenses, including taxes, duties and other governmental charges relating to the development, construction and operation of the Project. (ii) next, to pay senior and subordinated debt obligations; (iii) next, to fund reserves as required by the Lenders or the Board of Directors; (iv) next, to repay Shareholders’ loans as referred to in Clause 7 hereof; and (v) then, the remainder to be distributed to the Shareholders as dividends.
(b) The dividends of the Company shall be recommended by the Board of Directors from time to time who shall act in the best interest of the Company when making any recommendations therefor and the parties hereto agree to declare in a General Meeting of the Shareholders all final dividends so recommended.
