General
Watertight doors may be closed from the bridge, (Doors closed mode/Local control), from the manual closing unit in the emergency station, or from local door operation (operating handle or its local manual closing unit). From the bridge control switch Local control is selected during normal conditions.
Local control
Watertight doors are equipped with an operating handle for opening and closing of the door. This handle will when operated trigger proximity switches, one switch for the opening direction and another for closing direction:
Close direction of the handle will trigger the proximity switch, and from the Control card inputs the Motor card will be ordered to directed power to the actuator rotation for closing.
Open direction of the handle will trigger the proximity switch, and from the Control card inputs the Motor card will be ordered to directed power to the actuator rotation for opening.
The function of the local Warning bell is linked to the activation of the operating handle. The warning sound will be disabled when the handle is activated. For doors in middle position, not closed or fully open position, and with operating handle in neutral position, the local warning sound will be triggered.
Door closed mode
Doors may be closed remotely from the Master mode switch (Doors closed mode) located on the bridge Control panel (mimic).
Door closed mode will instantly trigger the local door alarms, visual and audible. Between 5 to 10 seconds after Door closed mode is activated, doors will start their movement toward closed position. Even though the doors are closing, it will still be possible to open the doors individually from their local operating handle, but as soon as the operating handle returns in middle position, the door will continue its attempt to close.
In Doors closed mode the local warning light (flashing) will be activate at all times, the audible warning will sound continuously until the door is closed.
Closing from emergency generator at door
The purpose of the local emergency generator is to provide an operating function of the watertight door in case of failure by the normal power supply. Even though the generator is intended as an emergency device it is operational also during a normal situation. Operation from this generator will disconnect power from the control system, and in case of control system failure it is possible to operate and control the door fully by this generator.
The generator is designed for a continuous rotating movement from its crank handle. By operating the generator, power will activate the contactor located inside +JB1. Activation of this contactor directs the power supply from the local generator to the motor, any supply from the emergency station will be disabled (card or generator). Polarity of the generated power is controlling the door operation for closing or for opening. Polarity of the power is depending on the operating direction of the generator handle:
- The door will close when the generator is operated in the closing direction. There is no need to operate direction handle toward close, the door will close with correct operating direction of the generator.
- The door will open when handle is put in Open and the generator is operated in the opening direction. For closed doors the operating sequence is important, first operate handle toward Open, and then turn the generator handle. Putting the handle in Open will mechanically free the bolts of the locking device.

Закрывание с помощью аварийного генератора, расположенного у двери
Местный аварийный генератор предназначен для управления водонепроницаемой дверью при отказе обычного электропитания. Хотя этот генератор предназначен для использования в аварийной ситуации, он работает и в нормальных условиях. Когда этот генератор приводят в действие, питание системы управления отключается, поэтому с помощью этого генератора можно полностью управлять дверью при отказе системы управления.
Для работы генератора необходимо постоянно вращать его рукоятку, что приводит к срабатыванию контактора, расположенного внутри распределительной коробки +JB1. Срабатывание контактора приводит к подаче питания на двигатель с местного генератора и прекращению подачи питания с аварийного поста управления (с платы или генератора). - Когда рукоятку генератора вращают в направлении закрытия, дверь закрывается. При этом нет необходимости поворачивать рукоятку управления в положение «Закрыть», дверь закроется только за счет того, что рукоятку генератора вращают в направлении закрытия.
- Когда рукоятка управления приведена в положение «Открыть», а рукоятку генератора вращают в направлении открытия двери, дверь откроется. При закрытой двери последовательность действий имеет значение: сначала нужно повернуть рукоятку в положение «Открыть», а затем – вращать рукоятку генератора. Когда рукоятку управления приводят в положение «Открыть», удерживающие штыри стопора освобождаются механически.

________(__________), именуемое в дальнейшем «Заказчик», в лице _____________, действующей на основании Устава, с одной стороны, и Общество с ограниченной ответственностью XXX (XXX) именуемое в дальнейшем «Подрядчик», в лице Генерального директора xxx, действующего на основании Устава, с другой стороны, в дальнейшем совместно именуемые «Стороны», а по отдельности – «Сторона», заключили настоящий Договор на эксплуатацию, выполнение работ и оказание услуг (далее – «Договор») о нижеследующем:
ПРЕДМЕТ ДОГОВОРА
Подрядчик выполняет для Заказчика по его заданию работы, перечень которых согласован Сторонами в соответствующих Приложениях к настоящему Договору(далее — «Работы»).
Место проведения работ:
, ххх (далее — «Помещения»).
Сроки выполнения Работ согласовываются Сторонами в соответствующих Приложениях.
Договором обусловлены как работы по абонентскому обслуживанию на постоянной основе, так и дополнительные разовые работы (по необходимости) на которые также составляются дополнительные Приложения.
Обязанности Подрядчика
Выполнить Работы, указанные в Приложениях к настоящему Договору, своими силами и средствами, либо с привлечением третьих лиц с надлежащим качеством, в полном объеме и в срок, в соответствии с условиями, указанными в настоящем Договоре.
Подрядчик несет риск случайной утраты или случайного повреждения монтируемого оборудования, мебели и/или результата выполненных Работ до их приемки Заказчиком в установленном порядке.
При необоснованной просрочке передачи или приемки результата выполненных Работ риск случайной утраты и/или повреждения результатов выполнения Работ несет сторона, допустившая просрочку.
Своевременно предоставлять Заказчику документы, необходимые для принятия и оплаты выполненных Работ (акты, справки, оригиналы счетов на оплату, счета-фактуры).
Устранить выявленные замечания и недостатки по проведенным Работам, возникшие с момента подписания Акта сдачи-приемки выполненных работ, за свой счет, если эти работы предусмотрены настоящим Договором.
Незамедлительно письменно информировать Заказчика об обнаруженной невозможности получить ожидаемые результаты или о нецелесообразности дальнейшего проведения Работ.
Приостановить Работу с момента получения от Заказчика письменного уведомления о необходимости приостановить Работы.
Для выполнения своих обязательств по настоящему Договору Подрядчик использует в Помещениях таких специалистов, квалификация, опыт и компетенция которых необходимы для надлежащего выполнения Работ и позволяют осуществлять надзор за выполнением Работ.
Обязанности Заказчика
Передавать Подрядчику заявки по телефону xxx и e-mail:
xxx с указанием сроков, объёмов работ и дат, ФИО и должностей передающих и принимающих лиц.
Предоставлять Подрядчику доступ в Помещения в целях выполнения Работ по настоящему Договору.
Принять Работы, выполненные Подрядчиком по настоящему Договору.
Произвести оплату Работ, выполненных Подрядчиком, в соответствии с условиями настоящего Договора.
Незамедлительно предоставлять Подрядчику всю объективно необходимую для выполнения Работ информацию и оказывать содействие любым иным способом во время производства Работ.
Осуществлять как самостоятельно, так и с привлечением третьих лиц контроль за ходом и качеством выполняемых Работ, а также за соблюдением сроков их выполнения, не вмешиваясь при этом в оперативно-хозяйственную деятельность Подрядчика.
В случае если в соответствующем Приложении Сторонами согласовано выполнение Работ с использованием материалов Заказчика, согласованные Сторонами материалы Заказчик обязуется передать Подрядчику в соответствии с условиями соответствующего Приложения.
Порядок использования материалов, предоставленных Заказчиком, а также распределение рисков в отношении переданных материалов регулируется Главой 37 Гражданского кодекса Российской Федерации
СТОИМОСТЬ ДОГОВОРА И ПОРЯДОК ОПЛАТЫ
Стоимость Работ Подрядчика определяется в основном Приложении №1 к настоящему Договору, либо дополнительных приложениях или соглашениях.
Порядок оплаты и размер каждого платежа в отношении соответствующих Работ определяется в соответствии с Приложениями к настоящему Договору.
Стороны соглашаются, что стоимость Работ по каждому Приложению является твёрдой и пересмотру не подлежит.
Подрядчик не вправе увеличить стоимость Работ, утвержденную в Сводном сметном расчете, кроме случая, когда согласие обеих Сторон на изменение стоимости Работ подтверждено подписанием дополнительного соглашения к соответствующему Приложению.
Если соответствующим положением настоящего Договора прямо не установлено иное, все суммы, указанные в настоящем Договоре, включают в себя НДС.
Оплата работ производится по счетам Подрядчика в российских рублях безналичными платежами на расчетный счет Подрядчика.
Датой оплаты считается дата списания денежных средств с корреспондентского счета банка Заказчика.
Заказчик имеет право заказать большой спектр дополнительных работ, которые могут потребоваться Заказчику за дополнительную плату не включенную в стоимость данного договора.
(На основании технического задания Заказчика составляются новые Приложения к этому договору, где прописываются виды работ и материалы.
Оплата возможна как почасовая, так и сдельная, в зависимости от технического задания заказчика и видов работ).
КОНТРОЛЬ КАЧЕСТВА РАБОТ И МАТЕРИАЛОВ
В случае если в ходе сдачи-приемки Работ будут обнаружены некачественно выполненные Работы, Заказчик вправе письменно заявить Подрядчику об отказе в приемке Работ.
Стороны в течение 5 (Пяти) рабочих дней с момента получения Подрядчиком данного отказа подписывают соответствующий Протокол доработок (и направляет его по электронной почте Подрядчику).
Подрядчик обязан своими силами и без увеличения стоимости Работ в срок, согласованный Сторонами в Протоколе доработок, устранить недостатки для обеспечения надлежащего качества Работ и сдать их Заказчику.
Заказчик в ходе выполнения Работ осуществляет контроль за применением согласованных материалов, проверяет качество материалов и имеет право отказаться от их использования, если они не соответствуют условиям настоящего Договора, рабочей документации или стандартам Российской Федерации.
В случае замены материалов, ранее одобренных Заказчиком, по инициативе Заказчика (кроме случаев в соответствии с п., настоящего Договора) он обязан оплатить дополнительные затраты, возникшие в результате замены материалов, и возместить Подрядчику любые вызванные этим дополнительные расходы, при этом дата окончания выполнения Работ должна быть сдвинута на соответствующий период времени.
В случае необходимости либо по письменному обоснованному требованию Заказчика Подрядчик произведет испытания и/или проверки всех систем, установленных в процессе производства Работ.
Уведомление о начале испытаний (проверок) должно направляться Заказчику за 24 часа до начала испытаний (проверок).
Если после получения уведомления Заказчик не явится на испытания (проверки), Подрядчик произведет испытания (проверки) в указанный день самостоятельно, и затем представит Заказчику протокол результатов испытаний (проверок).
Если обнаружится, что качество испытанных материалов ниже качества, указанного в Договоре, или действующих норм и стандартов РФ, использование таких материалов запрещается.
Замена испытанных материалов производится за счет Стороны, ответственной за качество таких материалов.
В случае если Заказчик предоставляет какие-либо материалы, то он несет ответственность за качество таких материалов и систем, а также за ущерб, который может возникнуть вследствие недостатков качества таких материалов во время или в результате их установки, использования или удаления.
ПОРЯДОК СДАЧИ И ПРИЕМКИ РАБОТ
Сдача-приемка выполненных Работ или их этапов оформляется Актом сдачи-приемки выполненных в соответствии со сроками сдачи Работ, указанными в соответствующем Приложении.
Заказчик не позднее 5 (Пяти) рабочих дней с даты получения Акта сдачи-приемки выполненных работ подписывает и возвращает его Подрядчику, либо направляет Подрядчику мотивированный отказ от подписания Акта сдачи-приемки выполненных работ с перечнем необходимых доработок и сроков их выполнения.
При направлении Заказчиком мотивированного отказа Стороны руководствуются процедурой, описанной в п. 5.1, настоящего Договора.
Право собственности на результат Работ переходит к Заказчику с даты подписания Сторонами Акта сдачи-приемки выполненных Работ.
ГАРАНТИИ
Гарантийный срок на выполненные Работы составляет 12 (Двенадцать) календарных месяцев с даты подписания Сторонами Акта сдачи-приемки выполненных Работ, но не более гарантийного срока, указанного производителем для использованных материалов и/или оборудования.
На некоторые виды работ и услуг гарантия отсутствует сразу после приемки работ или услуг (Гарантийные сроки отражены в приложениях).
Наличие недостатков, вызванных ненадлежащим выполнением Подрядчиком своих обязательств по настоящему Договору, применением некачественных оборудования и/или материалов, или выполнением работ с нарушением СНиП (далее — «дефекты»), выявленных в течение гарантийного срока, устанавливается двусторонним Актом Сторон, в котором указывается характер таких дефектов, а также срок для их устранения Подрядчиком.
При выявлении дефектов гарантийный срок увеличивается на срок их устранения.
Если в период действия гарантийного срока Подрядчик осуществляет замену или ремонт какой-либо части, то на такую замененную или отремонтированную часть предоставляет гарантию сроком 12 (двенадцать) месяцев.
Для участия в составлении актов, согласующих порядок и сроки устранения дефектов, Подрядчик направляет своего представителя в Помещения за свой счет в течение 3 (Трех) рабочих дней с даты получения от Заказчик а письменного извещения об обнаружении недостатков.
Если Подрядчик не направит своего уполномоченного представителя в установленный срок, будет считаться, что Подрядчик согласился с фактом наличия дефектов, и в таком случае Подрядчик обязан приступить к их устранению в течение 7 (семи) рабочих дней с даты истечения срока, указанного в п. 7.3 настоящего Договора.
В случае, если Подрядчик не устранил выявленные дефекты, возникшие непосредственно по вине Подрядчика, в течение срока, указанного в п. 7.2, или Подрядчик не приступил к устранению таких дефектов в течение срока, указанного в п. 7.4, Заказчик вправе устранить эти дефекты своими силами или силами третьих лиц с отнесением всех расходов на такое устранение на счёт Подрядчика, при условии, что такие затраты Заказчика документально подтверждены.
Гарантийные обязательства Подрядчика, указанные в настоящей статье, не включают устранение недостатков, возникших по нижеуказанным причинам:
неисполнение Заказчиком инструкций по уходу и эксплуатации;
ущерб, причиненный по вине Заказчика или третьих лиц;
нормальный износ;
изменения в структурах или в любых системах Помещений, сделанные Заказчиком или любой нанятой им стороной без письменного согласия Подрядчика;
недостатки, возникшие по причине дефектов в оборудовании или материалах (при наличии оных), поставленных Заказчиком Подрядчику;
Недостатки, возникшие вследствие неправильной эксплуатации, неправильного ремонта или технического обслуживания, осуществленных Заказчиком или любым нанятым им лицом.
В случае если по окончании гарантийного срока Подрядчику не предъявлены какие-либо неисполненные требования Заказчика, обязательства Сторон прекращаются, и никакие последующие требования не могут быть предъявлены Заказчиком в связи с Работами или материалами, или оборудованием, использованными во время производства или ремонта.
СРОК ДЕЙСТВИЯ ДОГОВОРА
Договор вступает в силу с момента его подписания и действует до xxx.
В случае если ни одна из Сторон не заявит письменно о желании прекратить действие настоящего Договора по истечении его срока не менее чем за месяц до его истечения, то действие настоящего Договора продлевается на следующий календарный год.
Прекращение действия настоящего Договора не освобождает Стороны от каких-либо обязательств, претензий и требований в отношении каких-либо предыдущих нарушений сроков и условий настоящего Договора или невыполнения условий по настоящему Договору.
Любая сторона вправе расторгнуть договор в одностороннем порядке, направив письменное уведомлении за один месяц до даты расторжения договора.
ОТВЕТСТВЕННОСТЬ СТОРОН
В случае, если соответствующим Приложением к настоящему Договору будет предусмотрено предоставление отсрочки/частичной отсрочки платежа за выполненные Работы, то за нарушение сроков платежей, предусматривающих оплату Работ после их принятия, Заказчик обязан уплатить Подрядчику неустойку, по письменному требованию последнего, в размере 0,2 % от просроченной к оплате суммы за каждый день просрочки платежа.
Уплата неустойки не освобождает Заказчика от выполнения принятых на себя обязательств по настоящему Договору.
Подрядчик не несет ответственности за нарушение сроков выполнения Работ, причиной которого стало нарушение Заказчиком сроков необходимых по настоящему Договору согласований и подписания актов сдачи-приемки выполненных Работ, задерживающих выполнение Работ.
В случае привлечения Подрядчиком для выполнения работ третьих лиц, предварительно одобренных Заказчиком, Подрядчик несет перед Заказчиком всю ответственность за их действия, как если бы данные действия были выполнены Подрядчиком.
Стороны освобождаются от ответственности за частичное или полное неисполнение обязательств по Договору, если таковое неисполнение явилось прямым следствием чрезвычайных и непредотвратимых при данных условиях обязательств.
Таковыми обстоятельствами признаются аномальные стихийные явления и стихийные бедствия, техногенные и экологические катастрофы, военные действия, чрезвычайные нарушения работоспособности государственных органов, городской инфраструктуры, банковских систем в случае, когда данные обстоятельства напрямую препятствовали исполнению обязательств Стороной.
Если обстоятельства непреодолимой силы или их последствия будут длиться более 1 (Одного) месяца, каждая Сторона вправе отказаться в одностороннем порядке от исполнения Договора при условии проведения взаиморасчетов за фактически выполненные Работы.
ПРОЧИЕ УСЛОВИЯ
При исчислении сроков по настоящему Договору все указания на дни считаются указанием на календарные дни, если в тексте прямо не указано иное.
Уведомления и сообщения, подлежащие передаче от одной Стороны Договора другой Стороне, будут передаваться в письменном видепочтой и электронно по адресу xxx, указанным в реквизитах Сторон, направляться курьером или передаваться под роспись ответственному лицу другой Стороны.
В случае изменения своих реквизитов (расчетного счета, юридического адреса, фактического местонахождения и др.) Сторона, чьи реквизиты изменились, направляет в течение 3 (Трех) рабочих дней со дня такого изменения уведомление, с указанием новых реквизитов, в адрес другой Стороны.
До поступления уведомления об изменении адресов и платежных реквизитов все действия, совершенные одной Стороной по старым реквизитам другой Стороне, считаются совершенными законно и засчитываются в исполнение соответствующей Стороны своих обязательств.
Все изменения и дополнения к данному Договору действительны лишь в том случае, если они совершены в письменной форме и подписаны обеими Сторонами.
Споры между Сторонами, вытекающие из настоящего Договора или в связи с его исполнением, и неурегулированные путем переговоров Сторон и в претензионном порядке, подлежат разрешению в Арбитражном суде г. Москвы в соответствии с законодательством Российской Федерации.
Срок рассмотрения претензий не должен превышать 10 (десяти) рабочих дней.

Translation - English FRAMEWORK AGREEMENT FOR PRODUCTION WORK
(real property maintenance)

________(__________), hereinafter referred to as “Customer,” represented by _____________, acting under the Articles of Association, on the one hand, and a Limited Liability Company under the laws of Russian Federation XXX (XXX) hereinafter referred to as “Contractor,” represented by Director General xxx, acting under the Articles of Association, on the other hand, hereinafter collectively referred to as “The Parties,” and individually as a “Party,” entered into this Agreement for operation, carrying out works and provision of production services (hereinafter referred to as “Agreement”) on the following:
SCOPE OF THE AGREEMENT
The Contractor carries out for the Customer and to their order the work whose statement has been agreed upon by The Parties in applicable Appendixes to this Agreement (hereinafter referred to as “Work”).
The site of carrying out the work is:

The deadlines for carrying out the work are agreed upon by The Parties in applicable Appendixes.
The Agreement stipulates both the work for providing customer service on the permanent basis and additional one-time jobs (if necessary) for which additional Appendixes also get drawn up.
Contractor Responsibilities
To carry out the Work stated in the Appendixes to this Agreement, using one’s own resources or involving third parties, to the required quality, in full and within the stipulated timeline, in accordance with conditions stated in this Agreement.
The Contractor bears the risk of accidental loss or accidental damage of the equipment being installed, furniture and/or the result of the completed Work before it has been accepted by the Customer under the established procedure.
In case of unreasonable delay in delivery or acceptance of the result of the completed Work, the risk of accidental loss and/or damage of the result of carrying out the Work is born by the Party responsible for the delay.
To timely provide the Customer with documents necessary for acceptance of and payment for the completed Work (certificates, letters of verification, originals of invoices for payment, sales/tax invoices).
To remedy at their own expense the defects noted in the completed Work that occurred after the signing of the Certificate of Acceptance of the completed work if such work is specified by this Agreement.
To inform the Customer in writing and without delay about the fact that it has been discovered that it is impossible to attain expected results or that it is not advisable to continue the Work.
To suspend the Work the moment a written notice is received from the Customer on the necessity to suspend the Work.
To fulfill their obligations under this Agreement the Contractor uses in the Spaces such specialists whose qualification, experience and competence are necessary to properly carry out the Work and make it possible to monitor the carrying out of the Work.
Customer Responsibilities
To provide the Contractor with requests over the phone xxx and e-mail:
xxx stating the deadlines, scope of work and dates, names and positions of persons who will deliver and accept the Work.
To provide the Contractor with access to the Spaces with the purpose of carrying out the Work under this Agreement.
To accept the Work done by the Contractor under this Agreement.
To effect payment for the Work done by the Contractor as stipulated by this Agreement.
To provide the Contractor without delay with all information reasonably required for carrying out the Work and assist in any other way while the Work is carried out.
To control–both independently and using third parties–the progress and quality of the Work being carried out and adherence to schedules without intervening at the same time in the day-to-day operations of the Contractor.
If in the applicable Appendix The Parties have agreed upon that the Work shall be carried out using the Customer’s materials, the Customer shall provide the Contractor with the materials agreed upon by The Parties as stipulated in the applicable Appendix.
The procedure of using the materials provided by the Customer as well as risks sharing related to the provided materials are governed by the Article 37 of the Civil Code of the Russian Federation.
AMOUNT OF THE AGREEMENT AND PAYMENT PROCEDURE
The cost of the Contractor’s Work is determined in the main Appendix #1 to this Agreement or in additional appendixes and agreements.
The payment procedure and the amount of each payment related to particular Work is determined per Appendixes to this Agreement.
The Parties agree that the cost of the Work per each Appendix is fixed and is not subject to revision.
The Contractor shall not be entitled to increase the cost of the Work as approved in Summary Cost Estimate, except for the situation when the agreement of both Parties to change the cost of the Work is affirmed by signing an additional agreement to applicable Appendix.
Unless expressly otherwise provided in the applicable provision of this Agreement, all sums stated in this Agreement include VAT.
The payment for the Work is made against the Contractor’s invoices in Russian roubles by wire transfers to the Contractor’s settlement account.
Date of payment is considered to be the date on which monies were drawn from the Customer’s bank correspondent account.
The Customer shall be entitled to order large range of additional work which might be needed by the Customer for additional payment not included in the amount of this Agreement.
(Based on the Customer’s technical assignment new Appendixes to this Agreement get drawn up which stipulate types of work and materials.
The payment can be hourly payment or by the piece depending on the Customer’s technical assignment and types of work.)
THE WORK AND MATERIALS QUALITY CONTROL
If it will be found during the acceptance of the Work that the Work is poor-quality, the Customer shall be entitled to announce in writing to the Contractor that the Customer refuses to accept the Work.
Within 5 (Five) working days after this refusal is received by the Contractor The Parties sign an applicable Corrective Action Request (and send it by e-mail to the Contractor).
The Contractor using their own resources and without increasing the cost of the Work and within the timeline agreed upon by The Parties in the Corrective Action Request shall remedy the defects to ensure proper quality of the Work and deliver it to the Customer.
When the Work is being carried out the Customer controls the use of the agreed-upon materials, checks the quality of the materials and shall be entitled to refuse to use the materials if the materials do not conform to the conditions of this Agreement, project documentation or the standards of the Russian Federation.
If the materials earlier approved by the Customer get replaced on the Customer’s initiative (except as provided in provision of this Agreement), the Customer shall pay the additional cost resulted from the replacement of the materials and recompense the Contractor for any additional expenses incurred by this, and the completion of the Work shall be accordingly carried over to a later date.
In case of need or a written well-founded request from the Customer, the Contractor shall perform tests and/or checks of all systems installed during the carrying out of the Work.
A notice about the start of tests (checks) shall be sent to the Customer 24 hours before the start of tests (checks).
If the Customer, after receiving the notice, does not come to attend tests (checks), the Contractor shall perform tests (checks) at the stated date on their own and then provide the Customer with the protocol on the results of tests (checks).
If it will be found that the quality of tested materials is lower than stated in the Agreement or current specifications and standards of the RF, the use of such materials shall be prohibited.
The tested materials shall be replaced at the expense of the Party responsible for the quality of such materials.
If the Customer provides any materials, the Customer shall be responsible for the quality of such materials and systems as well as for any damage that might result from defective quality of such materials during or as the result of installation, use or removal of such materials.
THE WORK ACCEPTANCE PROCEDURE
The acceptance of the completed Work or its milestones is documented by a Certificate of Acceptance of the Work completed in accordance with the time of delivery stipulated in the applicable Appendix.
No later than 5 (Five) working days after receiving the Certificate of Acceptance of the completed Work, the Customer signs the Certificate of Acceptance of the completed Work and returns it to the Contractor or sends to the Contractor a reasonable refusal to sign the Certificate of Acceptance of the completed Work with a list of necessary corrections and their deadlines.
When sending a reasonable refusal to the Contractor, The Parties follow the procedure stated in provision 5.1 of this Agreement.
The ownership of the result of the Work transfers to the Customer as of the date the Certificate of Acceptance of the completed Work is signed by The Parties.
WARRANTY ARRANGEMENTS
The warranty period for the completed Work shall be 12 (Twelve) calendar months starting from the date the Certificate of Acceptance of the completed Work is signed by The Parties but no longer than the warranty period stated by the manufacturer for the materials and/or equipment used.
For some of the types of work and services there is no warranty right after the work or services are accepted (the warranty periods are given in appendixes).
The presence of defects caused by improper performance of the Contractor of their responsibilities under this Agreement, the use of low-quality equipment and/or materials, or by carrying out the Work with violation of Construction Regulations and Rules (hereinafter referred to as “defects”), discovered during the warranty period is documented by bilateral Act of The Parties which gives the nature of such defects as well as timeline for their correction by the Contractor.
If defects are found, the warranty period shall be extended by the time spent for their correction.
If during the warranty period the Contractor replaces or repairs any component, the Contractor shall give a warranty of 12 (twelve) months for such replaced or repaired component.
To participate in drawing of acts that give agreed-upon procedure and deadlines for correction of defects, the Contractor at their own expense shall send its representative to the Spaces within 3 (Three) working days starting from the date the Contractor received from the Customer a written notice about defects found.
If the Contractor fails to send their duly authorized representative within stipulated time period, it shall be considered that the Contractor has agreed with the fact that there are defects, and in this case the Contractor shall proceed to correct the defects within 7 (Seven) working dates starting from the date of termination stated in provision 7.3 of this Agreement.
In case the Contractor has failed to correct the defects found, which occurred directly through their fault, within the time period stipulated in provision 7.2, or if the Contractor has not started to correct such defects within time period stipulated in provision 7.4, the Customer shall be entitled to correct these defects using their own resources or using third parties and charge the Contractor for all costs of such correction, provided that such costs of the Customer are documented.
The warranty responsibility of the Contractor given in this provision does not include correction of defects caused by the following reasons:
failure on the part of the Customer to follow the maintenance and operation instructions;
damage caused through the fault of the Customer or third parties;
normal wear;
changes in configurations or in any systems of the Spaces made by the Customer or by any party hired by the Customer without written agreement of the Contractor;
defects that resulted from defects in equipment or materials (if there are such) provided to the Contractor by the Customer;
defects resulted from improper operation, improper repairs or maintenance done by the Customer or any person hired by the Customer.
If the Customer is not presented with any unfulfilled requirements of the Contractor by the end of the warranty period, the obligations of The Parties shall be terminated and no further requirements shall be made by the Customer in relation to the Work, or materials, or equipment used during production or repairs.
DURATION OF THE AGREEMENT
The Agreement shall come into effect on the date of its signing and remains in effect until xxx.
If neither of The Parties announces in writing about their desire to terminate this Agreement upon its expiry at least one month before its expiration, this Agreement shall be extended for the next calendar year.
The termination of this Agreement shall not relieve The Parties of any responsibilities, claims and requirements related to any prior failures to meet deadlines and conditions of this Agreement or failure to fulfill stipulations of this Agreement.
Any of The Parties shall be entitled to dissolve the Agreement unilaterally by sending a written notice one month before the date of dissolving the Agreement.
LIABILITY OF THE PARTIES
If the applicable Appendix to this Agreement provides for granting a deferral of payment or a partial deferral of payment for the completed Work, then in case of a delay in payments specified as payments for the completed Work after it is accepted, the Customer shall pay to the Contractor at a written request from the latter a penalty in the amount of 0.2% of the overdue sum for every overdue day.
The payment of the penalty does not relieve the Customer from fulfilling the responsibilities they assumed under this Agreement.
The Contractor shall not be liable for failure to meet the deadlines for completion of the Work that was caused by failure of the Customer to meet the deadlines for negotiations necessary under this Agreement and signing of Certificates of Acceptance of the completed Work which delay the carrying out of the Work.
If the Contractor uses third parties for carrying out the work, which were approved by the Customer beforehand, the Contractor shall be fully responsible to the Customer for actions of these third parties as if these actions were done by the Contractor.
The Parties shall be exempt from liability for partial or complete failure to fulfill their obligations under this Agreement if such a failure resulted directly from force-majeure and circumstances that could not be avoided under existing conditions.
Such circumstances shall include abnormal acts of God and acts of elements, man-made and environmental disasters, acts of war, extraordinary disruption of the capacity of governmental agencies, municipal infrastructure, banking systems in case when such circumstances have directly interfered with fulfillment of obligations by a Party.
If the force majeure circumstances or consequences thereof last longer than 1 (One) month, each Party shall be entitled to repudiate the Agreement unilaterally provided that settlement payments are made for actually completed Work.
OTHER TERMS AND CONDITIONS
When calculating of time limits under this Agreement, all dates mentioned shall be considered to be calendar dates, unless expressly otherwise provided in the text.
Notices and messages that have to be given by one Party to the Agreement to the other Party, shall be given in writing by video-mail and by e-mail to the address xxx given in the details of the Parties, sent with a courier or handed to an authorized representative of the other Party with a written acknowledgement of receipt.
In case of changing their details (settlement account, legal address, physical address etc.), the Party whose details have changed, shall send a notice to the address of the other Party within 3 (Three) working days after such change took place stating their new details.
Until a notice about a change of addresses and bank details is received, all actions performed by one Party using the old details of the other Party shall be considered legal and be counted towards the fulfillment of obligations by the applicable Party.
All changes and additions to this Agreement shall be effective only if these are made out in writing and signed by both Parties.
Disputes between the Parties resulted from this Agreement or related to its fulfillment and unresolved by negotiations between the Parties and in the course of pre-court dispute settlement procedure, shall be resolved in the Arbitration court of Moscow in accordance with legislation of the Russian Federation.
The period of consideration of a claim shall not exceed 10 (Ten) working days.

В 2002 году в России был принят закон «О техническом регулировании». Но за последние 8 лет принято чуть меньше 20 технических регламентов, которые являются основой этого закона. С другой стороны, существуют введенные в отраслях 100 000 ГОСТов, полтора миллиона ОСТов, несколько сот тысяч СНИПов, норм и правил. А работают ли они? Ответа на этот вопрос нет. Это означает, что экономика России с ВВП, превышающим 1 трлн. долларов, вообще не имеет технического регулирования. Возможно, это и приемлемо, когда все народное хозяйство строится «вокруг трубы». Но инновационный сектор без технического регулирования поднять невозможно.

At home and abroad, the roads are filled with the disturbance of the commotion and idleness of seven hundred thousand families unable to obtain a livelihood.

In order to contend for the day of victory, opponents reciprocally maintain a state of unresolving conflict for years due to not knowing the nature, intentions, plans, circumstances and condition of the enemy. The reason the nature, intentions, plans, circumstances and condition of the enemy are not known is because of stinginess in bestowing peerage, emoluments or a hundred gold pieces to discover this information. This is inhumane in the extreme. This is not the way of a people’s general, a lord’s aide or a master of victory.
Therefore, the means by which intelligent and enlightened monarchs and virtuous and supremely able generals operate to defeat the enemy and attain greater successes and achievements which go beyond the crowd is having advance knowledge and prediction.
Advance knowledge and prediction of the nature, intentions, plans, circumstances and condition of the enemy cannot be obtained from supernatural entities, similarity of data or by logical reasoning from degrees, standards or rules. Advance knowledge or prediction must be gathered from people. Therefore, employ the five categories of agents, which are:
Indigenous agents
Inside-penetrated agents
Turned agents
Dead1 agents
Living agents
All five categories of agents are set up and put into operation and operated as a coordinated network; no one is to know of their existence, course and manner of operation. This is called the hidden network of mastery over the enemy.
Agents are a ruler’s treasure.
