Les parties ci-après nommées, devant conclure entre elles un avant-contrat portant sur la vente d'un bien immobilier, ont été informées par le rédacteur des présentes que la forme sous seing privé du présent avant contrat ne leur permettra pas de le faire publier au service de la publicité foncière.
En conséquence, si l'une des parties refuse ou est devenue incapable de réaliser ou de réitérer la convention par acte authentique, l'autre partie ne pourra pas faire inscrire les présentes directement au fichier immobilier afin de conserver son droit et de le rendre opposable aux tiers, préalablement à toute décision de justice.
Les parties averties de cette situation déclarent néanmoins persister dans la conclusion entre elles d'un acte sous signatures privées.
Par suite, en cas de refus ou d'incapacité de l'une des parties, un procès-verbal authentique avec l'acte sous signatures privées pour annexe pourra, à la requête de l'autre partie, être dressé afin de constater cette défaillance, sans pour autant conférer une authenticité à l'acte ainsi annexé.
Ce procès-verbal pouvant alors être publié au fichier immobilier dans l'attente d'une décision judiciaire.

- Qu'elles n’ont pas été associées dans une société mise en liquidation judiciaire suivant jugement publié depuis moins de cinq ans et dans laquelle elles étaient tenues indéfiniment et solidairement du passif social ou seulement conjointement, le délai de cinq ans marquant la prescription des actions de droit commun et de celle en recouvrement à l'endroit des associés (BOI-REC-SOLID-20-10-20-20120912).
- Qu'elles ne sont concernées, en ce qui concerne les personnes physiques :
Par aucune des mesures légales des majeurs protégés sauf, le cas échéant, ce qui peut être spécifié aux présentes pour le cas où l'une d'entre elles ferait l’objet d’une telle mesure.
Par aucune des dispositions du Code de la consommation sur le règlement des situations de surendettement.
- Qu'elles ne sont concernées, en ce qui concerne les personnes morales par aucune demande en nullité ou dissolution.

Le VENDEUR atteste ne pas avoir précédemment conclu un avant-contrat en cours de validité sur le ou les biens objet des présentes.
Translation - English ADVANCE NOTIFICATION
The parties named hereafter, between whom a pre-contract relating to the sale of a property is to be concluded, have been informed by the person who has drafted this document that the private document form of this pre-contract will not enable them to register it with the French Land Registry.
Consequently, if one of the parties refuses or becomes unable to execute or reaffirm the agreement in a due legal form, the other party will not be able to register the present documents directly with the Property Registry in order to preserve their right and make it effective against third parties, prior to any court decision.
Aware of this situation, the parties declare, however, that they will proceed with their mutual conclusion by means of a private instrument.
Therefore, in the event of a refusal or inability on the part of one of the parties, authentic minutes to which the private instrument is attached could, upon the other party’s request, be drawn up in order to verify this deviation, without deeming the annexed deed binding.
These minutes could then be registered with the Property Registry pending a court decision.

In the event that there are multiple SELLERS and/or BUYERS, the parties will carry out the obligations for which they are responsible under the terms of the present document jointly and severally between them, without this joint and several liability necessarily being referenced each time.
CAPACITY
The parties and, if applicable, their representatives confirm that nothing can limit their capacity to execute the responsibilities that they undertake in the present document and they declare, in particular:
- That the information provided at the start of the present document such as nationality, residence, headquarters, personal information, registration number, is correct.
That they are not in a state of insolvency, bankruptcy or compulsory liquidation.
- That they have not been involved in a company put into compulsory liquidation following a court order filed in the last five years and in which they were held indefinitely and severally liable for the social liability, or only jointly, the period of five years designating the limitation of actions of common law and of that of recovery from those involved (BOI-REC-SOLID-20-10-20-20120912).
- That they are not affected, as natural persons:
By any legal measures relating to adults under protection except, if applicable, those that can be specified in the present document, in the event that one of them is the subject of such measures.
By any of the provisions of the French Consumer Code concerning the settlement of situations of excessive debt.
- That they are not affected, as legal persons, by any applications for a declaration of invalidity or dissolution.
PROHIBITION ON DISPOSAL AND MORTGAGING
Throughout the duration of the present agreement, the SELLER forbids the transfer to anyone of real or personal rights, or any charges, including temporary ones, against the property or properties referred to in this agreement, the agreement to a lease, including tenancy-at-will arrangements, an extension of lease, a right of disposal, as well as making changes or becoming guilty of negligent actions likely to alter the state of or cause damage to the property or properties.
The SELLER confirms that they have not previously concluded a currently valid pre-contract regarding the property or properties covered by the present document.
