Source text - English A) POR EL CLIENTE: En el supuesto de que el CLIENTE resuelva unilateralmente el presente contrato, EL ARQUITECTO deberá terminar la etapa de trabajo que en aquel momento esté desarrollando y el CLIENTE deberá abonarle la porción de honorarios correspondientes a dicha etapa, salvo que el CLIENTE exima expresamente al ARQUITECTO de dicha obligación de terminar la etapa en desarrollo. Asimismo el CLIENTE deberá liquidar al ARQUITECTO el 10% de la totalidad de los honorarios pendientes.
B) POR EL ARQUITECTO: Si la resolución se produce a voluntad del ARQUITECTO, éste deberá comunicarlo al CLIENTE con una antelación mínima de un mes, y en cualquier caso, estará obligado a finalizar la etapa de trabajo que en aquel momento esté desarrollando, siempre que así lo exija el CLIENTE y salvo si ya se ha iniciado la dirección de obras. En tal supuesto de resolución, EL ARQUITECTO tendrá derecho a percibir los honorarios de los Proyectos elaborados, siempre que hayan sido finalizados y entregados al CLIENTE. En el caso de estar ya iniciada la dirección de obras el CLIENTE deberá abonar al ARQUITECTO el pago del trabajo efectivamente realizado y proporcional a lo avanzado.
En ambos casos ninguna de las partes podrá reclamar a la otra indemnización alguna en concepto de daños y perjuicios por causa de la resolución contractual, siempre que se haya dado cumplimiento a lo estipulado en estos pactos.
También, cualquiera que fuere la causa de resolución, los arquitectos salientes se obligan a trasladar al equipo entrante, toda la documentación que sea precisa para la continuidad en los trabajos, así como a dar la venia a dicho equipo entrante cuando ello fuera menester. La continuación del proyecto por parte del nuevo Arquitecto no podrá ser considerado en ningún caso como usurpación de la propiedad intelectual de los Arquitectos salientes.
DÉCIMOCUARTA CONDICIÓN RESOLUTORIA.-
No obstante lo dispuesto en la cláusula DÉCIMOTERCERA, el presente contrato quedará resuelto automáticamente sin necesidad del preaviso indicado, en el supuesto de que el ARQUITECTO no haga entrega del proyecto básico y del informe de idoneidad técnica favorable antes de la aprobación definitiva del PEI o dentro del plazo pactado en el ANEXO I.
En el citado supuesto, la resolución del contrato por dicho incumplimiento por parte del ARQUITECTO, dará lugar a favor del CLIENTE de la devolución del 50% de los honorarios recibidos hasta el momento.
DÉCIMOQUINTA. CONFIDENCIALIDAD.- Las partes acuerdan que cualquier información intercambiada, facilitada o creada entre ellas en el transcurso del desarrollo del proyecto objeto de este contracto, será mantenida en estricta confidencialidad.
La parte receptora correspondiente sólo podrá revelar información confidencial a quienes la necesiten y estén autorizados previamente por la parte de cuya información confidencial se trata.
Se considera también información confidencial: a) Aquella que como conjunto o por la configuración o estructuración exacta de sus componentes, no sea generalmente conocida entre los expertos en los campos correspondientes. b) La que no sea de fácil acceso, y c) Aquella información que no esté sujeta a medidas de protección razonables, de acuerdo con las circunstancias del caso, a fin de mantener su carácter confidencial.
Translation - Spanish A) BY THE CLIENT: In the event that the CLIENT unilaterally resolves this contract, THE ARCHITECT shall complete the work stage that is being developed at that time and the CLIENT shall pay the portion of fees corresponding to that stage, except that the CLIENT specifically exempts the ARCHITECT from said obligation to finish the stage in development. Furthermore, the CLIENT must pay the ARCHITECT 10% of the total outstanding fees.
B) BY THE ARCHITECT: If the resolution is at the discretion of the ARCHITECT, he must inform the CLIENT at least one month in advance, and in any case, he will be obliged to complete the work stage that he is developing at that time, always that is what the CLIENT requires and unless the work direction has already begun. In such a case of resolution, THE ARCHITECT shall be entitled to receive the fees of the Projects prepared, provided that they have been finalized and delivered to the CLIENT. In the case that the project management has already begun, the CLIENT must pay the ARCHITECT the amount for the work actually performed and proportional to the progress made.
In both cases, neither of the parties may claim any other compensation for damages due to the contractual resolution, as long as the provisions of these agreements have been complied with.
Also, whatever the cause of the resolution, the outgoing architects are obliged to transfer to the incoming team, all the documentation that is necessary for the continuity in the works, as well as to give the aforementioned team the approval when necessary. The continuation of the project by the new Architect cannot be considered in any case as infringement of the intellectual property of the outgoing Architects.
FOURTEEN.-RESOLUTION CONDITION.-
Notwithstanding the provisions of the THIRTEENTH clause, this contract shall be automatically terminated without the need for the aforementioned notice, in the event that the ARCHITECT fails to deliver the basic project and the favourable technical suitability report before the final approval of the IEP or within of the term agreed in ANNEX I.
In the aforementioned case, the termination of the contract for such breach by the ARCHITECT, will result in favour of the CLIENT of a return of 50% of the fees received thus far.
FIFTEEN.- CONFIDENTIALITY.- The parties agree that any information exchanged, facilitated or created among them in the course of the development of the project object of this contract, will be kept in strict confidentiality.
The corresponding receiving party may only reveal confidential information to those who need it and are previously authorized by the party whose confidential information is involved.
It is also considered confidential information: a) That one that as a whole or by the configuration or exact structure of its components, is not generally known among experts in the corresponding fields. b) That one which is not easily accessible, and c) That one that is not subject to reasonable protection measures, according to the circumstances of the case, in order to maintain its confidential nature.
