חברת החדשות הוקמה ב-1993 על ידי 3 הזכיניות הראשונות של ערוץ 2 המסחרי. החברה הוקמה על מנת ליצור ולספק לערוץ 2 את כל מהדורות החדשות. משדר החדשות הראשון היה בן פחות מחמש דקות, בהגשת יעקב אילון, ופתח את שידורי הערוץ, ב-4 בנובמבר 1993[1]. כתוצאה מהקמת ערוץ 2 החליטו בערוץ הראשון להקדים את מהדורת מבט לשעה שמונה בערב, לחדש את אולפני רוממה, ליצור פתיחים חדשים ומוספי תרבות וספורט ולהאריך את מהדורת החדשות שלהם לכדי 50 דקות. את חברת החדשות הקים אלון שליו שמונה להיות המנכ"ל הראשון שלה.
בעת הקמת החברה עמד שלום קיטל על כך ששום עיתונאי לא יעבור לחברה מהערוץ הראשון ואסף עובדים מכלי תקשורת אחרים כמו הרדיו או העיתונים. עם העיתונאים הראשונים של חברת החדשות נמנו יעקב אילון, מיקי חיימוביץ', גיא זהר, דנה ויס, גדעון סער, רינה מצליח, אושרת קוטלר, עמנואל רוזן, יוסי עין-דור ואהרן ברנע. מהר מאוד נפרצה ההגבלה שקבע קיטל ונבחרת החדשות התחילה לכלול גם עיתונאים מהערוץ הראשון (ביניהם גדי סוקניק) ועם חלוף השנים גם מערוץ 10.
מהדורות החדשות של ערוץ 2 הפכו לפופולריות קצת לאחר הקמת הערוץ. במאי 1994 כבר גברה מהדורת החדשות של ערוץ 2 במדרוג הכולל על זו של הערוץ הראשון. התחרות בין השניים בסיקור אירועים ביטחוניים כמו פיגועים גררה ביקורת ציבורית רבה כיוון שמערכות החדשות עלו מהר לשידור במתכונת גל פתוח ושידרו תמונות לא מצונזרות של חלקי גופות.
למרות התחרות העיקשת בין שני הערוצים, שיתפו שניהם פעולה בעת חתימת הסכם השלום בין ישראל לירדן בסוף אוקטובר 1994. השידור הישיר של חתימת הסכם השלום עם ירדן שודר במשותף בשני הערוצים. שנה לאחר מכן, שיתפו שוב שני הערוצים פעולה כאשר מסע ההלוויה של ראש הממשלה יצחק רבין הועבר בו זמנית בשני הערוצים.
נקודת מפנה בהיסטוריית החברה היא סיקור רצח יצחק רבין שהתרחש ב-4 בנובמבר 1995, בדיוק שנתיים מיום תחילת שידורי הערוץ. כתב החברה דב גיל-הר היה מטרים ספורים ממקום הרצח, ומיד שלח הודעה למכשירי הזימוניות של רוני דניאל ואהרן ברנע שגם היו באותו אזור. בחברה נכנסו לעבודה על פי נוהל חירום, יורם ארבל עלה בהודעה דרמטית ראשונה על האירוע באולפני טלעד, הוא העביר את השידור לגיא זהר באולפן החדשות שהמשיך עם עדכונים ראשונים מהשטח, גדי סוקניק הגיע לאולפן עם השערות ראשוניות, יעקב אילון הוזעק למערכת ונכנס ישירות לאולפן והחליף את זוהר לאחר שזה שידר ארבעים וחמש דקות בקירוב. כתב החברה משה נוסבאום הגיע עם ההודעה הרשמית ועם שמו של המתנקש, כמה דקות לאחר שאילון נכנס לאולפן. לאחר ההודעה על מותו של רבין הועבר השידור לידי רפי רשף ששידר שידור רציף במהלך כל הלילה עד לשעות הבוקר, לאחר מכן קיבל לידיו דן שילון את השידור כשבמהלך היום מחליפים מגישי החברה אחד את השני והמתכונת של הגל הפתוח נמשכת שעות ארוכות וימים רבים.
לאחר הרצח הבינו בערוץ 2 ובחברת החדשות שהתחרות פוגעת בשני הצדדים ולכן החליטו לנסות לאחד כוחות עם חטיבת החדשות של הערוץ הראשון. נחמן שי, מנכ"ל הרשות השנייה לטלוויזיה ולרדיו דאז, יצר קשר עם מוטי קירשנבאום, מנכ"ל רשות השידור, והלה השיב לו בשלילה: "כל אחד יעשה את העבודה שלו". ההחלטה הזו גמלה עם החברה שכן מאז טיפסו אחוזי הצפייה בערוץ.
חודש וחצי לאחר הרצח, קנו חדשות 2 את קטע הווידאו המתעד את מעשה הרצח מידי רוני קמפלר – צלם חובב שתיעד את הרצח. בעבור הקטע שילמה החברה סכום של מיליון שקל. השגת הקטע ושידורו בערוץ הייתה לראשונה נקודת יתרון לערוץ החדש על פני הערוץ הראשון. צופים רבים ביקשו לשדר את הקטע פעם נוספת ובחברת החדשות נענו לקריאות.

1993-1997
The news company was founded in 1993 by the 3 first concessionaires of the commercial channel 2. The company was founded in order to create and provide to channel 2 all the news broadcasts. The first news broadcast was less than 5 minutes long, and it was anchored by Ya'akov Eilon , and it opened the broadcasting of the channel, in November 4, 1993[1]. As result of founding channel 2 it was decided in channel one to move to an earlier hour Mabat, the news broadcast, edition, to eight pm, to renovate the studios of Romema, to create new opening themes and cultural and sports sections and to extend their news broadcast to 50 minutes. The news company was founded by Alon Shalev who was nominated to be its first CEO.
When the company was founded Shalom Kital insisted that no journalist shall transfer to the company from the first channel and gathered employees from other types of media such as the radio or the newspapers. The first journalists of the news company included Ya'akov Eilon, Miki Haimovich, Guy Zohar, Dana Weiss, Gideon Saar, Emanuel Rosen, Yossi Ein-Dor and Aharon Barnea. The limitation that Kital set was broken rather quickly and the news top team began to also include journalists from the first channel (including Gadi Sukenik) and over the years from channel 10 as well.

The news broadcasts of channel 2 became popular shortly after the channel was founded. In May 1994 the channel 2 news broadcast already overcame in the overall rating meter system over the one of the first channel. The competition between the two in coverage of national security events such as terror attacks drew a lot a public critique since the news systems rushed to get on the air in an open wave format and broadcasted uncensored photos of body parts.
Notwithstanding the fierce competition between the two channels, they collaborated with one another when the peace agreement between Jordan and Israel was signed at the end of October 1994. The live broadcast from the signing of the peace agreement with Jordan aired collaboratively in both channels. A year later, the two channels collaborated once more when the funeral procession of the Prime Minister Yitzhak Rabin was aired simultaneously on both channels.
An historical shifting point in the history of the company was the coverage of the murder of Yitzhak Rabin which took place in November 4, 1995; two years exactly after the channel began its broadcasting. The reporter for society matters Dov Gil Har was meters away from the location of the murder, and immediately sent out a notification to the pagers of Roni Daniel and Aharon Brane who were also in the same area. The company entered into work according to an emergency protocol, Yoram Arbel broadcasted on air the first dramatic announcement about the event at Telad Studios. He transferred the broadcast to Guy Zohar in the news studio, who continued with initial updates from what happened on ground. Gadi Sukenik arrived at the studio with preliminary assumptions; Ya'akov Eilon was called to the studio and replaced Zohar after broadcasting after the latter was broadcasting for approximately 45 minutes. Company reporter Moshe Nussbaum arrived with the official announcement and the name of the assassin, a few minutes after Eilon entered the studio. After the announcement of Rabin's death, the broadcast was handed over to Rafi Reshef, who broadcasted a non-stop throughout the entire night until the morning. Afterwards Dan Shilon received the broadcastto his hands, when throughout the course of the day, the anchors of the company replaced one another and the format of open wave went on for long hours and long days.

After the murder it was realized in channel 2 and in the news company that the competition is detrimental to both parties and therefore they decided to try and unite fronts with the news departments of the first channel. Nachman Shai, then CEO of the second authority for television and radio, contacted Moti Kirschenbaum, CEO of the Israeli Broadcasting Authority, and were met with refusal from him: "everyone who does their own work". This decision benefited the company since the rating of watching the channel were on the rise ever since.

A month and a half after the murder, channel 2 news bought the video scene which documented the act of murder from Roni Campler, an amateur photographer who documented the murder. The company paid the sum of Million NIS for the taping. Getting their hands on this footage and broadcasting it over the channel was for the first time an advantage point gained by the channel over the first channel. Many viewers requested to broadcast the footage once more and the news company adhered to the requests.
