Source text - English PREAMBLE
The Preamble shall constitute an integral part of this Agreement and shall be read with it as a single document. The Parties hereto, having full legal capacity to contract, have agreed to form a limited liability company between themselves in the Emirate of Dubai in accordance with the provisions of the Commercial Companies Law No. (2) of 2015 (“Companies Law”) and Law No. (13) of 2011 Regulating Economic Activities in the Emirate of Dubai and the laws issued in amendment thereof, on the following terms and conditions:
Therefore, each of the Parties hereto have agreed to the following:
1. DEFINITIONS
In this Agreement (as defined herein), unless there is something in the subject matter or context inconsistent therewith, the following terms shall have the respective meanings ascribed below:
a) “Agreement”, “this Agreement”, “hereto”, “herein”, “hereby”, “hereunder” and similar expressions refer to this Agreement and not to any particular Article, Section or other portion hereof, and include any and every instrument supplemental or ancillary to or in implement hereof;
b) “Company” means the Company formed pursuant to this Memorandum;
c) “Commercial Register” means the commercial register at the Department of Economic Development;
d) “Directors” means the Director or the Directors of the Company appointed pursuant to this Memorandum;
e) “Partner(s)” means the parties to this Memorandum and any person or legal entity which becomes the holder of a share in the capital of the Company in accordance with the terms of this Memorandum;
f) “Principal Place of Business” means Office No. B532, Saaha Offices, Souk Al Bahar, Dubai, UAE;
1.6. “the Commercial Companies Law”: The Federal Law No. (2) of 2015 concerning commercial companies;
g) “The Department of Economic Development” means The Department of Economic Development in the Emirate of Dubai;
h) “The Law Regulating the Economic Activities” means Law No. (13) of 2011 Regulating the Economic Activities in the Emirate of Dubai and the laws issued in amendment thereof.
2. NAME OF THE COMPANY
The name of the Company shall be “MOMS CREPE FOODSTUFF TRADING L.L.C” (hereinafter referred to as the “Company”).
3. OBJECTS OF THE COMPANY
The Company is engaged in the activities of:
• Food and Beverage Trading
• Snack Food Trading
• Dairy Products Trading
• Fresh, Chilled, and Frozen Meat Trading
• Egg Trading
• Bread and Bakery Products Trading
• Ice Cream Trading
• Mineral Water Trading
• Soft Drinks and Carbonated Water Trading
• Juice Trading
4. MAIN OFFICE AND ADDRESS OF THE COMPANY
The main office and address of the Company shall be in the Emirate of Dubai, UAE, Office No. B532, Saaha Offices, Souk Al Bahar, and the Company may establish branches within or outside the Emirate in accordance with a resolution of the Ordinary General Meeting of the Company and after obtaining the approval of the concerned authorities.
5. THE LEGAL STATUS OF THE COMPANY
a) The Company shall be a limited liability company;
b) The Company shall have a private status and no invitation to the public to subscribe for shares shall be made. The shareholding may not be evidenced by transferable deeds;
c) The Company shall, on its letterhead, and on all documents and materials it uses, mention the words “Limited Liability Company”. It shall also mention its Commercial Registration Number;
d) The liability of the Shareholders shall be limited to the extent of their shares in the capital of the Company. No shareholder shall be personally liable for the Company’s debts or losses.

يعتبر التمهيد يشكل جزءا لا يتجزأ من هذه الاتفاقية ويقرأ معها كمستند واحد. وافق الطرفان، بكامل أهليتهما القانونية للدخول في العقد، على تأسيس شركة ذات مسؤولية محدودة بينهما في إمارة دبي طبقا لأحكام قانون الشركات التجارية رقم (2) لعام 2015 ("قانون الشركات") والقانون رقم (13) لعام 2011 بتنظيم الأنشطة الاقتصادية في إمارة دبي والقوانين الصادرة المعدلة لهما، وذلك بناء على البنود والشروط التالية:
وبناء على ذلك، وافق كلا الطرفين على ما يلي:
1- التعريفات
في هذه الاتفاقية (على النحو المحدد في هذا المستند)، ما لم يكن هناك شيئا في الموضوع أو السياق غير متسق معها، يكون للمصطلحات التالية المعاني الموضوعة لها على النحو المبين أدناه:
أ) "اتفاقية"، "الاتفاقية"، "بهذا المستند"، "في هذا المستند"، "بموجب هذا"، "بموجب هذه الاتفاقية" والتعبيرات المماثلة تشير إلى هذه الاتفاقية وليس إلى أي بند أو مادة معينة أو جزء أخر فيها وتشمل أي وجميع المستندات التكميلية أو الملحقة على أو في تنفيذ هذه الاتفاقية؛
ب) "الشركة" يقصد بها الشركة المؤسسة بموجب عقد التأسيس هذا؛
ج) "السجل التجاري" يقصد به السجل التجاري في دائرة التنمية الاقتصادية؛
د) "المدراء" يقصد بها المدير أو المدراء بالشركة المعينين بموجب عقد التأسيس هذا؛
ه) "الشريك (الشركاء)" يقصد بها أطراف عقد التأسيس هذا وأي شخص أو هيئة قانونية يصبح أو تصبح حاملا للأسهم في رأس مال الشركة طبقا لبنود عقد التأسيس هذا؛
و) "مكان العمل الرئيسي" يقصد به المكتب رقم بي 532، مكاتب الساحة، سوق البحر، دبي، الإمارات العربية المتحدة؛
1-6 "قانون الشركات التجارية": القانون الاتحادي رقم (2) لعام 2015 بشأن الشركات التجارية؛
ز) "دائرة التنمية الاقتصادية" يقصد بها دائرة التنمية الاقتصادية في إمارة دبي؛
ح) "القانون المنظم للأنشطة الاقتصادية" يقصد به القانون رقم (13) لعام 2011 المنظم للأنشطة الاقتصادية في إمارة دبي والقوانين الصادرة المعدلة لها.
2- اسم الشركة
اسم الشركة هو "مومس كريبي فودستاف تريدينج ذ.م.م" (ويشار إليها فيما بعد "الشركة").
3- أهداف الشركة
تزاول الشركة الأنشطة التالية:
• تجارة الأغذية والمشروبات
• تجارة الوجبات الخفيفة
• تجارة منتجات الألبان
• تجارة اللحوم الطازجة والمبردة والمجمدة
• تجارة البيض
• تجارة الخبز ومنتجات المخابز
• تجارة الأيس كريم
• تجارة المياه المعدنية
• تجارة المشروبات الغازية والمياه الغازية
• تجارة العصائر
4- المكتب الرئيسي وعنوان الشركة
يكون المكتب الرئيسي وعنوان الشركة في إمارة دبي، الإمارات العربية المتحدة، مكتب رقم بي 532، مكاتب الساحة، سوق البحر، ويجوز للشركة إنشاء فروع لها في داخل أو خارج الإمارة طبقا لقرار يصدر من الجمعية العمومية العادية للشركة وبعد الحصول على موافقة السلطات المعنية.
5- الكيان القانوني للشركة
أ) تكون الشركة: شركة ذات مسؤولية محدودة؛
ب) يكون للشركة كيان خاص ولا يجوز دعوة العامة للاكتتاب في أسهمها. ولا يجوز إثبات ملكية الأسهم في الشركة من خلال السندات القابلة للتحويل؛
ج) يجب على الشركة أن تذكر الكلمات "شركة ذات مسؤولية محدودة" على أوراقها الرسمية وجميع المستندات والمواد التي تستخدمها كما يجب على الشركة أن تذكر أيضا رقم السجل التجاري؛
د) تكون مسؤولية حملة الأسهم محدودة بمقدار أسهمهم في رأس مال الشركة. ولا يتحمل أي حامل أسهم مسؤولية شخصية عن ديون أو خسائر الشركة.
