The contents of Article 2.5.2 of the Agreement, “The possession of Party B is not subject to any intervention of a third Party and will take precedence of such mortgage or right”, is in contradiction of regulation of Chinese Law.
2.1 Case when the lessee’s right of use takes precedence of the mortgage
In the stipulation of Article 65 of “Judicial Interpretation by the Supreme People’s Court on the Guarantee Law of the People’s Republic of China” (No. 44 ): “In case that the mortgager mortgaged the leased property, at the realization of the right of mortgage, the lease contract is effective to the mortgagee of the property in the lease period.” According to which, only when the mortgage happens after the lease agreement, the lessee’s usage right of the house property take precedence of the right of mortgage during the lease agreement effective period, though the mortgage right realized.
