Until a distribution agreement is signed, X is not obliged to accept any purchase order from you.
X shall sell Products on its standard terms and conditions of sale available at http://www.X.com/customer-support/terms-conditions.html, as may be amended from time to time. Should those terms and conditions conflict with any term of this letter, the term of this letter shall prevail. X may revise the terms and conditions at any time without notice.
The prices for the Products are the standard prices X has adopted for the Territory, or as previously established under a prior pricing arrangement between you and X, if any. Notwithstanding the foregoing, the price shown on the invoice for Products shipped to you shall prevail. X may revise the prices at any time without notice.
You and your employees, agents and representatives understand that it is your obligation to comply with all applicable anti-bribery and anti-corruption laws (and related regulation and guidance), including anti-corruption laws in the Territory, the US Foreign Corrupt Practices Act and the UK Bribery Act (“Anti-Corruption Laws”). By signing this letter you agree that you:
• are committed to conducting its business ethically and lawfully and will comply with all Anti-Corruption Laws;
• acknowledge and confirm that you have read X Code of Business Ethics (found at www.X.com and in Schedule B attached) and will comply with its provisions (and will take reasonable steps to ensure that your employees and agents will so comply);

Interest Rate
The Notes bear interest from the Interest Commencement Date in accordance with the
provisions of this Condition 4.
Subject as provided in these Terms and Conditions, interest shall be payable annually in arrear on each Interest Payment Date, interest shall be payable as provided in this Condition 4.
Interest Accrual
The Notes will cease to bear interest from (and including) the date of redemption thereof
pursuant to Condition 6 unless, upon due presentation, payment and performance of all
amounts and obligations due in respect of the Notes is not properly and duly made, in which
event interest shall continue to accrue, and shall be payable, as provided in these Terms and
Conditions up to (but excluding) the Relevant Date.
The amount of interest payable on a Note in respect of an Interest Period shall be calculated by
reference to the principal amount of such Note (after taking into account any adjustment in
respect of any Converted Amount attributable to such Note and taking into account any
adjustment to such amount during such Interest Period, in each case by reference to the relevant
Conversion Date and Reinstatement Date).
Fixed Interest Rate
For the Fixed Rate Interest Period, the Notes bear interest at the rate of 8.00 per cent. per
annum (the ‘‘Fixed Interest Rate’’).
Where it is necessary to compute an amount of interest in respect of any Note during the Fixed
Rate Interest period for a period which is not a complete Interest Period, such interest shall be
calculated on the basis of a 360 day year of 12 months of 30 days each divided by 360 (30/360)
and, if necessary, rounding the resultant figure to the nearest A0.01 (A0.005 being rounded
upwards).

Taux d'intérêt fixe
Pour ce qui est de la Période d'intérêt à taux fixe, les Obligations portent intérêt au taux de 8.00 pour cent, par an (le « Taux d'intérêt fixe »).
Si les intérêts liés à une Obligation doivent être calculés pour une Période d'intérêt à taux fixe, pendant une période ne représentant pas une Période d'intérêt complète, ils seront calculés sur la base d'une année composée de 360 jours, 12 mois de 30 jours chacun divisé par 360 (30/360) et au besoin, le résultat étant arrondi à la deuxième décimale la plus proche (les demis étant arrondis à la décimale supérieure).

Apart from in an emergency where immediate danger to life is concerned, no person shall carry out switching operations on HV or LV systems unless Authorised to do so.
Some high voltage substations have an emergency trip button located outside the substation, which is provided to enable the incoming supplies to be tripped to OFF in the event of an emergency. Where immediate danger to life is concerned, any person having a justifiable reason may operate this emergency trip. This shall then be reported to the Duty Authorised Person and/or the Controlling / Contract Manager.
Electrical equipment that shows any signs of distress, or considered to be in a dangerous condition shall be isolated remotely and action taken by the Authorised Person (Electrical) to prevent it from being re-connected to the supply of electricity.
Where High Voltage switchgear has a lanyard attachment facility for closing the circuit breaker from a remote point, this should always be used. This is of particular importance when carrying out fault location switching on ring main systems.
Extreme care should be taken when carrying out any switching operation to ensure that the required equipment switchgear has been correctly identified. In the case of any doubt, the switching should not be carried out until clarification has been obtained from an Authorising Engineer (Electrical).
A ‘Safety Programme’ for switching and isolation shall be used whenever planned operational high voltage switching is carried out and for the switching and isolation of high risk, complex, or client critically important low voltage switchboards and power supply systems.

Certaines sous-stations haute tension possèdent un interrupteur de secours, situé à l'extérieur, et permettant de désactiver les sources d'approvisionnement en cas d'urgence. En cas de danger immédiat pour la vie, toute personne ayant un motif valable peut utiliser cet interrupteur de secours. La situation devra ensuite être signalée à la Personne habilitée à cet effet et/ou au Responsable du contrôle / contrat.
Tout équipement électrique présentant des défaillances, ou dont l’état est jugé dangereux, doit être complètement isolé et la Personne autorisée (en électricité) doit prendre des mesures pour éviter qu'il soit à nouveau connecté à la source d'alimentation électrique.
Lorsque l'appareillage de commutation haute tension possède un cordon permettant de fermer le disjoncteur à distance, ce dernier doit toujours être utilisé. Cela est particulièrement important lors de la localisation des défauts de commutation sur les circuits principaux en boucle.
Il faut être très vigilant lors de la réalisation d'une opération de commutation, pour s'assurer de l'identification correcte de l'appareillage de commutation de l'équipement requis. En cas de doute, ne pas effectuer la commutation jusqu'à clarification par un Ingénieur autorisé (en électricité).
Faire recours à un «Programme de sécurité» de commutation et d'isolation, chaque fois qu'une commutation opérationnelle haute tension planifiée est effectuée et dans le cadre de la commutation et de l'isolation des tableaux de commande et des systèmes d'alimentation électrique basse tension, à risque élevé, complexes, ou d'une importance capitale pour le client.
