Source text - English This Professional Consultancy Agreement (the "Agreement") is deemed effective as of -- --- 20-- (the "Effective Date"), by and between:
(1) XXXX, a company incorporated in --- whose registered office is at --- ("XXXX"); and
(2) YYYY, a company incorporated in --- under No. --- whose registered office is at --- ("Supplier").
Recitals
(A) XXXX may wish to obtain from time to time certain professional consultancy services (as further described in the Agreement) provided by Supplier;
(B) Supplier represents that it is an experienced and specialist provider of such services; and
(C) XXXX and Supplier wish to put in place this framework agreement, which sets out the terms and conditions that shall apply between them, with respect to the supply and purchase of such services.
Agreement
In consideration of the mutual covenants contained in the Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties, intending to be legally bound, agree as follows:
1. Definitions
Unless otherwise specifically provided in the Agreement, the following terms shall have the following meanings:[...]
2. Framework Agreement and Statements of Work
2.1 The Agreement sets forth the terms and conditions under which Supplier agrees to provide, and under which XXXX agrees to receive, Services. The content and scope of the Services shall be specified in Statements of Work, drawn up and signed by both Parties from time to time. Each such Statement of Work shall become part of the Agreement when it is signed by both Parties and the provision of the Services set forth therein shall be governed by the terms and conditions of the Agreement. Translation - Spanish El Contrato de Servicios Profesionales de Consultoría (en lo sucesivo, el “Contrato”) se considera en vigor a partir del -- de --- del 20-- (la “Fecha de Entrada en Vigor”), entre:

Declaraciones
(A) XXXX podrá obtener en cualquier momento ciertos servicios profesionales de consultoría (según se describen más adelante en el Contrato) proporcionados por el Proveedor;

Acuerdo
En virtud de las condiciones mutuas contenidas en el presente Contrato, así como otras contraprestaciones válidas y valiosas, cuya recepción y suficiencia se reconocen por el mismo, las partes, con la intención de estar jurídicamente vinculadas, acuerdan lo siguiente:

2. Contrato Marco y Declaraciones de Trabajo
