Source text - English Art.8. Board of managers
The managers shall constitute the board of managers (the Board). The shareholders shall appoint managers of two different classes, i.e. one class A manager and one class B manager.
8.1. Powers of the board of managers
(i) All powers not expressly reserved to the shareholders by the Law or the Articles fall within the competence of the Board, which has full power to carry out and approve all acts and operations consistent with the Company’s corporate object.
(ii) The Board may delegate special or limited powers to one or more agents for specific matters.
8.2. Procedure
(i) The Board shall meet at the request of any manager, at the place indicated in the convening notice, which in principle shall be in Luxembourg.
(ii) Written notice of any Board meeting shall be given to all managers at least twenty-four (24) hours in advance, except in the case of an emergency, in which case the nature and circumstances of such shall be set out in the notice.
(iii) No notice is required if all members of the Board are present or represented and each of them states that they have full knowledge of the agenda for the meeting. A manager may also waive notice of a meeting, either before or after the meeting. Separate written notices are not required for meetings which are held at times and places indicated in a schedule previously adopted by the Board.
(iv) A manager may grant to another manager a power of attorney in order to be represented at any Board meeting.
(v) The Board may only validly deliberate and act if all its members are present or represented. Board resolutions shall be validly adopted only if all members of the Board vote in favour of the resolution. Board resolutions shall be recorded in minutes signed by the chairperson of the meeting or, if no chairperson has been appointed, by all the managers present or represented.
(vi) Any manager may participate in any meeting of the Board by telephone or video conference, or by any other means of communication which allows all those taking part in the meeting to identify, hear and speak to each other. Participation by such means is deemed equivalent to participation in person at a duly convened and held meeting.
(vii) Circular resolutions signed by all managers (Managers’ Circular Resolutions) shall be valid and binding as if passed as a duly convened and held Board meeting, and shall bear the date of the last signature.

Все руководители формируют собой совет руководителей (далее «Совет»). Акционеры назначают руководителей-представителей двух разных классов, т.е. одного руководителя класса А и одного руководителя класса В.
8.1. Полномочия совета руководителей
(i) В компетенцию Совета входят все полномочия, не закреплённые прямо за акционерами Законом или Уставом; при этом Совет имеет полное право утверждать и осуществлять все действия и операции, которые согласуются с корпоративными целями Компании;
(ii) Совет может делегировать специальные или ограниченные полномочия в отношении каких-либо конкретных вопросов одному или нескольким агентам.
8.2. Процедура
(i) Совет проводит собрания по запросу любого руководителя в месте, указанном в уведомлении о созыве собрания, которое, по общему правилу, должно находиться в Люксембурге;
(ii) Письменное уведомление о созыве любого собрания Совета направляется всем руководителям не менее чем за 24 (двадцать четыре) часа до проведения такового, кроме чрезвычайных случаев, в случае чего в уведомлении указываются характер и обстоятельства такого чрезвычайного случая;
(iii) Направлять уведомление не требуется в случае, если на собрании присутствуют или представлены по доверенности все члены Совета и если каждый из них подтверждает свою полную осведомлённость о повестке дня такого собрания. Руководитель также может отказаться от права получать уведомление о собрании как до, так и после собрания. В отношении собраний, проводимых в сроки и в местах, указанных в ранее утверждённом Советом расписании собраний, отдельные письменные уведомления направлять не требуется;
(iv) Руководитель может выдать другому руководителю доверенность на представительство своих интересов на собраниях Совета;
(v) Совет может законным образом обсуждать пункты повестки дня и принимать действительные решения по ним только в том случае, если на собрании присутствуют или представлены по доверенности все его члены. Решения Совета могут быть приняты только в том случае, если за принятие того или иного решения голосовали все члены Совета. Все решения Совета подлежат оформлению в виде протокола собрания, подписываемого председателем собрания, а в случае если председатель назначен не был – всеми руководителями, присутствующими лично или представленными по доверенности;
(vi) Любой руководитель может принимать участие в любом собрании Совета по телефону, по видеоконференции или с использованием любых других средств связи, которые позволяют всем принимающим в собрании участие идентифицировать друг друга, слышать друг друга и говорить друг с другом. Участие в собрании с использованием таких средств связи считается эквивалентным личному участию в должным образом созванном и проведённом собрании;
(vii) Заочно принятые решения, подписанные всеми руководителями (далее «Заочно принятые руководителями решения») являются юридически действительными и имеют обязательную силу таким же образом, как если бы они были приняты на должным образом созванном и проведённом собрании Совета; датой принятия любого такого Заочно принятого руководителями решения является дата подписи, поставленной на нём последней.

Source text - English The aggregate amount of the pledged Receivables equals to RUB 10 999 967 906,81 as at the date of this Agreement (the “Security Coverage”), which is equal to the total outstanding amount of the principal and accrued interest of the Receivables as at the date of this Agreement.
The Parties have agreed that the fair value of the Security Coverage is treated to be RUB 10 999 967 906,81 until 16 February 2014. The Pledgor shall submit to the PPF Group a summary of the pledged Receivables in the form of the Receivables Listing as follows:
(a) On the date of this Agreement the Pledgor shall submit to the PPF Group the Receivables Listing containing information of the Pledged Assets.
(b) no later than on the 10th Business Day of each calendar month during the Security Period, the Receivables Listing updated as at the end of the previous month (“Updated Pledged Receivables”) adjusted to remove the Receivables under the Contracts that have been repaid during the preceding month.
(c) The PPF Group shall treat the personal data provided by the Pledgor in relation to each Contract as confidential information and is not entitled to use or disclose the confidential information provided by the Pledgor for any other purpose except as contemplated under this Agreement or required by law provided that the PPF Group provides reasonable advance notice of any disclosure.

Стороны договорились считать справедливый Размер обеспечения равным 10 999 967 906,81 руб. вплоть до 16 февраля 2014 года. Залогодатель обязан подать Группе ППФ сводку всех заложенных Дебиторских задолженностей в форме Списка дебиторских задолженностей в следующие сроки:
(a) В дату заключения настоящего Договора Залогодатель подаёт Группе ППФ Список дебиторских задолженностей, содержащий всю информацию о Заложенных активах.

«6. ОБРАЩЕНИЕ ВЗЫСКАНИЯ НА ПРЕДМЕТ ЗАЛОГА
6.1. Обращение взыскания
При возникновении основания для обращения взыскания на Предмет залога Залогодержатель вправе обратить взыскание на Предмет залога по исполнительной надписи нотариуса без обращения в суд (внесудебный порядок обращения взыскания).
6.2. Реализация Предмета залога
Реализация Предмета залога осуществляется по выбору Залогодержателя либо путем оставления Предмета залога за собой, либо путем продажи Предмета залога третьему лицу Залогодержателем или комиссионером, действующим на основании заключенного между ним и Залогодержателем договора комиссии, либо путем продажи на торгах.
6.3. Цена Предмета залога
При реализации Предмета залога любым способом, выбранным Залогодержателем согласно настоящему Договору, цена Предмета залога устанавливается равной его рыночной стоимости, определяемой на основании отчета оценщика, составленного в соответствии с ФЗ «Об оценочной деятельности в Российской Федерации» и Федеральным стандартом оценки. Кандидатура оценщика определяется Залогодержателем самостоятельно, при этом оценщик должен удовлетворять требованиям ФЗ «Об оценочной деятельности в Российской Федерации».

To ensure disposal of the Pledge at the Pledgee’s option by any means listed herein above, price of the Pledge shall be deemed equal to its market value determined in an appraiser’s report executed in compliance with the Appraisal (Assessment) Activities in the Russian Federation Federal Act and with the Federal Appraisal (Assessment) Standards. The Pledgee may at its sole discretion choose an appraiser provided that the appraiser chosen satisfies certain criteria under the Appraisal (Assessment) Activities in the Russian Federation Federal Act.
