We refer to the meeting in 9/6/2000, regarding the subject in reference.
The (name of the company) provides technical consulting services and, as such is subject to the payment of Tax on Services of any nature ("TSS”).
Currently (name of the company) has a single establishment services provider located in the city of Sao Paulo, being subject to the ISS at a rate of 5% rate.
According to your knowledge, this partnership intends to transfer the company’s headquarters to the city of Barueri, maintaining the establishment in the city of Sao Paulo as an affiliate .
In the establishment located in the city of Sao Paulo, would remain employees related to contracts for services performed exclusively in the city of São Paulo and other administrative departments of the company.
According to your knowledge for the new establishment service provider located in the City of Barueri would be transferred some employees and directors in contracts to provide services which will be held outside the city of São Paulo.
In this scenario, in our view, it would be possible to sustain that the turnover resulting from services rendered from the establishment located in the city of Barueri should be subject to the ISS in accordance with the legislation of that city, provided that:
• The establishment located in Barueri fulfils the conditions for providing the contracted services, having employees and infrastructure necessary to regulate the provision of such services;
• Contracts for the provision of services are there agreements; and
• The services provided by the establishment of Barueri are not conducted in the city of São Paulo.
We emphasize, however, that this understanding does not remove the risk of the tax authorities in other local cities try to require the ISS on the price of the service provided by (name of company) from the establishment of Barueri, under the pretext that such services were actually rendered in those cities.
In our view, since observed the previous comments, the turnover resulting from services rendered from the establishment located in the city of Barueri should be subject so ISS In accordance with tax legislation of the local authority

Prezados Senhores,Reportamo-nos à reunião de 6.9.2000, a respeito do assunto em referência.
A (nome da empresa) presta serviços de consultoria técnica e, nessa condição, está sujeita ao pagamento do Imposto sobre Serviços de qualquer natureza (“TSS”).
Atualmente, a (nome da empresa) possui um único estabelecimento prestador de serviços localizado no município de São Paulo, estando sujeito ao ISS à alíquota de 5%.
De acordo com as informações de V. Srªs., essa sociedade pretende transferir a sede social da empresa para o município de Barueri, mantendo o estabelecimento no município de São Paulo como uma filial.
No estabelecimento localizado no município de São Paulo permaneceriam os empregados relacionados com contratos de prestação de serviços executados exclusivamente no município de São Paulo e outros departamentos administrativos da empresa.
De acordo com informações de V. Sªs., para o novo estabelecimento prestador de serviços localizado no município de Barueri seriam transferidos alguns empregados e diretores além de contratos de prestação de serviços cuja execução será realizada fora do município de São Paulo.
Nesse cenário, a nosso ver, seria possível sustentar que o faturamento decorrente dos serviços prestados a partir do estabelecimento localizado no município de Barueri deveria estar sujeito ao ISS de acordo com a legislação daquele município, desde que: (i) o estabelecimento localizado em Barueri reúna condições para prestar os serviços contratados, tendo empregados e infraestrutura necessária para a regular prestação desses serviços; (ii) os contratos de prestação de serviços sejam ali celebrados; e (iii) os serviços prestados pelo estabelecimento de Barueri não sejam executados no município de São Paulo.
Ressaltamos, contudo, que esse entendimento não afasta o risco de as autoridades fiscais de outros municípios tentarem exigir o ISS sobre o preço do serviço prestado pela (nome da empresa) a partir do estabelecimento de Barueri, sob o pretexto de que tais serviços foram efetivamente prestados naqueles municípios.
A nosso ver, desde que observados os comentários anteriores, o faturamento decorrente dos serviços prestados a partir do estabelecimento localizado no município de Barueri deverá estar sujeito so ISS de acordo com a legislação fiscal daquele município.
