Source text - English 7 – COLLATERAL FOR THE BANK
7.1 The Client undertakes to grant a Security Interest, and herewith grants a Security Interest over all:
i) present and future claims the Client now or at any time in the future has or acquires against the Bank, and
ii) assets, financial instruments, documents and monies or other goods held for or on behalf of the Client by the Bank or by a third party on behalf of the Bank, as security for all present and future amounts, whether or not contingent, the Client owes or will owe to the Bank at any given moment, howsoever arisen. The Bank herewith accepts such Security Interest.
7.2 The Client herewith grants the Bank an irrevocable power of attorney (with the right of delegation) to create and perfect on behalf of the Client a Security Interest to the Bank over all claims, assets, financial instruments, documents and monies or other goods as indicated in Clause 7.1 above.
7.3 The Client represents and warrants that it is entitled to grant and create the Security Interest as indicated in this Clause 7 and that all the assets, financial instruments, documents and monies and other goods are free of any rights and claims of any third party, either now or in the future, unless the Bank has explicitly agreed otherwise.
7.4 Subject to applicable law, the Client undertakes to provide the Bank immediately upon request additional collateral, in a form, format, level and with the signing of such documents and agreements as required by the Bank, for all existing and future amounts that the Client owes the Bank.
8 – RIGHT OF SET-OFF OF THE BANK
8.1 To the extent permitted by applicable law and regulation, the Bank shall at all times be entitled to set-off any amount owed by the Client to the Bank, whether or not due and payable and whether or not contingent, against any amount owed by the Bank to the Client, whether or not due and payable and whether or not contingent, regardless of the currency in which such amounts are denominated or the law governing such obligation. Amounts in different currencies are set-off at the exchange rate as at the date of set-off as determined by the Bank.
8.2 The Bank will use reasonable efforts to inform the Client in advance that it intends to exercise its right of set-off.
Translation - Spanish 7 – GARANTÍA PARA EL BANCO
7.1 El Cliente se compromete a constituir una Garantía Real, y en virtud de la presente constituye una Garantía Real sobre lo siguiente:
i) todos los derechos presentes y futuros que el Cliente tenga o adquiera frente al Banco ahora o en cualquier momento futuro, y
ii) todos los activos, instrumentos financieros, documentos y fondos o cualquier otro bien que tuviera el Banco, o un tercero en nombre y representación del Banco, tanto del Cliente como en nombre del Cliente, como garantía respecto de todas las cantidades presentes y futuras, sean o no contingentes, que el Cliente le deba o pueda deber al Banco en cualquier momento y en cualquier modo en el que pudieran surgir. El Banco acepta por el presente dicha Garantía Real.
7.2 Por el presente el Cliente le otorga al Banco un poder de representación irrevocable (con facultad de delegación) para constituir y perfeccionar en nombre del Cliente una Garantía Real para el Banco sobre todos los derechos, activos, instrumentos financieros, documentos y fondos o cualquier otro bien tal y como aparecen expresados en la Cláusula 7.1.
7.3 El Cliente declara y garantiza que está autorizado a constituir y otorgar la Garantía Real tal y como se indica en esta Cláusula 7 y que ninguna tercera parte ostenta derecho alguno ni ha interpuesto reclamación alguna sobre ninguno de los activos, instrumentos financieros, documentos, fondos u otros bienes, ni lo hará en el futuro, salvo que el Banco diese su consentimiento expreso en contrario.
7.4 De conformidad con la normativa vigente, el Cliente se compromete a proporcionar al Banco garantías adicionales de manera inmediata a petición de este en la forma, modalidad y valor y mediante la firma de los documentos y contratos que el Banco solicite para todas las cantidades que el Cliente le deba ahora o le pueda deber en el futuro.
8 – DERECHO DE COMPENSACIÓN DEL BANCO
8.1 En la medida en que la normativa aplicable lo permita, el Banco ostentará en todo momento el derecho de compensación de cualquier cantidad que el Cliente le deba, sea o no vencida y exigible o sea o no contingente, frente a cualquier cantidad que el Banco le deba al Cliente, sea o no vencida y exigible o sea o no contingente, independientemente de la divisa en la que se denominen dichas cantidades y de la ley aplicable a dichas obligaciones. Las cantidades en diferentes divisas se compensarán según el tipo de cambio en la fecha en la que se realice la compensación según se determine por el Banco según este tenga publicado o de cualquier otra forma que haya puesto a disposición del Cliente.
8.2 El Banco hará todo lo posible para informar al Cliente con antelación de su intención de ejercitar su derecho de compensación.
