8.1 Any collateral agreements, amendments or additions shall not be valid unless agreed in writing.
This also applies to the waiving of this written form requirement.
8.2 Rights and obligations arising from this contract may be transferred with the prior agreement of the other remaining parties or, after the withdrawal of a party, with the prior agreement of the remaining party.
8.3 Should any provision of this contract be invalid, this shall not affect the validity of the remaining clauses of this agreement.
8.4 The provisions of the Section 705 et seq BGB (German Civil Code) shall not apply with respect to the cooperation.
This agreement does not create any obligations under company law, nor does it create any rights to participate in a company.
8.5 The law of the Federal Republic of Germany applies, under exclusion of the UN Sales Convention.
8.6 The place of jurisdiction is Berlin.

(1) Nebenabreden, Änderungen und Ergänzungen bedürfen der Schriftform.
Das gilt auch für einen Verzicht auf dieses Schriftformerfordernis.
(2) Die Übertragung von Rechten und Pflichten aus diesem Vertrag ist mit vorheriger Zustimmung der anderen verbleibenden Parteien oder nach Ausscheiden einer Partei mit vorheriger Zustimmung der verbleibenden Partei möglich.
(3) Sollte eine Bestimmung dieses Vertrages unwirksam sein, so berührt dies die Wirksamkeit der übrigen Bestimmungen des Vertrages nicht.
(4) Die Vorschriften der §§ 705 ff BGB finden auf die Zusammenarbeit keine Anwendung.
Durch diese Vereinbarung werden keine gesellschaftsrechtlichen Pflichten begründet und auch keine Ansprüche auf Beteiligung an einem Unternehmen geschaffen.
(5) Es gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts.
