PT XXX Tbk is committed to increasing its value to customers, employees and shareholders by profitably providing beneficial products and services to markets. We will fulfill this commitment while upholding the highest level of ethical conduct and meeting our responsibilities as a good corporate citizen. Although laws and customs will vary in the many countries in which we operate, our basic ethical responsibilities are unchanged. The Company’s ethical standards are set forth in this Guide. Under PT XXX Tbk ethical standards, Company employees share certain responsibilities, but individually each is accountable for:
1. Becoming familiar with and conducting Company business in compliance with applicable laws.
2. Adhering to Company standards for protecting the environment and the safety and health of our employees, our customers, our communities and our contractors.
3. Treating all customers and suppliers in an honest and fair manner.

Source text - English HOW TO COME OUT OF THE ECONOMIC CRISIS ‘EVEN STRONGER’
Dear Team,
As we get closer to year end, I want to share with you briefly:
• How we have performed so far in 2008
• The implications of the recent global economic crisis
• How our company is positioned to manage this period
• And finally, our action plan as a team on how to come out of this period, ‘even stronger’
2008 results… Economic Crisis
First of all, the good news – our September year-to-date results are still in line with our 2008 targets, both in terms of Sales and Profitibility. Sales reached $738 million and operating profits 12% - both figures are slightly better than budget.
But then, the bad news – the financial crisis which started in early October, turned rapidly into an economic crisis, bringing a sudden drop to all economic activities around the. To give an example, the main end-use for our product, automobiles, faced between 20-30 % decreases in the month of October alone – this is a very drastic decrease, and the predictions are that years 2009 and 2010 will be ‘no growth’ years for the global economy – all economic publications confirm this is the most significant economic slowdown of the world economy since World War 2.
What does all this mean for our global company?
We have a number of strengths going into this challenging period.
First, our financial resources are very strong. This is an advantage for us, during a period where most companies are having difficultiy finding bank loans. We will be able to run our operations and fund our strategic initiatives without any credit difficulty.
Second, the capacity of our main business is still balanced with supply. Our demand will decrease in 2009, but we will face less difficulty compared to industries with already excess capacity.
Third, we are the industry leader, with very strong relations with our customers and still investing into the future of reinforcement materials. Our customers will look for lower price offers in this period aggressively, but they will still value their long term relationship with us.
Finally, our industry will go a tough time, with financially weaker companies potentially facing bankruptcy in the near future. Kordsa Global, as the industry leader with the strong financial support of Sabanci Group, will be in the right position to consider opportunities to consolidate our industry.
But, regardless of our strengths, our main customers, tire companies, are facing a very difficult time, and if we don’d support them well during this period, we might easily lose our strength above.
Our Action Plan
Again, regardless of our strengths, our action plan in 2009 and potentially in 2010, will be:
We will need to be very careful with our costs everywhere in the organization, as well as our market share and pricing, in order to manage the economic downturn. If our customers decide to reduce their production, we will need to adapt our production levels as well, to their needs.
Our strategy and vision does not change. We will continue to invest into our strategic initiatives, particularly in employee development, our global process efficienies, and expansion in Asia. The only thing we may do differently is, change the timing priorities in our investment plan.
Particularly now, more important than ever, we need to leverage our global structure, to be more cost efficient and service our global customers in a better way. Hence, all sites and functions must accelerate their ‘global practice’ implementation programs.
Most critical action, for all employees, our customer will go through a very tough time, hence we need to double our efforts to listen to them and provide service, much better than competition. Let’s keep in mind – some of our competitors will be in ‘survival mode’ and will attack to get business from us. We will be ready for this, by providing much better service.
In conclusion, I want to share with you, my confidence and belief in our global company’s position, entering this economic crisis, and coming out of it, ‘EVEN STRONGER’. All we need to do is, focus on our action plan as ONE TEAM, to realize a BETTER FUTURE for our company.

2. Serikat Pekerja
Adalah organisasi yang di dalam hubungan kerja mewakili kepentingan, hasrat dan kebutuhan Pekerja yang menjadi anggotanya. Dalam hal ini disebut Serikat Pekerja Kimia Energi Pertambangan, Unit Kerja PT Indo Kordsa Tbk yang beralamat di Jl. Pahlawan, Desa Karang Asem Timur, Kecamatan Citeureup - Bogor.
3. Pekerja
Adalah setiap orang yang mempunyai hubungan kerja dengan Perusahaan dan menerima tugas-tugas atau pekerjaan tertentu serta untuk ini menerima upah / penghasilan sesuai dengan yang telah ditetapkan.
4. Pekerjaan
Adalah suatu kegiatan yang dilakukan oleh Pekerja berdasarkan tugas serta tanggung jawab yang diberikan oleh Pengusaha dan untuk itu ia mendapatkan upah.
5. Hari
Adalah jangka waktu dua puluh empat jam yang dimulai sejak pukul 00.00 hingga pukul 24.00
6. Siang Hari
Adalah jangka waktu mulai pukul 06.00 hingga 18.00
7. Malam Hari
Adalah jangka waktu mulai pukul 18.00 hingga 06.00
8. Hari Kerja Biasa
Adalah hari kerja yang memuat jam-jam kerja biasa yang ditentukan bagi seorang Pekerja.
9. Jam Kerja
Adalah saat-saat dimana Pekerja ditetapkan dan diwajibkan berada di tempat kerja / Perusahaan untuk melakukan sesuatu pekerjaan yang diperintahkan oleh Perusahaan.
10.Hari Istirahat
Adalah hari pada saat Pekerja dibebaskan dari tugas pekerjaannya sehari-hari.
11.Hari Libur
Adalah hari-hari yang ditetapkan oleh Pemerintah sebagai hari libur resmi pada tiap tahun takwim.
12.Kerja Shift
Adalah kerja pada waktu Pekerja bekerja menurut jadual kerja secara bergiliran dan teratur, menurut skala kerja yang telah ditetapkan oleh Perusahaan dengan jumlah jam kerja yang sama untuk setiap hari kerja, dengan hari istirahat mingguan tidak seharusnya jatuh pada hari yang sama antara Pekerja yang satu dengan Pekerja yang lainnya, baik dalam satu regu, satu bagian ataupun antar departemen dan tidak bertentangan dengan Peraturan Perundangan yang berlaku.
13. Kerja Normal (Nonshift)
Adalah pekerjaan yang diatur dengan kerja delapan jam kerja sehari dan empat puluh jam kerja seminggu selama lima hari kerja dari hari Senin hingga hari Jumat.
14 Kerja Lembur
14.1.Adalah pekerjaan di luar jam kerja biasa yang telah ditetapkan oleh Undang-Undang.
14.2.Adalah pekerjaan yang dilakukan pada hari-hari istirahat mingguan dan pada hari besar / libur resmi.
15.Jam Lembur
Adalah jam dimana seorang Pekerja melakukan pekerjaan lembur atas perintah atasannya, dengan pembulatan lima belas menit ke atas menjadi setengah jam, dan kurang dari lima belas menit tidak diperhitungkan.
16. Keluarga
Adalah istri atau suami dengan maksimal tiga orang anak yang menjadi tanggungan sepenuhnya dari seorang Pekerja.
17. Istri atau Suami
17.1.Adalah seorang istri atau suami yang sah sebagaimana yang terdaftar pada Bagian Personalia dan telah disahkan oleh yang berwenang.
17.2.Perusahaan hanya mengakui seorang istri atau suami yang terdaftar di Perusahaan.
18. Anak
18.1.Semua anak Pekerja yang sah, yang ditanggung sepenuhnya oleh Pekerja yang bersangkutan, belum menikah, masih sekolah atau belum bekerja dan maksimum berumur dua puluh satu tahun (saat berulang tahun ke 21).
18.2.Anak Pekerja wanita yang ditinggal mati oleh suaminya selama Pekerja wanita yang bersangkutan tidak atau belum menikah lagi, atau Pekerja wanita yang diceraikan secara sah oleh suaminya dimana oleh Pengadilan dan atau Pengadilan Agama diputuskan, bahwa anak yang bersangkutan adalah menjadi tanggungan Pekerja wanita sepenuhnya.
19. Anak Angkat
19.1.Anak angkat dapat dianggap sebagai anak sah yang ditanggung Pekerja, apabila hal ini dikuatkan dengan suatu keputusan Pengadilan.
19.2.Jumlah anak angkat yang dapat diakui oleh Perusahaan dibatasi pada satu anak saja.
20. Ahli Waris
20.1 Adalah suami atau istri atau anak atau anak angkat yang terdaftar di Perusahaan untuk menerima atau untuk mengurus segala sesuatu dengan Perusahaan, dalam hal yang berhubungan dengan kematian.
20.2 Atau orang yang menurut hukum yang berlaku dan ditetapkan sebagai ahli waris dalam hal tidak ada penunjukkan oleh Pekerja.
21. Atasan Langsung
Adalah pimpinan dari tiap-tiap Pekerja yang langsung membawahi Pekerja tersebut.
22. Upah
Adalah pembayaran yang diperoleh para Pekerja sebagai imbalan atas pekerjaan yang telah dilakukan dan yang besarnya telah ditetapkan sebelumnya untuk jangka waktu tertentu.
23. Upah Lembur
Adalah upah yang dibayarkan kepada Pekerja yang melaksanakan kerja lembur sesuai Surat Perintah Lembur yang sah.
24. Tunjangan
Adalah pemberian bantuan sosial (tidak tetap) oleh Pengusaha yang tidak termasuk dalam penetapan upah.
25. Pengobatan
Adalah pemeriksaan dan atau tindakan yang dilakukan oleh Dokter terhadap Pekerja atau istri Pekerja atau anak Pekerja (tanpa menginap).
26. Perawatan
Adalah rawat inap atau tindakan khusus lainnya yang dilakukan oleh Rumah Sakit yang ditunjuk.
27. Biaya Pengobatan / Rawat Jalan
Adalah biaya yang dikeluarkan untuk tindakan pemeriksaan fisik atau Laburatorium atau pengobatan dan tindakan lainnya bila dianggap perlu.
28. Biaya Perawatan / Rawat Inap
Adalah biaya yang dikeluarkan selama rawat inap di rumah sakit, meliputi pemeriksaan, Laburatorium, obat-obatan ataupun tindakan operasi dan biaya ambulance selama yang bersangkutan masih dalam rawat inap.
29. Bonus
Adalah sejumlah uang yang diberikan kepada Pekerja apabila Perusahaan memperoleh keuntungan yang telah disetujui oleh RUPS.
30. Usia Pensiun
Adalah ketentuan batas usia kerja / pensiun sesuai dengan Undang-Undang yang berlaku.
31. Jamsostek
Adalah Jaminan Sosial Tenaga Kerja sesuai dengan Undang-Undang yang berlaku.
32. Koperasi Karyawan (KOPKAR)
Adalah usaha ekonomi bersama di lingkungan Pekerja PT Indo Kordsa Tbk yang berbadan hukum dengan tujuan untuk meningkatkan kesejahteraan Pekerja atau para anggotanya.
33. Bipartit
Adalah lembaga di dalam Perusahaan yang merupakan forum komunikasi, konsultasi dan musyawarah yang anggotanya terdiri dari unsur Pengusaha

PREAMBLE
In realizing the Pancasila Industrial Relation into daily life pursuance to the message contained in the Pancasila and the 1945 Constitution, Employer and Worker Union assume a great responsibility to promote and maintain the principles of equality, fairness and equitably for all Workers in the Company based on their respective capacity, responsibility and skill.
Both Employer and Workers jointly agree to increase the success of nation building through quality and work productivity. Establishment of manpower, work order and work efficiency is expected to create a life welfare increase security appropriate for all Workers and steady development for the Company in line with the development idea of the Republic of Indonesia.
In order to realize the above principles and objectives a good cooperation with mutual respect and trust with good faith in all matters is required. Therefore, it is essential for both parties to understand and give respect to the above principle as partnership basis and mutual responsibility.
Based on mutual belief and awareness and responsibilities of Employer and Worker Union in pursuance of the above idea and in order to establish, maintain and secure the steadiness of the healthy, harmonious and balanced industrial relation in the Company, herewith, we PT Indo Kordsa Tbk and the Affiliate Companies and Worker Union of Chemical, Energy and Mining, Work Unit of PT Indo Kordsa Tbk agree to determine the Collective Labour Agreement VI (sixth) as contained in the articles of this Collective Labour Agreement together with its attachments.
DEFINITIONS
1. Employer
Shall be the Management of PT Indo Kordsa Tbk and the Affiliate Companies with domicile addresses:

2. Worker Union
Shall be an organization, within the work relation, representing the interest, desire and necessity of Worker being its member. In this matter called as Worker Union of Chemical, Energy and Mining, Work Unit of PT Indo Kordsa Tbk having address at Jl. Pahlawan, Desa Karang Asem Timur, Kecamatan Citeureup – Bogor.
3.Worker
Shall be any person having work relation with the Company and accepting duties or certain job and receiving specified wage / pay.
4.Work
Shall be an activity carried out by Worker based on duties and responsibility given by Employer, and for such purpose he / she shall receive wage / pay.
5.One Day
Shall be a time period of 24 hours from 00.00 to 24.00.
6.Day
Shall be a time period from 06.00 to 18.00.
7. Night
Shall be a time period from 18.00 to 06.00.
8.Ordinary Working Day
Shall be a day containing ordinary working hours as specified for Workers.
9. Working Hours
Shall be hours within which a Worker is determined and required to be in the work place / Company to carry out work ordered by the Company.
10.Day Off
Shall be a day within which a Worker is relieved from daily duties.
11.Holiday
Shall be a day specified by the Government as official holiday in each calendar year.
12.Working in Shift
Shall be working at the time Worker is working regularly in shift according to the work schedule pursuant to the work scale determined by the Company at the same number of working hours for each working day with weekly day off that should not fall on the same day between one Worker and another Worker, either in one group, one section or inter-departments which is not contrary to the prevailing legislation.
13.Non-Shift Working
Shall be a work arranged at 8 working hours per day and forty working hours per week for five working days from Monday to Friday.
14.Overtime Work
14.1.Shall be a work outside ordinary working hours as specified by the laws.
14.2.Shall be a work carried out on weekly day off and on official holiday.
15.Overtime Hours
Shall be hours within which a Worker is carrying out overtime work on his / her superior’s order, with rounding up of 15 minutes to one half hour, and less than 15 minutes shall not be counted.
16.Family
Shall be the wife or husband with maximum of three children being the full dependents of a Worker.
17.Wife or Husband
17.1.Shall be a legitimate wife or husband as recorded in the Personnel Section and has been approved by the competent agency.
17.2.The Company shall only acknowledge one wife or husband as registered in the Company.
18.Children
18.1.All Worker’s legitimate children being the full dependents of the Worker concerned, not yet married, still studying or not working and maximum of 21 years of age (on the 21st birthday).
18.2.Female Worker’s child (children) whose father passed away, and the female Worker concerned has not yet married again, or Female Worker legally divorced by her husband in which the Court or Religious Court determined that the related child (children) become the full dependents of the female Worker.
19. Adopted Child
19.1.An adopted child can be considered as legitimate child being the dependent of Worker, if it is strengthened by a Court Judgment.
19.2.The Company shall approve one adopted child only.
20. Heir(s)
20.1.Shall be husband or wife or child (children) or adopted child recorded in the Company to receive or arrange all matters with the Company relating to the death of a Worker.
20.2.Or a person who is, according to the prevailing laws, determined as legal heir(s) in the event that there is no one designated by the Worker.
21.Direct Superior
Shall be a leader of each Worker directly leads the Worker concerned.
22.Wage
Shall be the payment received by Worker as compensation for the work completed by Worker, which amount has been fixed for certain time period.
23.Overtime Pay
Shall be wage paid to Worker carrying out overtime work pursuant to the formal overtime work order.
24.Allowances
Shall be (unfixed) social benefits given by Employer to Worker not included in the fixation of wage.
25.Medical Treatment
Shall be examination or action taken by a Doctor against Worker or Worker’s wife or husband or Worker’s child (children) (without staying overnight in the hospital).
26.Hospitalization
Shall be overnight treatment or other special treatment conducted by a designated hospital.
27.Treatment Cost / Day Treatment
Shall be the costs incurred for physical examination, laboratory or medical treatment and other actions as required.
28.Treatment / Overnight Treatment Costs
Shall be costs incurred during overnight treatment in a hospital, covering examination, laboratory, medicines as well as surgury and costs of ambulance during the person concerned is still in overnight treatment.
29.Bonus
Shall be an amount of moneys given to Worker if the Company gains profit as agreed to by General Meeting of Shareholders.
30.Pension Age
The fixation on work age limit / pension according to the prevailing laws.
31.Manpower Insurance
Shall be Manpower Social Security according to the prevailing laws.
32.Workers Cooperative (KOPKAR)
Shall be a Collective Economic Business within PT Indo Kordsa Tbk’s Workers in the form of legal body with the objectives to increase Workers’ or its members’ welfare.
33.Biparty Forum
Shall be a forum within the Company, being a communication, consultative and meeting forum whose members consist of Employer and Workers elements.

Clinging to the past
There is a school of thought among psychologists and behavioral consultants that we can understand a lot about our errant behavior by delving into our past, particularly our family dynamics. This is the school that believes “when it’s hysterical, it’s historical.”
If you’re a perfectionist or constant approval seeker, it’s because your parents never said you were good enough. If you operate above the rules and feel you can do no wrong, it’s because your parents doted on you and inflated your importance. If you freeze around authority figures, it’s because you had a controlling mother. And so on.
That school is on permanent recess here.
I don’t have much patience with “therapy” that clings to the past – because going backwards is not about creating change. It’s about understanding.
One of my earliest clients used to spend hours telling me, “Marshall, you don’t understand. Let me explain why I have these issues. Let me explain my mother and father.” It was one long unendurable whine. Finally, I reached into my pocket for a coin and said, “Here’s a quarter. Call someone who cares.”
Don’t get me wrong. There’s nothing wrong with understanding. Understanding the past is perfectly admissible if your issue is accepting the past. But if your issue is changing the future, understanding will not take you there. My experience tells me that the only effective approach is looking people in the eye and saying, “If you want to change, do this.”
But even with the blunt talk, clients who cling to the past – who want to understand why they are the way they are – remain my toughest assignments. It takes me a long time to convince them that they can’t do anything about the past. They can’t change it, or rewrite it, or make excuses for it. All they can do is accept it and move on.
But for some reason, many people enjoy living in the past, especially if going back there lets them blame someone else for anything that’s gone wrong in their lives. That’s when clinging to the past becomes an interpersonal problem. We use the past as a weapon against others.
For example, how many of us have tried to impress our colleagues or loved ones with our near-photographic recall of their previous sins? We itemize each error, each oversight, each breach of decorum as if it happened yesterday, thinking that in sharing the memories we will help our colleagues or partners change their behavior. If you’ve ever done this, how effective was it?
It’s more annoying than effective – by miles – because whether we articulate it or not, when we hear our past sins recounted with such fervor, our only response is, “That happened a long time ago. There’s nothing I can do about it now. Let it go.”
