Franchisor hereby grants to Franchisee, upon the terms and conditions in this Agreement, the right and license, and Franchisee hereby accepts the right and obligation, to operate a Café under the Marks and the System in accordance with this Agreement (the "franchised business"). Franchisee and the Controlling Principals have represented to Franchisor that they have entered this Agreement with the intention to comply fully with the obligations to construct a Café hereunder. Franchisee and the Controlling Principals understand and acknowledge that Franchisor has granted such rights in reliance on the business skill, financial capacity, personal character of, and expectations of performance hereunder by Franchisee and the Controlling Principals and that this Agreement and the rights and obligations hereunder may not be transferred until after the Café is open for business to the public and in accordance with terms set forth in this Agreement.
Translation - Arabic الحقوق الممنوحة:
يمنح مانح الامتياز بموجب هذه الاتفاقية حق تشغيل مقهى ورخصة تشغيله بموجب شروط وأحكام هذه الاتفاقية، ويقبل حامل الامتياز الحق في تشغيل المقهى والالتزام بتشغيله بموجب الشروط والأحكام الواردة في هذه الاتفاقية ("النشاط التجاري المُرخص"). تعهد حامل الامتياز والمفوضون بالإدارة إلى مانح الامتياز بأنهم أبرموا هذه الاتفاقية بنية الامتثال التام والالتزام بإنشاء مقهى بموجب هذه الاتفاقية وليس بغرض إعادة بيع حقوق تطوير المقهى بموجب هذه الاتفاقية. يفهم حامل الامتياز والمفوضون بالإدارة ويقرون بأن مانح الامتياز منح هذه الحقوق استنادًا إلى مهارات إدارة الأعمال التي يتمتع بها حامل الامتياز والمفوضون بالإدارة، لا سيما ملاءتهم المالية وبصمتهم الإدارية المميزة وتوقعات أداءهم بموجب هذه الاتفاقية ولا يجوز التنازل عن هذه الاتفاقية والحقوق والالتزامات الواردة فيها لحين افتتاح المقهى أمام الجمهور ووفقًا للشروط الواردة فيها.

Source text - Arabic لما كان الطرفان المتداعيان تصادقا على وقوع المخالعة الرضائية فيما بينهما في النبك 19/6/2021 وأنهما تبادلا ألفاظها المقررة شرعًا وقانونًا على بدل قدره (خمسون) ليرة سورية وذلك بعد الدخول وكانت المخالعة عقد ثنائي بين الطرفين ولا تتم إلا بإيجاب وقبول ولما كان قد تبين من صك المخالعة المبرز أن الزوج خلع من عصمته وعقد نكاحه على براءة ذمته من كافة الحقوق الزوجية بما فيها معجل المهر ومؤجله ونفقة العدة والأشياء الجهازية والمصاغ الذهبي وعلى أن يبري ذمتها ويدفع لها بدل خلع قدره (خمسون) ليرة سورية وأن الزوجة قبلت بذلك وبادلت زوجها ألفاظ المخالعة وقبضت بدل الخلع
Translation - English Whereas the Litigants confirmed that the consent divorce occurred by a mutual consent of both Litigants, in Al-Nabek, on 27-07-2021, and that they duly uttered the words that affect the consent divorce “Khula” for a consideration of SYP (50), taking into account that the consent divorce “Khula” occurred after marriage consummation. In this context, it is worth noting that a consent divorce for consideration is a bilateral contract between spouses, that only takes effect with a legitimate mutual concurrence, and since it is proved by the presented consent divorce “Khula” certificate, that the Husband divorced his Wife and dissolved his marriage, in exchange for his discharge from all marital rights of his wife, including advance and deferred dowry, alimony, trousseau items and golden jewelry, as well as the discharge of his Wife, in addition to paying her SYP (50). In this context, the Wife accepted, and uttered the words that affect the consent divorce “Khula” for consideration, and received the compensation for the consent divorce “Khula”.

حيث تتلخص وقائع الدعوى وحسبما يبين من أوراقها وما قدم بها من مستندات في أن المدعي أقام دعواه بموجب صحيفة قدمت لدى قلم الكتاب بتاريخ 04/02/2025 وأعلنت قانونًا طلب في ختامها الحكم:
أولًا: بطلان حكمي التحكيم رقمي: 2808 بتاريخ 12 سبتمبر 2023 و18 نوفمبر لمخالفتهما النظام العام القطري وذلك استنادًا إلى المادة 33/3 من قانون التحكيم.
ثانيًا: بطلان حكمي التحكيم المشار إليهما لمخالفة إجراءات التحكيم المتفق عليها بين الأطراف استنادًا إلى المادة 33-2-د) من قانون التحكيم.
Translation - English Having heard pleading, and on perusal of the documents and legal deliberations:
The facts of the case as concluded by the court from perusal of case papers and lawsuit, including submitted exhibits, may be summed up in the following fact: The Claimant filed its lawsuit vide a statement of claim submitted to the Court’s clerk on 04/02/2025, of which the Defendant was duly notified. In conclusion, the Claimant requested the following:
I: To reverse the arbitral awards Nos. 2808 dated September 12, 2023, and November 18, due to violation of Qatari public order, pursuant to Article No. 33/3 of Arbitration Law;
I: To reverse the abovementioned arbitral awards due to violation of the arbitration proceedings agreed upon between the Parties pursuant to (Article 33/2/D) of Arbitration Law.

يلتزم المنافس والعاملون لديه والشركات التابعة له ومقاولوه من الباطن بتطبيق أحكام لائحة تنظيم تعارض المصالح في تطبيق نظام المنافسات والمشتريات الحكومية ولائحته التنفيذية، والإفصاح كتابة إلى الوزارة عن جميع حالات تعارض المصالح الفعلية والمحتملة في جميع مراحل وإجراءات المنافسات والمشتريات الحكومية، على أن يشمل ذلك الآتي:
أ- الإفصاح عن أي مصلحة خاصة له أو أعضاء مجلس إدارته أو كبار التنفيذيين لديه تتعارض مع مصالح الوزارة.
ب- الإفصاح عن أي قرابة بين أي من أعضاء مجلس إدارة منشأته أو كبار التنفيذيين فيها أو أي من موظفي الوزارة.
ت- يحظر على المتنافس الحصول أو محاولة الحصول على أي ميزة سواء أكانت تنافسية أو تفضيلية ونحوها بطرق غير مشروعة أو بأي وسيلة يمكن أن ينشأ عنها تعارض مصالح.
ث- يلتزم المتنافس في جميع مراحل وإجراءات المنافسات والمشتريات الحكومية بالتعاون مع الوزارة في شأن أي استفسار أو تحقيق يتعلق بأي من حالات تعارض المصالح.
Translation - English Conflict of Interest:
The bidder, its employees, subsidiaries, and subcontractors shall conform with the Provisions of the Regulations on Conflict of Interests in Implementation of the Government Tenders and Procurement Law and its Executive Regulations, and shall inform the Ministry in writing of any actual and potential conflict of interest during all stages and procedures of the Government Tenders and Procurement, provided such disclosure shall include the following:
A- Disclosure of any special interest that it, its board members, or its senior executives may have that conflicts with the interests of the Ministry;
B- Disclosure of any relationship between any of its Board Members or Senior Executives and any Ministry employee;
C- The bidder may not engage in obtaining or attempting to obtain any advantage, whether competitive, preferential, or otherwise, through unlawful or fraudulent means or any method that may create a conflict of interest;
D- The bidder shall, in all stages and procedures of Government Tenders and Procurement, cooperate with the Ministry in any inquiry or investigation related to any cases of conflict of interest.
