From a tax indemnity agreement:

"In the event a written claim shall be made by the Internal Revenue Service that, if successful, would result in a Loss for which XXX would be required to indemnify YYY, the ... agrees to notify ZZZ in writing of such claim ... provided further, however, that XXX shall not be required to initiate or continue any contest unless all of the following conditions shall have been, ... satisfied: (i) ...(ii) the amount of such indemnity payment ...is at least U.S. $100,000 (which shall include any discounted prospective exposure in future tax years attributable to the position being challenged as well as any similarly and logically related adjustments in respect of the transactions contemplated herein...)
