Source text - Malay a) Sebagai balasan bagi Penyewa memasuki Perjanjian Penyewaan ini, Tuan Tanah bersetuju bahawa jika Tuan Tanah berhasrat menjual Premis yang disewakan Tuan Tanah hendaklah dan dengan ini memberi Penyewa pilihan pertama untuk membelinya. Dengan Syarat Sentiasa bahawa dalam tempoh satu (1) bulan daripada penerimaan pemberitahuan oleh Tuan Tanah menawarkan untuk menjual Premis yang disewakan Penyewa hendaklah memaklumkan kepada Tuan Tanah mengenai persetujuannya secara bertulis, dan jika gagal berbuat demikian pilihan ini akan terbatal. Adalah seterusnya dipersetujui bahawa jika pilihan ini dijalankan oleh Penyewa harga pembelian hendaklah berdasarkan kepada harga pasaran ketika itu yang mana boleh sama-sama dipersetujui oleh Tuan Tanah dan Penyewa, atau jika tidak dapat dipersetujui, boleh ditentukan dan disahkan oleh seorang penilai hartanah bebas (“Penilai”) yang sama-sama dilantik oleh Tuan Tanah dan Penyewa dan kosnya ditanggung sama rata oleh kedua pihak atas terma-terma yang biasa dibuat dalam sesuatu transaksi hartanah. Penentuan dan pengesahan oleh Penilai mengenai harga pasaran Premis yang disewakan hendaklah muktamad dan mengikat kedua-dua pihak. Jika berlaku keadaan di mana Penyewa menolak atau tidak hendak menjalankan pilihannya untuk membeli Premis yang disewakan dalam tempoh yang dinyatakan, Tuan Tanah hendaklah selepas itu bebas untuk menjual atau menawarkan untuk menjual Premis yang disewakan kepada pihak ketiga, AKAN TETAPI DENGAN SYARAT SENTIASA bahawa Tuan Tanah tidak boleh menjual atau menawarkan untuk menjual Premis yang disewakan kepada pihak ketiga dengan harga yang lebih rendah daripada harga yang telah ditawarkan kepada Penyewa oleh Tuan Tanah atau ditawar-balas oleh Penyewa (dan yang mana telah tidak diterima oleh Tuantanah) mengikut keadaan mana yang terpakai, atau atas terma-terma yang lebih baik daripada yang ditawarkan kepada Penyewa, tanpa sekali lagi menawarkan untuk menjual Premis yang disewakan kepada Penyawa atas harga lebih rendah atau atas terma yang lebih baik.
Translation - English a) In consideration of the Tenant entering into this Tenancy Agreement, the Landlord agrees that if the Landlord is desirous of selling the Demised Premises the Landlord shall and hereby grants to the Tenant an option to purchase the same Provided Always that within one (1) month of receipt of the Landlord’s notification of offer to sell the Demised Premises that Tenant shall inform the Landlord of his acceptance thereof in writing failing which this option shall lapse. It is further agreed that if the option is exercised by the Tenant the purchase price shall be based on the then prevailing market value, which may be mutually agreed upon by the Landlord and Tenant or, failing such agreement, as may be determined and certified by an independent qualified property valuer (“Valuer”) jointly appointed by the Landlord and the Tenant and the costs whereof to be borne equally by both parties and upon such terms as are customary in a property sale transaction. The determination and certification of the valuer as to the prevailing market value of the Demised Premises shall be final and binding on both parties. In the event the Tenant shall decline or not exercise the option to purchase the Demises Premises within the prescribed period, the Landlord shall thereafter be at liberty to sell or offer for sale the Demised Premises to a third party, PROVIDED HOWEVER ALWAYS that the Landlord shall not sell or offer for sale the Demised Premises to any third party at a price lower than the price previously offered by the Landlord to the Tenant or counter-offered by the Tenant (and not accepted by the Landlord), as the case may be, or upon terms more favourable than that offered to the Tenant, without again first offering for sale the Demised Premises to the Tenant at such lower price or more favourable terms.
