VIII. COMPLIANCE WITH LAW
The parties hereto agree to comply with all applicable laws in the performance of their respective obligations hereunder.
IX. ARBITRATION
In the event of any dispute, controversy or claim between the parties hereto relating to this MOU, the parties shall first seek to resolve the dispute through informal discussions. In the event any dispute, controversy or claim cannot be resolved informally, the parties agree that the dispute, controversy or claim will be settled by binding arbitration in accordance with United Nations Commission on International Trade Law (UNCITRAL) Arbitration Rules as at present in force. The decision of the arbitrators shall be final and binding upon the parties and their respective successors and assigns, and the parties agree that judgment upon the award rendered by the arbitrators may be entered in any court having jurisdiction thereof.
X. GOVERNING LAW
This MOU shall be governed by, and construed in accordance with, the laws of the State of New York.
XI. SEVERABILITY
In the event that any one or more provisions of this MOU shall be or become invalid, illegal or unenforceable in any respect, the validity, legality or enforceability of the remaining provisions of this MOU shall not be affected.
XII. AMENDMENTS
No amendment or waiver of any provision of this MOU shall in any event be effective unless in writing and signed by the parties hereto.
XIII. ASSIGNMENT
No party hereto may assign or transfer any of its rights or obligations hereunder without the prior written consent of the other parties.
IN WITNESS WHEREOF, the parties hereto have caused this MOU to be duly executed by their proper and duly authorized officers.

Source text - English Consider this to be orthodox monetary policy at work. In theory, a recession or sluggish growth should be met with expansion of the nation’s money supply pared with artificially low interest rates. The massive degree of relief injected through the last recession and recovery is testament to the substantial headwinds the economy faced in the wake of the burst bubble in technology and a general rise in risk aversion following 9/11, two wars in the Middle East and the spectre of deflation. But as the recovery gained traction, the relief was delicately removed so as to avoid excessive growth and, ultimately, inflation. Growth averaged 2.7% in 2003, exploded to 4.2% in 2004 as the full impact of the prior easing coursed through the U.S. and has now fallen back to average 3.7% through the past four quarters as the stimulus has been drained.
To be sure, the Fed has benefited from both cyclical and secular forces that have dampened inflation. Rapid growth in productivity (Exhibit 3), the pressure on domestic pricing from inexpensive imports and the globalization of the labour pool have all contributed to holding inflation at bay. Even a spike in energy prices hasn’t been enough to tip the balance. In fact, the rise in oil prices has been an important element of the tightening of policy as it acts as a tax on consumers, redistributing their spending toward energy and away from others goods and services.
It would be naive to assume that the Fed’s success eliminates risk of an accident going forward. In fact, managing monetary policy may become more difficult as the business cycle matures and imbalances gradually bubble up.

Source text - English PHENYLETHYLAMINE ANALOGS AND THEIR USE FOR TREATING GLAUCOMA
The present invention is directed to compounds useful for treating ophthalmic diseases. In particular, the present invention is directed toward phenylethylamine analogs and their use for lowering and controlling intraocular pressure (IOP) and treating glaucoma.
Background of the Invention
The disease state referred to as glaucoma is characterized by a permanent loss of visual function due to irreversible damage to the optic nerve. The several morphologically or functionally distinct types of glaucoma are typically characterized by elevated IOP, which is considered to be causally related to the pathological course of the disease. Ocular hypertension is a condition wherein intraocular pressure is elevated, but no apparent loss of visual function has occurred; such patients are considered to be a high risk for the eventual development of the visual loss associated with glaucoma. Some patients with glaucomatous field loss have relatively low intraocular pressure. These so called normotension or low tension glaucoma patients can also benefit from agents that lower and control IOP. If glaucoma or ocular hypertension is detected early and treated promptly with medications that effectively reduce elevated intraocular pressure, loss of visual function or its progressive deterioration can generally be ameliorated. Drug therapies that have proven to be effective for the reduction of intraocular pressure include both agents that decrease aqueous humor production and agents that increase the outflow facility. Such therapies are in general administered by one of two possible routes, topically (direct application to the eye) or orally.
Example 2 - (R)-2-[2,5-Dimethoxy-4-(3-methyl-[1,2,4]oxadiazol-5-ylmethyl)-phenyl]-1-methyl-ethylamine hydrochloride (Compound 2)
To a cold suspension (ice bath) of NaH (0.15 g, 4.0 mmol) in 50 mL of THF was added N-hydroxy acetamide. The heterogeneous reaction mixture was stirred at 60 0C for 30 min, and then {2,5-dimethoxy-4-[2-(2,2,2-trifluoro-acetylamino)-propyl]-phenyl}-acetic acid ethyl ester (0.5 g, 1.33 mmol) was added. The reaction mixture was stirred at reflux temperature for an additional 3 h, and allowed to cool to room temperature and partitioned in a mixture of dichloromethane/water. The organic layer was separated, and diluted with aqueous 1 N HCl. The solution was separated, neutralized by addition of a saturated bicarbonate solution, and extracted with DCM. The organic layer was dried (anhydrous MgSO4), and concentrated under reduced pressure. The residue was converted to the hydrochloride salt by method B, and the solid that formed was recrystallized from methanol-ether to give 0.10 g of the desired material.
The receptor-mediated mobilization of intracellular calcium ([Ca 2+]i) was studied using the Fluorescence Imaging Plate Reader (FLIPR) instrument. Rat vascular smooth muscle cells, A7r5, were grown in a normal media of DMEM / 10% FBS and 10 µg/ml gentamycin. Confluent cell monolayers were trypsinized, pelleted, and re-suspended in normal media. Cells were seeded in a 50 µL volume at a density of 20,000 cells per well in a black wall, 96-well tissue culture plate and grown for 2 days. On the day of the experiment, one vial of FLIPR Calcium Assay Kit dye was re-suspended in 50 ml of a FLIPR buffer consisting of Hank’s Balanced Salt Solution (HBSS), 20 mM HEPES, and 2.5 mM probenecid, pH 7.4. Cells were loaded with the calcium-sensitive dye by addition of an equal volume (50 µl) to each well of the 96-well plate and incubated with dye for 1 h at 23ºC. Typically, test compounds were stored at 25 µM in 50% DMSO/50% Ethanol solvent. Compounds were diluted 1:50 in 20% DMSO/20% Ethanol. For dose-response experiments, compounds were diluted 1:50 in FLIPR buffer and serially diluted 1:10 to give a 5- or 8- point dose-response curve.
At the beginning of an experimental run, a signal test was performed to check the basal fluorescence signal from the dye-loaded cells and the uniformity of the signal across the plate. The basal fluorescence was adjusted between 8000-12000 counts by modifying the exposure time, the camera F-stop, or the laser power. The instrument settings for a typical assay were as follows: laser power 0.3-0.6 W, camera F-stop F/2, and exposure time 0.4 sec. An aliquot (25 l) of the test compound was added to the existing 100 µl dye-loaded cells at a dispensing speed of 50 µl/sec. Fluorescence data were collected in real-time at 1.0 sec intervals for the first 60 sec and at 6.0 sec intervals for an additional 120 sec. Responses were measured as peak fluorescence intensity minus basal and where appropriate were expressed as a percentage of a maximum 5-HT-induced response.

Si el glaucoma o la hipertensión ocular se detectan en forma temprana y se tratan de inmediato con medicamentos que eficazmente reduzcan la presión intraocular elevada, se puede mejorar en general la pérdida de función visual o el progresivo deterioro de la vista. A una suspensión fría (baño de hielo) de NaH (0,15 g, 4,0 mmol) en 50 mL de tetrahidrofurano se le agregó N-hidroxiacetamida. MÉTODO 2
Ensayo funcional 5-HT2: Movilización del calcio
Se estudió la movilización del calcio intracelular ([Ca 2+]i) mediada por los receptores a través de un instrumento Fluorescence Imaging Plate Reader (FLIPR) [lector de placas de imagen fluorescentes]. Se cultivaron células A7r5 de la musculatura lisa vascular de ratas en un medio normal conformado por Medio Tagle Modificado Dulbecco con suero de bovino fetal al 10% y 10 µg/ml de gentamicina. Se tripsinizaron, paletizaron y resuspendieron en un medio normal las monocapas de células confluyentes. Se sembraron las células en una placa de cultivo de tejidos de 96 orificios de paredes negras, con un volumen de 50 µL, a una densidad de 20.000 células por orificio, y se cultivaron durante 2 días. El día del experimento se resuspendió una ampolla del Kit de Ensayo de Calcio FLIPR en 50 ml de un agente regulador FLIPR, conformado por solución de sal equilibrada de Hank, 20 mM de ácido N-2-hidroxietilpiperacin-N'-2-etansulfónico y 2,5 mM de probenecida, con un pH de 7,4. Se cargó en las células la tinta sensible al calcio mediante el agregado de un mismo volumen (50 µl) en cada uno de los orificios de la placa de 96 orificios y se incubaron las células en la tinta durante 1 hora a 23ºC. En general, los compuestos de la prueba se almacenaron a razón de 25 µM en un solvente 50% dimetilsulfóxido/50% etanol. Se diluyeron los compuestos 1:50 en 20% dimetilsulfóxido/20% etanol. Para los experimentos destinados a identificar la respuesta a la dosis, los compuestos se diluyeron 1:50 en agente regulador FLIPR, y se diluyeron en forma seriada 1:10 para obtener una curva de respuesta a la dosis de 5 u 8 puntos.
Al comienzo de cada experimento se realizó una prueba de señales para verificar la señal de la fluorescencia basal de las células cargadas con la tinta y la uniformidad de la señal en toda la placa. Se ajustó la fluorescencia basal a un conteo de entre 8.000 y 12.000 mediante una modificación del tiempo de exposición, la parada F de la cámara o la potencia del láser. La configuración del instrumento para un ensayo típico fue la siguiente: potencia del láser: 0,3-0,6 W; parada F de la cámara: F/2; y tiempo de exposición: 0,4 segundos. Los datos de la fluorescencia se recogieron en tiempo real a intervalos de 1,0 segundo durante los primeros 60 segundos y a intervalos de 6,0 segundos durante 120 segundos adicionales. Las respuestas se midieron como intensidad pico de la fluorescencia menos intensidad basal y, cuando ello resultó apropiado, se expresaron como porcentaje de una respuesta máxima inducida por 5-HT.
